AGREEMENT FOR TRICYCLE PROVISION

This Agreement is made and entered into as of   Date*. Multipro Private Limited, a limited liability company duly organized and existing under the laws of Ghana, with its registered office at 28/2 Sanyo Road, Tema Industrial Area ("Provider"),

And
Name of Distributor*   
a Distributor located at ,   Town*     City*, Ghana ("Recipient" WHEREAS, the Provider agrees to supply a tricycle to the Recipient in exchange for the purchase of Indomie products, and the Recipient agrees to use the tricycle for business activities in accordance with the terms and conditions set forth herein. 

NOW, THEREFORE, in consideration of the mutual covenants hereinafter set forth, the parties agree as follows:
1. Tricycle Provision
The Provider agrees to provide a tricycle worth (GHS) Number   and GHS 1000(Registration Charges) to the Recipient.

2. Use of Tricycle
The Recipient agrees to use the tricycle for distributing Indomie products and not for any other purposes or products without prior consent from the Provider.

3. Repayment Terms
The Recipient agrees to repay the cost of the tricycle in six (6) equal instalments of (GHS) Number   each. The first instalment is due on   Date, and subsequent payments are due on the 30th day of each following month, with the final payment due on   Date.

4. Minimum Order Quantity (MOQ)
The Recipient agrees to maintain a minimum order of     Type a label       cartons of Indomie products per month. Currently, the Recipient's average monthly order is   Type a label   cartons, and the Recipient agrees to increase this average to at least   Type a label      cartons per month during the term of this agreement.


5. Restrictions on Tricycle Use
The Recipient agrees not to use the tricycle for the sale or distribution of spaghetti or any other competing products. Any violation of this provision will be considered a breach of contract.

6. Default
The Recipient shall be in default of this Agreement if: 

• The Recipient fails to make any payment on or before the due date, or 
• The Recipient uses the tricycle for purposes other than distributing Indomie products, including the sale of spaghetti or competing products.

7. Remedies for Default
Upon the occurrence of a default by the Recipient, the Provider shall have the right to: 

• Repossess the tricycle without prior notice, and 
• Declare the entire outstanding balance immediately due and payable, and
• Pursue any additional rights or remedies available under the laws of Ghana. 

8. Repossession of Tricycle
The Provider retains the right to repossess the tricycle at any time if the terms of this Agreement are not met or upon default. 

9. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written. 

10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Ghana.

11. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall remain in full force and effect.
12. counterparts
This Agreement in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
13. Tricycle Load Capacity
The total load capacity of the tricycle is 700kg.
