DISCLAIMER AND SIGNATURE

• Craft/ Merchant vendors will provide a (1) small promo items for Sponsor swag bag; for the designated amount of bags for each sponsor.
• Mac & Cheese participant vendors must be prepared to pass out 800 samples containing 1 type of mac & cheese.
• Samples must be 4 oz minimum Vendors may sell full menu items outside of single sample option.
• Vendors must protect ground in and around their setup from grease, oil, animal fat spills and stains - tarps are acceptable & recommended.
• Vendors are permitted to accept cash or card transactions for full menu items.
• Vendors using a bar-b-que pit or grill will be required to rope or barricade area to protect attendees.
• Payment MUST be provided at the time of application approval.
• Food vendors are to provided copy of County Food Permit with application.
• Red Elephant Collabs LLC will provide marketing and brand awareness for all participating vendors on marketing platforms such as: social media, television, etc.
• Vendors will be provided a designated space; vendors are responsible for tables and seating. No more than two tables allowed with no more than three individuals per provided space.
• Vendors must keep all products within assigned space size.
• All Vendors must present certificate of insurance listing Red Elephant Collabs LLC additionally covered for the length of the event.
• Vendors will ONLY be permitted to enter the event space and set up between the hours of 10:00 AM - 11:00 AM on Saturday, August 16, 2025. ALL vendors must be completely set up by 11:00 AM. Tear down will take place from 7:00 PM - 8:00 PM.
• Vendors must provide their own trash can for their space & trash must be discarded into the designated event dumpster immediately after the event.
• Vendors should be careful to protect all grass/landscaped areas.
• All Vendors are responsible for collecting/paying Texas State Sales Tax as applicable to their product Parking/loading space will be provided around the event area during setup and tear down.
• Submission of this application does not guarantee acceptance due to limited space.
• In the case of Vendor cancellation, the Vendor must personally notify Red Elephant Collabs LLC at least 4 weeks prior to the event.
• NO REFUNDS NO EXCEPTIONS: VENDOR SLOTS ARE ON A FIRST COME, FIRST SERVED BASIS

Miscellaneous

• This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective successors and assigns.
• This Agreement shall not be assignable by the Vendor without the express written consent of Red Elephant Collabs LLC.
• This Agreement shall be governed by the laws of the state of Texas and shall be performable in the city of Killeen, Bell County, Texas.
• This Agreement contains the entire understanding of the parties with regard to the subject matter herein addressed, and it may not be modified in any fashion except by written instrument executed by both parties hereto.
• Vendor agrees to be liable for its respective acts, omissions and obligations under this Agreement and indemnifies and holds Red Elephant Collabs LLC (including its officers, participating organizations, and employees) harmless for any such acts, liabilities, omissions, claims or obligations.
• Any indemnity hereunder shall also inure to the benefit of the City of Temple. This indemnity shall survive the termination of the Agreement.

• Nothing contained herein shall be deemed or construed to create any partnership or joint venture between Vendor and Red Elephant Collabs LLC. All activities by each party or its subcontractors under the terms of this Agreement shall be carried on by such or its subcontractors, as an independent contractor and not as an agent for or employee of the other party hereto. Under no circumstances shall any employee of each party or employee of its subcontractors be deemed or construed to be an employee of the other party. Neither party shall be liable for any injuries or damages incurred by the other party, or the other party's subcontractors, as a result of the other party's activities in the performance of this Agreement.

Waiver of Subrogation

To the extent permitted by law, the Vendor hereby releases Red Elephant Collabs LLC, its elected and appointed officials, employees and volunteers and others working on behalf of Red Elephant Collabs LLC from any and all liability or responsibility to the Vendor or anyone claiming through or under the Vendor by way of subrogation or otherwise, for any loss or damage to property caused by fire or any other casualty, even if such fire or other casualty shall have been caused by the fault or negligence of Red Elephant Collabs LLC, its elected or appointed officials, employees or volunteers or others working on behalf of Red Elephant Collabs LLC. This provision shall be applicable and in full force and effect only with respect to loss of damage occurring during the time of the vendor's occupancy or use, and vendor's policies of insurance shall contain a clause or endorsement to the effect that such release shall not adversely affect or impair such policies or prejudice the right of the vendor to recover thereunder. The vendor agrees that its policies will include such a clause or endorsement. By signing this contract, the Vendor releases Red Elephant Collabs LLC and its agents, fromany liability due to breakage, theft, injury, or bodily harm while at CTX Mac & Cheese Festival. The Vendor also agrees to the rules and regulations of The Bell County Mac & Cheese Fest.

Termination: This agreement shall automatically terminate upon the end of the Event. Red Elephant Collabs LLC shall have no further obligation to the Vendor in connection with subsequent Red Elephant Collabs LLC events in future years.

Prohibited Acts: Vendor shall not distribute or advertise any product or service that is not consistent with the "family friendly" character of. Vendor shall comply fully with all applicable federal, state, and local regulations. It further shall limit its products and services to those specifically authorized in Exhibit "A."

If this application leads to selection, I understand that false or misleading information in my application may result in my release from event with no refund of payment.
