Terms of Service for Wholesale Book Transactions

Effective Date: Date of Submitted Form.

Welcome to Aber Stoat Publishing, LLC ("Company"). These Terms of Service ("Terms") govern the wholesale purchase of books and related products ("Products") from the Company. By placing an order, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not place an order.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our services. By placing an order, you represent and warrant that you meet these eligibility requirements.

2. Ordering Process
1. Order Placement: To purchase Products wholesale, you must complete the Wholesaller Application form provided on our website or through an authorized representative. Orders are then placed by a fillable order form, https://form.jotform.com/252414983853162. Discount will be applied on final invoice after initial application approval.
2. Order Confirmation: Upon submitting your order, we will see an order submission confirmation. This confirmation does not constitute acceptance of your order. The final invoice by email is the confirmation that your order has been accepted.
3. Acceptance of Orders: All orders are subject to acceptance by Aber Stoat Publishing, LLC. We reserve the right to refuse or cancel any order for any reason, including but not limited to failure to complete the wholesale application, product availability, inaccuracies in the pricing or product information, or any suspicion of fraudulent activity.
3. Pricing and Payment
1. Pricing: Prices for Products are listed on our website and may be subject to change without notice. All prices are in United States Dollars (USD).
2. Payment Terms: Payment must be made in full upon recietp of the invoice. We accept credit cards, manual bank transfers, or check. Established accounts with a good rapport, will be moved to Net30. We reserve the right to remove Net30 if multiple due dates are missed in a row.
3. Taxes: You are responsible for any applicable taxes associated with your order, including sales tax, VAT, or other governmental charges.
4. Shipping and Delivery
1. Shipping: We will ship Products to the address provided during the order process. Shipping costs will be calculated at checkout.
2. Delivery Times: Delivery times are estimates and may vary based on location and other factors. We are not liable for any delays in delivery.
3. Risk of Loss: The title and risk of loss for the products are passed to you upon delivery to the shipping carrier.
5. Returns and Exchanges
1. Returns: Products may be returned within 180 days of receipt if they are in original condition.
2. Exchanges: Exchanges will be processed for defective or damaged Products only. You must notify us within 30 days of receipt of any defective Products.
3. Return Shipping Costs: You are responsible for return shipping costs unless the return is due to our error.
6. Intellectual Property: All content, trademarks, and other intellectual property associated with our Products and website are owned by or licensed to the Company. You may not reproduce, distribute, or create derivative works from any content without our express written permission.

7. Limitation of Liability: To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from your purchase or use of the Products. Our total liability for any claim related to your purchase shall not exceed the amount you paid for the Products.

8. Governing Law: These Terms shall be governed by and construed in accordance with the laws of California, USA, without regard to its conflict of law principles.

9. Changes to Terms: We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
