INDEPENDENT CONTRACTOR AGREEMENT FOR MOBILE NOTARY SERVICES AT NOVERIS SIGNATURE

This Independent Contractor “Agreement” is made and entered into by and between NOVERIS SIGNATURE and "You" the Independent Contractor (“Contractor”) for the provision of mobile notary services. This Agreement establishes the terms and conditions under which Contractor will operate as an independent contractor for Company.

1. Scope of Work
- Contractor agrees to provide mobile notary services for clients within their designated territory, as assigned by Company.
- Assignments will be dispatched through the Company app, which Contractor is required to use exclusively to receive job notifications and track assignments.
- Contractor agrees not to take outside bookings during open business hours while clocked into the system. All notary acts must be documented in the record book provided (No exceptions). 

2.Compensation and Payment Structure

- Client Payments: All fees are prepaid through the app. In cases where clients opt to pay in cash, Contractor is required to deposit the funds collected on the same day using the Company-issued deposit-only ATM card.

- Fee Waivers: Contractor may waive the standard $2 notary fee at their discretion for military personnel, law enforcement, or first responders. An explanation for each waived fee must be recorded in the app.

3.Insurance and Deductions
- Errors & Omissions Insurance: Company will provide Errors & Omissions (E&O) insurance for Contractor. Payment for E&O will be deducted from Contractor’s monthly earnings, with the Contractor’s option to have payments deducted monthly, quarterly, or paid in full.

- Auto Insurance: Contractor is responsible for maintaining adequate auto insurance coverage, required as part of this agreement.

4. Taxes and Reporting
- Contractor is classified as an independent contractor and is responsible for all applicable taxes. Company will issue a 1099 form by January 30th each year, reflecting Contractor's earnings.

5. Compliance with Legal Requirements
- Contractor agrees to adhere to all applicable New York State notary laws and regulations. Any violations of NYS law will result in immediate termination of this Agreement.

6. Community Engagement Requirement
- Contractor agrees to participate in a Company-organized community event once per quarter, dedicating a half-day at a veterans center, senior home, or similar facility to provide complimentary notary services. Contractor will be compensated with a flat rate of $125 for this service day.

7. Assignment and Use of App
- Contractor will receive all work assignments exclusively through the Company app. Contractor agrees not to accept outside bookings during open hours when clocked into the system, ensuring that all services are tracked and billed through the app.
-Client Tracking: The app will notify clients of the Contractor’s location when en route to appointments. Contractor must update status through the app as needed.

8. Termination
- This Agreement may be terminated by either party with notice. However, Company reserves the right to terminate this Agreement immediately in the event of any violation of NYS notary regulations or breach of this Agreement.

By signing below, Contractor acknowledges and agrees to the terms and conditions set forth in this Agreement.

This agreement ensures both parties understand their responsibilities and allows for structured, reliable service to clients while adhering to all legal standards.
