UNION PACIFIC RAILROAD COMPANY ACCESS AGREEMENT

This Access Agreement, made this date:

(Effective Date), by and between (hereinafter "Owner") and Union Pacific Railroad Company, a Delaware Corporation with offices at Room 1030, 1400 Douglas Street, Omaha, NE 68179 (hereinafter "Union Pacific Railroad"

Owner is the owner of certain real property located at or 67219 (hereinafter "Property"

Owner hereby grants Union Pacific Railroad and its contractors access to the Property to conduct the Project Activities described below as part of broader work being conducted within the 29th & Grove environmental project area.

Arcadis (Contractor) will conduct the work on behalf of Union Pacific Railroad. Specifically, the Contractor will perform the following activities (Project Activities):

Project Activities: Use appropriate equipment to collect indoor air samples in a living space and co- located samples from the basement, crawl space, or foundation sub-slab of the home or business. Union Pacific Railroad will pay all costs associated with the air sampling.

Union Pacific Railroad agrees to repair and restore any portion of the property impacted by the Project Activities, returning it as closely as possible to its prior condition.

Union Pacific Railroad shall attempt to conduct Project Activities in a manner that does not interfere with the Owner's Property use.

Union Pacific Railroad shall provide the Owner reasonable notice prior to accessing the Property.

Union Pacific Railroad will provide the Owner results of the air sampling.

This Agreement is effective as of the Effective Date upon signature of the Owner and Union Pacific Railroad. This Agreement terminates after completion of the Project Activities or may be terminated without cause by the Owner or Union Pacific Railroad after 30 days advanced written notice.

Owner and Union Pacific Railroad have caused this Agreement to be executed on the effective date written above.
