I hereby apply for membership in the Vital Essence Association, hereinafter referred to as the 'Association,' a private membership organization. With the signing of this agreement, I accept the offer to become a member and affirm my agreement to the following Declaration and Memorandum of Understanding:
Declaration
1. Purpose: The Association's primary purpose is to protect and maintain our members' right to freedom of choice regarding access to unique products and natural health-related options by asserting constitutional, contractual, and civil rights. The Association's mission is to empower members by providing exclusive access to innovative, natural, and holistic health products and services.
2. Rights: As members, we affirm that the United States Constitution guarantees freedom of association, speech, assembly, and belief, particularly for private associations. We declare and assert the right to select from our membership those who can be expected to give the wisest counsel and advice regarding alternative therapies, alternative modalities of treatment, health care decisions and the health improvement practices and to authorize those members who are most skilled to facilitate the actual performance and delivery of health assistance and improvement methods that they and we deem appropriate. We assert these rights under the Federal and State Constitutions, Federal and State law and the statutes and regulations interpreting them. We claim our freedom to choose and accept for ourselves the types of health care modalities and products that we think are best for our health challenges. We do this in order that we might achieve optimal health and well-being. We reserve the right to include traditional, non-traditional or even unconventional health care options; plus other healing modalities or techniques used by health care professionals anywhere in the world, that our member-facilitators choose to deliver - with our consent.
3. Mission: The mission of the Association is to provide members exclusive access to high- quality, natural, and health-oriented products and services not available to the general public. Our concern is for the whole person - spirit, soul, and body. We strive to stay on the leading edge of new and better health technologies.
4. Scope of Membership: Membership entitles members to access over 200 products available exclusively to the Association. Additional benefits, products, or services may be introduced at the discretion of the Trustees. The Association reserves the right to partner with other private organizations or businesses to provide additional services or benefits that align with its mission. Such offerings will be available exclusively to members and may be subject to additional terms.
5. Termination of Membership: Membership in the Vital Essence Society is a privilege, not a right, and may be terminated at the discretion of the Trustees under the following circumstances:
- Violation of Terms: The member fails to comply with the membership agreement or bylaws.
- Disruptive Behavior: The member engages in activities that disrupt the harmony, mission, or operations of the Association.
- Harm to the Association or Members: The member acts in a manner deemed by the Trustees to be harmful, unethical, or detrimental to the well-being of the Association or its members.
Termination decisions are made by the Trustees and are final. Upon termination of membership, members retain the right to use products previously purchased for personal use or for their legal dependents. Members are strictly prohibited from reselling, gifting, or otherwise distributing these products to non-members. The Association and its affiliates are not liable for any misuse of products following membership termination.
Memorandum of Understanding
1. Private Membership: I understand that all products and services offered within the Association are provided in a private capacity, and no public transactions take place. I agree that no Public-Customer or Public-Client relationship exists within the Association.
2. Personal Responsibility: I understand it is my personal responsibility to evaluate the products and services I purchase and educate myself on their benefits, risks, efficacy and desirability. It is my responsibility to decide what will best serve my health goals. My decisions regarding the use of any product are my own free-will choice. I agree that I am joining this Private Membership Association under the common law. I understand that members seek to help each other achieve and sustain better health. I accept that the facilitators, and other health-care providers, who are fellow members, offer advice, services, products, and benefits that are not necessarily conventional or traditional. As a Member, my goal is to accept those health and wellness services that I feel will truly help me. I will choose products and services that I consider proper and have a reasonable chance of making my health and life better. I realize that no health care services are foolproof. For example, if I choose to forego drugs, surgery or symptom treatments that have been recommended by others, in the public sector, I accept that risk. I assert my right of informed consent.
3. Limited Liability: I agree to hold the Association, its Trustees, and fellow members harmless from any liability arising from the use of Association products or services, except in cases of 'a clear and present danger of substantive evil' as defined by the United States Supreme Court.
4. Privacy: My activities within the Association are private and will not be shared with any Federal or State agency. Any records kept by the Association are strictly confidential and can only be released upon my written request. Also, my activities within the Association are a private matter and I refuse to share them with any Federal or State regulatory enforcement agency, medical board, or the FDA, Medicare or Medicaid. Any health and/or sickness records that I have shared with other members remain the property of the Association. The Association ensures that all member data, including purchase history, quiz results, and private communications, is securely stored and used solely for internal purposes. Data will not be shared with third parties without explicit member consent.
5. Legal Status: I acknowledge that I am joining the Association under the common law, voluntarily changing my status from a Public Health-Care Recipient to that of a Private Association Member. I relinquish certain public protections in exchange for the private beneAits provided by membership as far as my interaction with the Association goes. I understand and accept that, since the Association is protected by the First and Fourteenth Amendments to the United States Constitution, it is exempt from any action of Federal and State agencies entrusted to “protect the public” – as it relates to any complaints or grievances against the Association, its physical premises or equipment its Trustees, member-facilitators or other associated staff or consultants. All complaints or grievances will be settled by non-judicial mediation, within the Association.
6. Restricted Use of Products: I agree that products purchased through the Association are for my personal use or the use of my legal dependents. My spouse is an adult and not my legal dependent.
My adult children age 18 and older are adults and not my legal dependents. If they also join the VEA then it is ok for me to purchase items for them after they have joined.
I understand that I may not purchase products for, gift products to, or resell products to non-members under any circumstances and that doing so will result in the termination of my membership. Remember this word to use when you sign the agreement below: Thenon.
7. Non-Voting Membership: I understand that membership does not confer voting rights or liability for any debts or judgments incurred by the Association.
8. Waiver of Guarantees: I acknowledge that products and services provided by the Association are not guaranteed to produce specific results. I accept full responsibility for their application and any outcomes associated with their use.
9. Health Disclaimer: I understand that the Association's products and services are not intended to replace professional medical advice, diagnosis, or treatment. Any concerns about health should be addressed with a licensed healthcare provider.
Terms
1. Membership in the Association is granted upon payment of a one-time non-refundable fee of $10.00.
2. Membership is valid for the lifetime of the Association.
3. Benefits include access to member-only products and services which have additional fees, and may include any future offerings deemed appropriate by the Trustees.
Acknowledgment
By signing this agreement, I affirm the following:
- I have read and understood this document and had all questions answered to my satisfaction.
- I do not represent any State or Federal Agency whose purpose is to regulate the practice of medicine or any other health care system and am joining this Association of my own free will.
- I agree to abide by the terms and conditions outlined in this agreement. Any violation of these terms may result in termination of membership and forfeiture of access to the Association.
