I agree with this requirement, with the number of movers and trucks requested, in case this job is canceled or its date or time is modified, you must send an email to messolarllc@gmail.com 24 hours prior to the start time, Otherwise, a fee of $59.5 will be charged for each move for a minimum of 3 hours. and for trucks, $120 will be charged for 16ft and $180 for 26ft.

SUBCONTRACTOR SERVICE AGREEMENT
This Service Agreement ("Agreement") is made and entered into on this 21 day of May, 2025, by and between:

Subcontractor: Messolar LLC, with principal place of business at 115 Threet Industrial rd, Smyena TN 37167 (hereinafter referred to as the "Subcontractor"), and

Contracting Company: Servpro of Wilson County , with principal place of business at 2550 TN-109, Lebanon, TN 37090 (hereinafter referred to as the "Contractor").

1. Scope of Work
The Subcontractor agrees to provide services as agreed upon in writing by both parties. Specific duties, responsibilities, and scope of the work shall be outlined in separate Work Orders or Statements of Work.

2. Term of Agreement
This Agreement shall be effective as of the date signed by both parties and shall continue in effect until terminated by either party with [30] days written notice.

3. Non-Solicitation and Non-Hire Clause
The Contractor agrees not to solicit, hire, or otherwise engage, directly or indirectly, any employee, contractor, or collaborator of the Subcontractor who has been involved in the services under this Agreement, either during the term of the Agreement or for a period of twelve (12) months after its termination.

In the event of a breach of this provision, the Contractor shall pay the Subcontractor a fee of $10,000 per individual hired, as liquidated damages, in addition to any other remedies available under law.

4. Independent Contractor Relationship
The parties acknowledge and agree that the Subcontractor is an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employer-employee relationship.

5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee.

6. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, negotiations, and agreements.
