Non-Disclosure Agreement (NDA)
This Non-Disclosure Agreement is made effective as of completion of this form. This agreement is between The Lantern Project, a non-profit organization registered under the laws of North Carolina, with its principal office located at 57 Union St. South, Concord, NC 28025 and the undersigned who completes this form and is binding.
Why An NDA?
The purpose of this form is to protect the Lantern and those we serve from misuse of sensitive information regarding our efforts or clients within our care. We deem the safety of our team and clients as paramount and misuse of information could have damaging results. 1. Confidential Information
"Confidential Information" refers to any and all non-public information, including but not limited to business strategies, financial data, donor information, client information (including name, status, case details, personal details, location of Safe Houses, etc.), project details, and any other information deemed confidential by the Organization. b.Volunteer acknowledges that during the course of volunteering for the Organization, they may have access to Confidential Information.
2. Non-Disclosure
Signer agrees not to disclose, reveal, or make use of any ConfidentialInformation obtained during their volunteer work for the The Lantern Project, except as necessary to fulfill their duties for the The Lantern Project or with prior written consent from theThe Lantern Project. b. Volunteer agrees to take all necessary precautions to protect the confidentiality of Confidential Information and prevent its unauthorized disclosure.
3. Use of Information
Signer agrees to use Confidential Information solely for the purpose of performing their duties for the Organization and shall not use such information for any personal gain or for the benefit of any third party. b. Volunteer shall promptly return allConfidential Information and any copies thereof to the Organization upon the termination of their volunteer work or at the Organization's request.
4. Exceptions
Information that is publicly available or becomes publicly available through nofault of the Volunteer shall not be considered Confidential Information under this Agreement. b.Volunteer may disclose Confidential Information if compelled by law, provided that they giveprompt notice to the The Lantern Project to allow the organization to seek a protective order orother appropriate remedy.
5. Term and Termination
This Agreement shall commence on the effective date and shallcontinue in full force and effect until terminated by either party with written notice. b. Upontermination of this Agreement, the obligations of confidentiality shall survive indefinitely withrespect to Confidential Information disclosed during the term of this Agreement.
6. Governing Law
This Agreement shall be governed by and construed in accordance with thelaws of North Carolina. Any disputes arising under or in connection with this Agreement shall beresolved exclusively through arbitration in North Carolina.
7. Entire Agreement
This Agreement constitutes the entire understanding and agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, and discussions, whether oral or written, between the parties with respect to the subject matter hereof.
