TERMS & CONDITIONS

By submitting this application to Umpqua Economic Development Partnership (the "Partnership") for Pitch Night, I (referred to as "I", "you", "me", "my", or "applicant") acknowledge and agree to the following Terms and Conditions:
1. I have read and agree to the Pitch Night Handbook.
2. Entering this application does not guarantee selection as a participant of a Pitch Night competition.
3. This application will be considered for one event only. Candidates need to re-apply for each event.
4. If the applicant receives any funding, the recipient agrees to provide updates to the Partnership on the status of their business idea.
5. I consent to the Partnership's use of my name, likeness, images and/or similar characteristics for the purposes of advertising, selling, or otherwise promoting Pitch Night. I understand and agree that there will be no financial or other monetary compensation for such use.
6. The Partnership cannot protect or advise you on your intellectual property rights and/or securities regulations, and the Partnership cannot and does not take any responsibility for doing so. Please be aware that the Partnership does not require non-disclosure agreements or other confidentiality obligations from anyone involved in the competition process. You, as the applicant, are responsible for protecting your intellectual property rights (including, without limitation, patents, trademarks, copyright, trade secrets, etc.) in your application, participation, product, service and/or idea.
7. I represent and warrant that the information I provided in this application is accurate, that I have the rights necessary to enter this application, and all aspects of the product, service and/or idea underlying this application are my own and do not infringe on the rights of any third party. My application and presentation of my project and/or idea underlying the application do not violate any agreement(s) or understanding by which I'm bound, including, without limitation, any confidentiality, employment, consulting, intellectual property assignment or license agreement, nor would my receipt of the award violate any such agreement(s).
8. I agree to indemnify, defend, and hold harmless the Partnership from any liability arising out of or in connection with (a) any breach of my representations or warranties contained herein; and (b) my violation of the Terms and Conditions and any guidelines, policies, and terms prescribed by the Partnership.
9. The Partnership reserves the right to cancel, modify, or suspend Pitch Night for any reason.
10. This application does not grant me the rights to use the Partnership brands or any intellectual property in any way without written permission.
11. These Terms and Conditions will be interpreted by, and enforced in accordance with, the laws of the State of Oregon. By clicking the box below, I agree to these Terms and Conditions, that the information in my application is accurate, that I have the rights necessary to share the materials contained in my application, and that my application will not infringe on any third party's rights or violate any laws.
