This Transformation Challenge Participant Membership Agreement Addendum ("Addendum") is effective as of January 1, 2025 (the "Effective Date"), and is incorporated into the Membership Agreement or Client Intake form by and between the individual identified below ("Participant") and the independently owned and operated Orangetheory Fitness studio ("Studio") at the location identified below. Participant desires to voluntarily participate in the Orangetheory Transformation Challenge ("Challenge") hosted by the Studio during the Challenge Period indicated below. Please review the terms and conditions of this Addendum. The terms of this Addendum shall be applicable solely with respect to the Participant's participation in the Challenge. All terms of Participant's Membership Agreement or Client Intake, whichever applicable, (each hereinafter referred to as the "Agreement") not in conflict with this Addendum shall continue to control in full force and effect, including but not limited to the Agreement's Assumption of Risk, Waiver of Liability, and Indemnification. By signing below, Participant understands and agrees to the terms and conditions of this Addendum and agrees to continue to be bound by all terms of the Agreement.

1.Challenge Period. The Challenge begins on Monday, January 13, 2025, and ends on Sunday, March 9, 2025 (the "Challenge Period" The sole determinant of time for the purposes of valid entry in the Challenge will be the Studio's clock.

2.Eligibility. The Challenge is offered and open only to individuals who are at least eighteen (18) years of age or the age of majority in their jurisdiction of primary residence. Studio employees and their immediate family members (defined as parent, child, sibling, spouse) are not eligible to win a prize. The Challenge is subject to all applicable federal, state, and local laws. Void elsewhere and where prohibited by law.

3. Entry Information. To enter the Challenge, Participant must register at the Studio and pay a $35.00 registration fee. Participant is responsible for payment of all classes in accordance with the Studio's standard business policies and procedures. Participant can only register and complete InBody scans for the Challenge at the Studio identified above (i.e., Participant cannot register or complete InBody scans for the Challenge at more than one studio Participant must fulfill all Challenge requirements, as specified below, to be eligible to win a prize.

4.Challenge Requirements. To be eligible to win the Challenge, Participant must:

a.  Meet all eligibility requirements and properly register no later than January 26, 2025 and pay the $35.00 registration fee for the Challenge;

b. Complete a total of two (2) InBody scans at the Studio. Studio will record the body fat mass or skeletal muscle mass reflected by the InBody scans on a participant data worksheet. Prior to completing each InBody scan, Participant must review and sign the InBody consent form.

Participants must complete one (1) Initial InBody Scan and one (1) Final InBody Scan during the time frames specified below:

i. Initial InBody Scan: January 10, 2025 - January 13, 2025 (Note: Participants who register between January 14, 2025 - January 26, 2025, must complete their initial InBody scan prior to taking their first class for the Challenge)

ii. Final InBody Scan: March 6, 2025 - March 9, 2025, by the Studio's close of business;

C.Take a minimum of three (3) classes per week for six (6) of the eight (8) week Challenge Period (the "Minimum Participation Requirement" Each Challenge week is measured from Monday to Sunday. All class types are eligible to count toward the Minimum Participation Requirement; however, only one (1) class per day will count toward the Minimum Participation Requirement. Participants may take classes at any studio location; and

d. Comply with all terms of this Addendum.

5. Winner Selection. During the week of March 10, 2025, the Studio will identify the potential winners among all participants. ALL PARTICIPANTS ARE SUBJECT TO VERIFICATION BY THE STUDIO AT ANY TIME DURING THEAS A WINNER. Winners will be determined by the highest percentage of body fat loss or muscle mass gain as indicated by goal selection and InBody scan results. Studio reserves the right to select additional winners for the Challenge at Studio's sole discretion.

Studio reserves the right to award additional prizes for the Challenge at Studio's sole discretion. The prize is not redeemable for cash and must be accepted as awarded, with no substitutions. Studio reserves the right to substitute an alternate prize (or portion thereof) of comparable or greater value at Studio's sole discretion. The studio is not responsible for, and a winner will not receive the difference, if any, between the actual value of the Prize at the time of award and the ARV listed above or in any Challenge-related correspondence or materials. Each winner is responsible for (i) all federal, state, and local taxes (including income and withholding taxes), if any; and (ii) any other costs and expenses associated with Prize acceptance and use which are not specifically stated herein, regardless of whether the Prize is used in whole or in part.

7. How to Claim the Prize. Each potential winner will be notified in person (if present when potential winners are announced) or by email or telephone and may be required to provide a current email address for delivery of the Prize. Before designation as an official winner, a potential winner may be required to execute and return to the Studio a Liability and Publicity Release no later than ten (10) business days after such release is provided by Studio. A potential winner is subject to disqualification under any of the following circumstances: (i) a finding of ineligibility; (ii) non-compliance with the terms of this Addendum; (iii) the potential winner declines to accept the Prize; or (iv) if Studio does not timely receive the completed Liability and Publicity Release. Disqualification will result in the potential winner forfeiting the Prize without compensation of any kind, and Studio may select an alternate potential winner from among all remaining eligible participants. The Prize will be given to the winner in the studio or at the TC Celebration within 14 days ater the final TC date. After the winner is declared an official winner. Studio, Ultimate Fitness Group, LLC, OTF Franchisor, LLC, and their respective successors, parent companies, subsidiaries, divisions, affiliates, area representatives and agencies (collectively, the "Challenge Entities") shall not be held responsible for any delay in awarding a Prize for any reason outside of their control.

8. Conditions of Entry. Participants who have not complied with the terms of this Addendum are subject to disqualification and their entries to the Challenge will be void. Studio reserves the right to disqualify any participant's registration in the Challenge if Studio determines or suspects that the Participant has attempted to undermine the legitimate operation of the Challenge by cheating, hacking, deception, or other fraudulent, deceptive, or unfair playing practices. Studio reserves the right to cancel, modify, or suspend this Challenge at any time if fraud, technical failures, or any other errors or other causes corrupt the administration, security, integrity, or proper play of the Challenge. In the event of cancellation, Studio reserves the right to select winners from among all eligible entries received up to the time of such cancellation, in a manner determined by Studio to be fair, appropriate, and consistent with the terms of this Addendum. None of the Challenge Entities warrant that access to the Challenge will be uninterrupted. None of the Challenge Entities are responsible for any problems that may arise, including but not limited to: (i) failure of personal computers and/or software and hardware configurations; (ii) any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical, or other errors in connection with the administration of the Challenge; (iii) the processing of mail, registrations, or entries; (iv) the offering or announcement of the Prize or in any Prize notification documents; (v) any other errors of any kind relating to or in connection with the Challenge, whether human, mechanical, clerical, electronic, or technical in nature; or (vi) the incorrect or inaccurate capture of information, or the failure to capture any information in connection with the Challenge.

9. Participant's Responsibility. Participant agrees that Participant will at all times comply with the provisions of the Agreement. Participant acknowledges that any recommendations provided by Studio for meeting Challenge goals are simply recommendations and Studio in no way guarantees any participant's success in winning the Challenge based on any recommendations provided. Participant also acknowledges that at all times Participant's participation in the Challenge is voluntary. Participant agrees to assume full responsibility for any and all injury or damages sustained while voluntarily participating in all aspects of the Challenge at Participant's sole risk and discretion. Participant also agrees to abide by any and all rules and regulations for use of the Studio which may be promulgated from time to time by the Studio.

10. Use of Information. Should Participant win the Challenge, by accepting the Prize, Participant grants to Studio and its successors, assigns, affiliates, and its/their respective members, managers, shareholders, directors, officers, employees, instructors or agents (collectively, "Studio Parties") and Ultimate Fitness Group, LLC, OTF Franchisor, LLC, and any of its/their past, present, or future parents, subsidiaries, predecessors, successors, entities under common ownership, assigns, or affiliates, or their respective officers, directors, incorporators, members, partners, owners, agents, management, controlling parties, entities under common control, vendors, suppliers, service providers, investors, attorneys, employees, or representatives (collectively, "Franchisor Parties") the absolute right and license to use, publish, post, and/or display his/her name and Studio location in any and all media now known or hereafter devised, throughout the world, in perpetuity, without additional compensation or consideration, notification or permission, unless prohibited by law. For additional information on how the Studio Parties and Franchisor Parties may collect and process personal information related to the paper or digital forms you complete, your use of the Studio, or your participation in any Orangetheory Fitness class, please see the Studio's privacy policy or the Orangetheory Fitness privacy policy at https://www.orangetheory.com/en-us/privacy-policy/.

11. Consent to Receive Communications. By registering to participate in this Challenge, you consent to receive email communications related to the Challenge. You understand and acknowledge that you may opt out/unsubscribe from receiving email communications related to the Challenge by emailing legal@orangetheory.com (please allow 7-10 days to process such requests You further agree that we may use certain tools to capture data related to your interaction with such communications, such as when you open a message or click on a link.

12. Promotions. To the extent that Studio offers any contest, sweepstakes, giveaway, prize, or other promotion (collectively, "Promotion") in connection with the Challenge: (i) Participant accepts the terms and conditions stated herein and as otherwise provided by Studio concerning the Promotion and agrees to be bound by the decisions of the Studio in connection with the Promotion; and (ii) Participant understands and agrees that Studio reserves the right, in its sole discretion, to disqualify Participant in the event any fraud or misconduct occurs in connection with the Challenge.

13. General. The failure or decision of Studio not to enforce any provision in this Addendum will not constitute a waiver of that or any other provision. If any provision within this Addendum is held to be invalid or otherwise unenforceable or illegal, that part will be excluded from this Addendum, and the remainder of the Addendum will remain in full force and effect. Employees of Studio are not authorized to waive, modify, or amend any provision or provisions of this Addendum in any manner whatsoever. ANY ATTEMPT BY A PARTICIPANT OR

OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS CHALLENGE IS A VIOLATION OF LAW. SHOULD SUCH AN ATTEMPT BE MADE, STUDIO RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

14. Dispute Resolution. Participant agrees that all disputes arising out of or with respect to this Addendum or participation in the Challenge will be resolved in accordance with the dispute resolution provisions set forth in the Agreement. 

15. Entities. Participant understands that Studio is an independently owned and operated business separate from the Franchisor Parties.

INBODY SCANNER RELEASE
This Orangetheory Fitness studio offers members the opportunity to use body scanners in the studio to assist with meeting fitness goals. Please review the following health and safety information and privacy statement carefully. If you are a member, you must complete and sign this form prior to using this studio's body scanner.

WARNING: IMPORTANT HEALTH SAFETY INFORMATION

ATTENTION TO MEMBERS WITH HEART DISEASE, HEART SUPPORTIVE DEVICES, SUCH AS PACEMAKERS, AND OTHER IMPLANTED ELECTRONIC MEDICAL DEVICES, WOMEN DURING PREGNANCY, AND THOSE OTHERWISE SENSITIVE TO ELECTRONICS: The in-studio body scanner uses electrical current to take measurements of your body which may disrupt the functionality of life-sustaining electronic, medical, or other implants, such as a pacemaker or implanted defibrillator. To promote health and safety and avoid risk of injury, members with a pacemaker, defibrillator, or other implanted electronic medical devices must not use an in-studio body scanner. Additionally, the body scanner has not been proven to be effective for estimating body composition for women during pregnancy. As such, pregnant women should refrain from using an in-studio body scanner.

PRIVACY STATEMENT

Collection: If you choose to use an in-studio body scanner to run the scan, Ultimate Fitness Group, LLC and its affiliates (collectively, "UFG") will collect your email, height, weight, gender, and age. The body scan will produce measurements, including your body's muscle, fat, and water mass, overall body composition, basal metabolic rate estimate, and body mass index (collectively, "body scan information"), which will also be collected by UFG.

Use and Disclosure: UFG will email your body scan information to you at the email address you provide. UFG will use body scan results in information as described in UFG's then-current privacy policy, available at https://www.orangetheory.com/en-us/privacy-policy/ ("Privacy Policy" The Privacy Policy applies to the information collected by any body scan you choose to conduct using the body scanner offered at any Orangetheory Fitness studio and will supersede any privacy notice posted on the body scan machine. Please review the Privacy Policy before signing below. As described in the Privacy Policy, UFG will share your body scan information with the franchisee of the Orangetheory Fitness studio where you conducted your body scan. Each Orangetheory Fitness studio is independently owned and operated. Please consult with your studio about their use of your body.
