  • Service Agreement

  • This Service Agreement (the “Agreement”) is entered into as of   Pick a Date*   and between Virtual Assistants Group Ltd (the “Service Provider”) and    *   (“Client”), represented by   *   *   (“Client Representative”).

    1. Services Offered
    1.1. The Service Provider agrees to provide virtual assistant services, including but not limited to:

    • Administrative Support
    • Bookkeeping Services
    • Digital Marketing
    • Social Media Management
    • Customer Service
    • Content Creation

    1.2. Additional services may be agreed upon in writing by the Parties.
    1.3. A Work Description outlining specific deliverables and expectations will be provided for each engagement.

    2. Payment Terms
    2.1. Rates

    • General Virtual Assistants: €28 per hour
    • Executive Virtual Assistants: €30 per hour

    2.2. Payment Schedule: Invoices will be issued weekly or monthly, depending on the Client’s preference, and are payable within seven (7) days of receipt.
    2.3. Payment Methods: Accepted methods include:

    • Bank Transfer
    • Credit/Debit card
    • Direct Debt
    • Other methods as agreed in writing

    2.4. Late Payments: Overdue payments will incur interest at 2% per month for every 30 days overdue.
    2.5. Refunds: Refunds for unused prepaid hours will only be issued upon agreement of both parties.

    3. Confidentiality and Data Protection
    3.1. Both parties agree to maintain the confidentiality of proprietary and sensitive informationshared during the engagement.
    3.2. The Service Provider will comply with GDPR and other applicable data protection laws.
    3.3. Confidential information must not be disclosed to third parties without prior written consent.

    4. Work Product Ownership
    4.1. Any works copyrighted, ideas, discoveries, inventions, patents, products, or other information (collectively, the “Work Product”) developed in whole or in part by Virtual Assistants in connection with the Services shall be the exclusive property of the Client upon full payment.

    5. Non-Disclosure and Non-Solicitation
    5.1. The Service Provider agrees not to disclose the Client’s confidential information to any third party without prior written consent.
    5.2. The Service Provider shall not solicit or engage the Client’s employees, contractors, or clients for a period of 6 months following the termination of this Agreement.

    6. Termination
    6.1. Either Party may terminate this Agreement with 14 days’ written notice indicating a stop date for the service.
    6.2. Upon termination, the Client is responsible for settling any outstanding payments for services rendered.

    7. Limitation of Liability
    7.1. The Client agrees that the Service Provider shall not be liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to:

    • Loss of profits
    • Loss of business opportunities
    • Loss of data
    • Reputational harm

    7.2. The Service Provider shall not be held responsible for any delays, errors, or omissions caused by factors beyond its reasonable control, including but not limited to:

    • Acts of God
    • Technical failures
    • Third-party service interruptions

    7.3. The Service Provider disclaims all liability for any outcomes resulting from the use of its services, and the Client acknowledges and accepts full responsibility for all decisions made based on the work delivered.
    7.4. Indemnification: The Client agrees to indemnify and hold harmless the Service Provider, its employees, and contractors against any claims, damages, or expenses arising from:

    • The Client’s use of the services
    • Any third-party claims related to the services rendered

    7.5. In no event shall the total liability of the Service Provider exceed the amount paid by the Client for services rendered in the preceding month.

    8. Service Level Expectations
    8.1. Work Description: The specific tasks, expectations, and deliverables will be detailed in a separate Work Description, which forms an integral part of this Agreement. This document will include:

    • The nature of tasks to be performed.
    • The number of hours required per week/month.
    • Start date and any specific deadlines.
    • Reporting and communication expectations.

    8.2. Hours and Availability:

    • The Virtual Assistant(s) will work the agreed number of hours specified in the Work Description.
    • A weekly timesheet will be submitted at the end of every week for Client approval.
    • The Client should approve the timesheet promptly to avoid delays in billing or Virtual Assistant(s) payments.

    8.3. Communication and Reporting:

    • The Virtual Assistant(s) will provide regular updates to the Client as agreed in the Work Description.
    • The Client should direct all concerns or queries to the Service Provider promptly.
    • Communication will primarily occur via email, video calls, or designated project management tools.


    9. Governing Law & Dispute Resolution
    9.1. This Agreement will be governed by the laws of the United Kingdom.
    9.2. Any disputes arising from or related to this Agreement will fall under the exclusive jurisdiction of the courts of the United Kingdom.
    9.3. Disputes will first be addressed through mediation, and if unresolved, will proceed to formal legal resolution.

    10. Service Updates
    10.1. The Service Provider may update the terms of this Agreement with 14 days' written notice to the Client.
    10.2. Continued use of services constitutes acceptance of the updated terms.

    11. General Provisions
    11.1. Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
    11.2. Amendments: Any amendments to this Agreement must be made in writing and signed by both parties.
    11.3. Force Majeure: The Service Provider will not be held liable for delays or non-performance caused by events beyond their reasonable control, such as natural disasters or technical failures.

    Acknowledgment: By submitting this Service Agreement through the online form, you,{Service-Agreement:firstname-3} {Service-Agreement:lastname-3} , on behalf of {Service-Agreement:shorttext-2}, acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Service Agreement. You confirm that you are duly authorised to act on behalf of the business entity represented in this Agreement.
