Certification and Agreement
In consideration of the intangible value of participating as an Interested Party in connection with a Committee of the International Code Council (ICC), the receipt and sufficiency of which is hereby acknowledged, I hereby agree as follows:
A. I hereby agree:
- To abide by the applicable rules and policies of ICC;
- To notify ICC of any change in the information provided, including contact information, by updating the Interested Party List form;
- All of my written and oral contributions to ICC in connection with work performed as an Interested Party for an ICC Committee at any time ("Contributions") are considered to be works made for hire for ICC;*
- To the extent that any Contributions, in whole or in part, are not deemed works made for hire of ICC or I otherwise retain any rights (including copyright) to such Contributions, I hereby irrevocably grant, transfer, and assign to ICC all worldwide right, title, and interest in and to such Contributions, from the moment of creation, including the right to sue and recover damages and other relief for past, present, and future infringements;
- I have no rights in any ICC publications that use the Contributions; and
- I am an independent contractor to ICC, and this Agreement will not be construed to create any employee or agency relationship between me and ICC for any purpose. I do not primarily work for the Committee or at the Committee’s location and am free to work with other entities.
* Item A.3 is not applicable to Committee members or Interested Parties based in California.
B. I hereby represent and warrant:
- The Contributions are not protected by the copyright of any other person or entity;
- I have full power and authority to enter into and perform all obligations under this Agreement and to grant the rights granted herein, including obtaining any necessary consents; and
- The Contributions do not infringe upon any third-party intellectual property or contractual rights.
This Agreement and all matters arising out of or relating to this Agreement shall be governed by and construed in accordance with federal intellectual property law and the internal laws of the District of Columbia, without giving effect to any conflict-of-law provisions thereof, to the extent permitted by applicable law.
