1. Sponsorship Commitment The Sponsor agrees to provide financial participation in the amount of Sponsorship Fee chosen aboive in exchange for the deliverables outlined in the sponsorship package provided by the Organizer (the Sponsorship Benefits).

2. Additional Deliverables In the event the Sponsor requests additional deliverables beyond those outlined in Benefits, the Organizer and Sponsor shall enter into a separate written agreement detailing the nature of the additional deliverables and any associated costs (the “Supplemental Agreement”).

3. Payment Terms

The Sponsor shall remit payment of the Sponsorship Fee within 24 hours of the contract signed.

Payments for any additional deliverables included in a Supplemental Agreement shall be made as specified in the respective agreement.

4. Obligations of the Organizer The Organizer agrees to provide all Deliverables as described agreed-upon timeline and to ensure proper recognition of the Sponsor’s participation as specified.

5. Term and Termination This Agreement shall commence on the Effective Date and remain in effect until all obligations under this Agreement have been fulfilled, unless terminated earlier by mutual consent or for cause due to a material breach by either party.

6. Representations and Warranties

Each party represents and warrants that it has the authority to enter into this Agreement and fulfill its obligations hereunder.
The Organizer represents that the Deliverables will be provided in a professional and timely manner consistent with industry standards.

7. Indemnification Each party agrees to indemnify, defend, and hold harmless the other party from any claims, damages, or liabilities arising out of its performance or breach of this Agreement.

8. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State].

9. Entire Agreement This Agreement, including Exhibit A and any Supplemental Agreements, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

10. Amendments No amendment to this Agreement shall be effective unless it is in writing and signed by both parties.

11. Signatures IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the Effective Date.
