    Texas HomePro Subcontractor Code of Ethics

     

    As a valued subcontractor of Texas HomePro, you play a critical role in upholding the standards and reputation of our company. This Code of Ethics outlines the principles and expectations that guide our professional conduct and interactions. By adhering to these principles, we ensure the highest level of integrity, quality, and respect in all our business dealings.

     

    1. Integrity and Honesty

    - **Ethical Conduct:** Always conduct business in an ethical and transparent manner. This includes being honest and fair in all communications and transactions.

    - **Trustworthiness:** Maintain a high level of trust by delivering on promises and commitments. Ensure that all work is completed as agreed upon and to the highest standards.

    - **Avoid Conflicts:** Avoid any situations where personal interests could conflict with professional responsibilities. Disclose any potential conflicts of interest to Texas HomePro immediately.

    8. Environmental Responsibility

    - **Sustainable Practices:** Implement environmentally responsible practices in all aspects of work. Minimize waste, reduce energy consumption, and use sustainable materials whenever possible.

    - **Proper Disposal:** Ensure proper disposal of all waste materials in accordance with environmental regulations.

     

    9. Communication and Transparency

    - **Open Communication:** Maintain open and honest communication with Texas HomePro, clients, and colleagues. Provide timely updates on project progress and any issues that may arise.

    - **Accurate Reporting:** Ensure that all documentation and reports are accurate and truthful. Avoid any form of misrepresentation or falsification of information.

    - **Take Responsibility:** Accept responsibility for your actions and the outcomes of your work. Address any issues or mistakes promptly and take corrective action as needed.

    Scope of Work

    The Subcontractor agrees to perform the following services ("Services"):

    JOB SPECIFIC SEE WORK ORDER

     

    All work will be performed in accordance with the specifications provided by Texas HomePro and in compliance with all applicable laws and regulations.

     

    Term

    This Agreement shall commence on SEE WORK ORDER  and shall continue until the completion of the Services or until terminated by either party in accordance with this Agreement.

     

    Payment

    Texas HomePro agrees to pay the Subcontractor for the satisfactory completion of the Services based on an agreed-upon "draw" system. Payment terms are as follows:

     

    - **Total Amount:** $_JOB SPECIFIC SEE WORK ORDER

    - **Payment Schedule:** JOB SPECIFIC SEE WORK ORDER

     

    Subcontractor must submit an invoice to Texas HomePro by email at accounting@texashomepro.org at least 7 days prior to the desired payment date. Texas HomePro will pay no later than net 30 days from the invoice date.

     

     

    Confidentiality

    Subcontractor agrees to maintain the confidentiality of all proprietary and sensitive information provided by Texas HomePro. This includes customer details, company plans, and internal communications. The Subcontractor shall not disclose any such information to any third party without the prior written consent of Texas HomePro.

     

    Use of Company Property

    Subcontractor agrees to use Texas HomePro's property, including tools and equipment, responsibly and for work purposes only. Any damage or loss must be reported immediately.

     

    Payment Contingency Clause
    The Subcontractor expressly agrees that payment by the Contractor to the Subcontractor for any work performed or materials supplied is expressly contingent upon and subject to the Contractor’s receipt of payment from the Owner or upstream contractor for such work or materials. The Subcontractor acknowledges and agrees that it assumes the risk of non-payment by the Owner, and that the Contractor shall have no obligation to pay the Subcontractor for any portion of the Subcontract Work until and unless Contractor has been paid for such portion of the Subcontract Work by the Owner.

    No Independent Obligation
    Subcontractor agrees that Contractor shall have no independent obligation to pay Subcontractor for any amounts due unless and until such sums are first received by Contractor from the Owner.

     

    Safety Protocols

    Subcontractor must follow all safety guidelines provided by Texas HomePro, including wearing appropriate personal protective equipment (PPE) and adhering to all safety signs and warnings. No drinking or drug use on the job site is permitted. No graphic t-shirts or foul odors are allowed on their person.

     

    Insurance

    Subcontractor must carry their own general liability insurance and worker’s compensation insurance. Proof of insurance must be provided to Texas HomePro upon request.

     

    Termination

    Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, Subcontractor will cease all work and return any company property.

     

    Disciplinary Actions

    Texas HomePro reserves the right to take disciplinary actions against the Subcontractor for any violations of company policies or failure to perform the Services satisfactorily. Disciplinary actions may include verbal warnings, written warnings, and termination of the Agreement.

     

    Governing Law

    This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

     

    Entire Agreement

    This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions, agreements, and understandings of any kind. Any amendments to this Agreement must be in writing and signed by both parties.

     

    Severability

    If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

     

    Warranty

    Subcontractor agrees to honor a 2-year workmanship and material warranty on all work performed. If the customer is dissatisfied for any reason, Texas HomePro reserves the right to withhold payment or discount the final bill as deemed appropriate.

     

    Permits and Fees

    Subcontractor is liable for obtaining all necessary permits and paying any fees associated with the work performed.

     

    Materials and Labor

    Subcontractor is to provide their own materials and labor. All trash must be removed from the property by the Subcontractor.

     

    Professional Conduct

    Subcontractor and their employees must dress professionally and not wear clothing representing other companies. No one under the age of 18 or pregnant women are allowed on the job site.

     

    Subcontractor Responsibilities

    - **Daily Inspections:** Conduct a brief inspection of the work area before and after use, ensuring safety and cleanliness.

    - **Reporting:** Report any unsafe conditions or incidents immediately to Texas HomePro.

    - **Training:** Ensure all employees are trained and certified to perform their duties safely and effectively.

    - **Compliance:** Adhere to all company policies, including the smoking policy, identification and badges policy, and vehicle policy.

     

    Payment Submission

    Subcontractor must submit an invoice to Texas HomePro by email at accounting@texashomepro.org at least 7 days prior to the desired payment date. Texas HomePro will pay no later than net 30 days from the invoice date.

     

    Errors and Omissions

    Subcontractor agrees to promptly correct any errors or omissions in the work performed at no additional cost to Texas HomePro. If such corrections are not made within a reasonable timeframe, Texas HomePro reserves the right to have the corrections made by another party at the Subcontractor’s expense.

    Texas HomePro Subcontractor Policies

     

    Policy for Treating Texas HomePro Customers and Dispute Resolution

     

    Customer Treatment Policy

     

    As a subcontractor for Texas HomePro, you represent our brand and values. It is essential that all interactions with customers reflect the highest standards of professionalism, respect, and integrity. YOU MUST INFORM TEXAS HOMEPRO IMMEDIATLEY

     

    **Professionalism:**

    - Always conduct yourself in a professional manner. Dress appropriately, use respectful language, and maintain a courteous demeanor.

    - Be punctual for all appointments and meetings with customers. Inform the customer promptly if there are any delays or changes to the schedule.

     

    **Communication:**

    - Communicate clearly and effectively with customers. Listen to their concerns and respond promptly to their questions and requests.

    - Provide regular updates on the progress of the work. If there are any issues or changes to the scope of work, inform the customer and Texas HomePro immediately.

     

    **Respect for Property:**

    - Treat the customer's property with care and respect. Ensure that the work area is kept clean and tidy.

    - Protect the customer’s belongings from damage during the course of the work.

     

    **Quality of Work:**

    - Perform all work to the highest standards of quality and craftsmanship. Ensure that all work meets or exceeds the customer's expectations.

    - Address any deficiencies or issues with the work promptly and professionally.

     

    **Customer Satisfaction:**

    - Strive to exceed customer expectations and ensure their satisfaction with the services provided.

    - If a customer expresses dissatisfaction, address their concerns promptly and courteously. Escalate the issue to Texas HomePro if necessary.

     

    Dispute Resolution Policy

     

    In the event of a dispute with a customer, the following steps should be taken to resolve the issue promptly and fairly:

     

    **Initial Response:**

    - Listen to the customer's concerns and gather all relevant information about the issue.

    - Attempt to resolve the issue directly with the customer through open and respectful communication.

     

    **Escalation:**

    - If the issue cannot be resolved directly with the customer, inform Texas HomePro immediately. Provide a detailed account of the dispute, including any actions taken to resolve it.

    - Texas HomePro will work with you to develop a plan to address the customer’s concerns and resolve the dispute.

     

    **Mediation:**

    - If the dispute remains unresolved, Texas HomePro may arrange for a mediation session between the subcontractor and the customer. The goal of mediation is to reach a mutually acceptable resolution.

    - Both parties should participate in mediation in good faith and be willing to compromise to achieve a fair outcome.

     

    **Final Resolution:**

    - If mediation is unsuccessful, Texas HomePro will make a final determination on the resolution of the dispute. This decision will be binding on both the subcontractor and the customer.

    - The subcontractor agrees to abide by Texas HomePro’s final decision and take any necessary actions to implement the resolution.

     

     

    2. Policy for Handling Hazardous Materials

     

    Handling hazardous materials requires strict adherence to safety protocols to protect the health and safety of all personnel, customers, and the environment.

     

    **Identification of Hazardous Materials:**

    - Hazardous materials may include, but are not limited to:

      - Asbestos

      - Lead-based paint

      - Mold

      - Solvents

      - Chemicals

      - Pesticides

      - Flammable materials

      - Corrosive substances

      - Toxic substances

     

    **Immediate Reporting:**

    - If hazardous materials are encountered on a job site, the subcontractor must immediately stop work and report the situation to Texas HomePro.

    - Provide detailed information about the hazardous material, including its location and any potential risks to health and safety.

     

    **Safety Measures:**

    - Implement safety measures to protect all personnel and customers from exposure to hazardous materials. This may include isolating the affected area, using appropriate personal protective equipment (PPE), and following safety protocols.

    - Ensure that all employees are trained in the proper handling and disposal of hazardous materials.

     

    **Professional Remediation:**

    - Contact certified professionals or specialized contractors who are trained and licensed to handle and remediate hazardous materials.

    - Ensure that all remediation activities comply with federal, state, and local regulations, including proper disposal of hazardous materials.

     

    **Documentation and Communication:**

    - Document all incidents involving hazardous materials, including the initial report, assessment, remediation actions taken, and outcomes.

    - Inform all relevant personnel about the presence of hazardous materials and the steps being taken to address the situation.

     

    **Health Monitoring:**

    - Implement health monitoring for employees who may have been exposed to hazardous materials. This includes medical examinations and ongoing health surveillance as necessary.

    - Provide support and resources for employees who experience health issues related to exposure to hazardous materials.

     

    **Compliance:**

    - Ensure that all handling, storage, and disposal of hazardous materials comply with applicable laws and regulations.

    - Regularly review and update safety protocols to reflect current best practices and regulatory requirements.

     

    By adhering to these policies, subcontractors contribute to a safe, respectful, and professional work environment, ensuring the satisfaction and well-being of Texas HomePro customers and personnel.

     

    Miscellaneous

    - **No Repercussions:** Subcontractor can raise concerns or provide feedback without fear of retaliation or negative consequences.

    - **Documentation:** Maintain a log of all work performed and materials used. Submit this log along with the invoice.

    - **Support:** Texas HomePro provides access to resources and support for subcontractors as needed.

     

    Release of liability –

    Hold Harmless Agreement

    Subcontractor agrees to hold Texas HomePro harmless from any and all claims, liabilities, damages, injuries, violations, fees, tickets, and fines, including but not limited to:

    OSHA Violations: Any violations of Occupational Safety and Health Administration (OSHA) regulations.
    Immigration Violations: Any violations related to the employment of workers not authorized to work in the United States.
    Injuries: Any injuries sustained by the Subcontractor or their employees while performing work under this Agreement.
    Property Damage: Any damage to property caused by the Subcontractor or their employees.
    Legal Fees: Any legal fees and costs incurred by Texas HomePro in connection with any claims arising from the Subcontractor’s performance of the work.
    Issue Resolution Policy for Subcontractors

    As a subcontractor for Texas HomePro, you are expected to handle job site issues professionally and efficiently. This policy outlines the steps to take when encountering problems on the job site.

    Self-Resolution of Issues:

    Industry Standards: If you encounter issues that are relatively easily solvable based on industry standards and your professional expertise, you are expected to resolve these problems on your own.
    Responsibility: Take immediate and appropriate action to address and fix the issue to ensure the project continues smoothly and meets the expected quality standards.
    Escalation of Unresolvable Issues:

    Contact Texas HomePro: If you encounter issues that you cannot resolve on your own, or if you have questions about how to address a problem, you must contact Texas HomePro immediately.
    Immediate Reporting: Provide a detailed description of the issue, including any actions already taken to try to resolve it and why further assistance is needed.
    Follow Guidance: Follow any instructions or guidance provided by Texas HomePro to address the issue. Ensure clear communication and collaboration to resolve the problem effectively.
    Documentation:

    Record Keeping: Document all issues encountered, including the nature of the problem, steps taken to resolve it, and any communication with Texas HomePro. This documentation helps in understanding and preventing similar issues in the future.
    Professional Conduct:

    Customer Communication: Communicate with customers in a professional and courteous manner when addressing issues. Keep them informed of any significant problems and the steps being taken to resolve them.
    Safety and Quality: Ensure that all resolutions maintain the safety and quality standards expected by Texas HomePro.
    By adhering to this policy, subcontractors ensure that job site issues are handled efficiently, maintaining the project's quality and timeline. Texas HomePro values proactive problem-solving and clear communication to achieve the best outcomes for all parties involved.

    Negative Online Review Policy for Subcontractors
    As a subcontractor for Texas HomePro, your actions directly impact the reputation and credibility of our company. To ensure that all subcontractors maintain the highest standards of professionalism and quality, the following policy has been established:

    Negative Online Review Policy:

    ·       Responsibility: Subcontractors are expected to conduct themselves in a professional manner and perform work to the highest quality standards. Any actions that result in a negative online review for Texas HomePro are taken very seriously.

    ·       Financial Penalty: If the actions of a subcontractor result in a negative online review that harms the reputation of Texas HomePro, the company will seek legal action to recover damages. The subcontractor will be liable for a financial penalty in the amount of $5,000.

    ·       Attorney Fees: In addition to the financial penalty, the subcontractor will also be responsible for covering all attorney fees and legal costs incurred by Texas HomePro in pursuing this action.

    ·       Reputation Management: Texas HomePro reserves the right to take necessary actions to protect its reputation, including but not limited to, legal action against subcontractors whose actions result in negative online reviews.
