SUBCONTRACTOR-TEAMING AGREEMENT
This Subcontractor-Teaming Agreement ("Agreement") is entered into as of [Date of Submission] by and between Ascentia Management, LLC (dba: Ascentia Home Services), a home maintenance and repair service ("Company"), and [Subcontractor Name], an independent contractor ("Subcontractor").
1. Scope of Work
The Subcontractor agrees to provide professional home maintenance and repair services as specified by the Company. All work must meet Ascentia's quality standards and adhere to applicable local, state, and federal regulations.
2. Independent Contractor Relationship
The Subcontractor operates as an 1099-independent contractor and not as an employee of the Company. The Subcontractor is responsible for their tools, equipment, licenses, and business operations necessary to fulfill the agreement.
3. Payment Terms
Payments will be made upon successful completion and approval of assigned work.
Payment terms and amounts will be specified per project and processed through Direct Deposit. Subcontractors are responsible for taxes and other liabilities associated with their business.
4. Confidentiality
The Subcontractor shall not disclose any proprietary or confidential information obtained during the course of this Agreement without prior written consent from the Company. This obligation extends beyond the termination of this Agreement.
5. Insurance and Liability
The Subcontractor must maintain general liability insurance with a minimum coverage of $1,000,000 and provide proof upon request. The Subcontractor assumes liability for damages resulting from negligence or failure to adhere to project standards.
6. Termination
Either party may terminate this Agreement with a 1 week notice.
The Company reserves the right to terminate immediately if the Subcontractor violates the terms of this Agreement or fails to meet quality standards.
7. Non-Compete and Exclusivity
During the term of this Agreement and for a period of 18 months thereafter, the Subcontractor shall not solicit or perform services directly for the Company’s clients without prior written approval.
8. Use of Technology
The Subcontractor is required to use designated project management and communication tools provided by the Company. Training and support will be offered as necessary.
9. Compliance and Standards
Subcontractors are expected to comply with all Company policies, including safety, scheduling, and communication protocols. Subcontractors must maintain professionalism and reliability, ensuring all assignments are completed on schedule and to the client's satisfaction.
10. Dispute Resolution
Disputes shall be resolved through [Mediation/Arbitration], governed by the laws of the State of North Carolina and/or Georgia.
11. Entire Agreement
This document constitutes the entire agreement between the parties and supersedes any prior arrangements.
