PART VII - Hyperlink Agreement
Hyperlink Agreement

(For Corporate Membership Application Only)

The ACAC offers Corporate Members the opportunity to add a hyperlink to your company's homepage. Please read the following Hyperlink Agreement and return with your application to the ACAC, indicate your approval of these terms or confirm that you are NOT interested in having your company's website hyperlinked to the ACAC's website.

If you do not reply, we will assume that you do not wish to have a hyperlink on the new ACAC website.

Hyperlink Agreement:

The Asia Commercial Association of Canada (ACAC) will display a hyperlink to the home page of your company from its website at http://www.asiacom.ca provided that you agree to and comply with all of the following terms and conditions:

1. You acknowledge and agree that (i) You will not promote or provide on Your web site materials that are illegal or unlawful, pornographic or obscene; and (ii) You shall not take any action that would disparage or impair the value or goodwill associated with the ACAC's image or reputation.

2. Subject to the terms and conditions of this Agreement, your company grants the ACAC a non-exclusive, limited license to provide a hyperlink directly to your company's homepage and to include your company's trade name in such hyperlink.

3. The parties agree that the ACAC shall not be liable in any manner to your company or any User for the content of any website which is hyperlinked by the ACAC and your company agrees to defend, indemnify, and hold harmless the ACAC, its officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation, reasonable legal and accounting fees, arising from any User's use of your company's website through a hyperlink contained on the ACAC Website.

4. The ACAC reserves the right to terminate this Agreement with or without cause at any time and without written notice. If either party terminates this Agreement, the ACAC will remove any and all links to your company's Web site within a reasonable period of time.

5. You agree to defend, indemnify and hold the ACAC, its officers, directors, employees and agents from and against any claims, demands, damages, causes of action, loss or judgments (including reasonable legal costs) arising from your breach of this Agreement.

PART VIII - Application Submission
I/We understand that upon receipt of this application, the ACAC may conduct a routine investigation of the company’s business reputation (if apply for Corporate Membership) and/or personal credit ratings. Results of these investigations are considered prior to a vote on the application by the ACAC Board of Directors.

If accepted into membership, and as a condition for continuing membership in the ACAC, I/we agree to be bound by the Association By-laws and Code of Business Practices as well as all Association Rules and Regulations that have been, are or will be adopted by the ACAC for members.
