ANALOG&GRIT VEHICLE STORAGE AGREEMENT

Vehicle Information (See addendum for additional vehicles)

1. Location of Storage of Vehicle Client agrees to store the Vehicle at ANALOG&GRIT storage located at: 3094 Commercial Street, San Diego, CA 92113 (the "Storage Premises") on the terms and conditions provided herein.

2. Storage, Payment, and Return of Vehicle Client agrees to the following terms:

2.3 Late Fees: 10% of monthly rate after 10 days of Due Date

Representations by Client Client hereby represents that: (a) Client is the Legal Owner of the Vehicle; (b) the Vehicle has not been involved in illegal or criminal activity; (c) all license and registration related to the Vehicle are present and up-to-date with the applicable state agencies and Client has provided a copy of the current registration to ANALOG&GRIT; (d) Client has a car insurance policy for the Vehicle that is paid and active and Client has provided a true and correct insurance information to ANALOG&GRIT; and

(e) the Vehicle is in operable condition and agrees to leave a working key with ANALOG&GRIT.

4. Allocated Spaces/Movement of Vehicle ANALOG&GRIT has the right to reposition the Vehicle within ANALOG&GRIT's facility. ANALOG&GRIT nor the owner/landlord of the Storage Premises are not and shall not be considered bailees of the Vehicle. This Agreement does not grant nor confer to Client any leasehold right or other real estate rights.

5. Registered Owners and Lien Holders Client agrees all names listed on title have a secured interest in the stored vehicle; therefore, those names listed on the title are considered agents of Client and Client hereby provides ANALOG&GRIT the right to communicate with such agents directly, if necessary.

6. Use of Space While Client is able to conduct personal business within ANALOG&GRIT facilities (i.e., work from home), Client shall not solicit to other members nor establish and operate a business within the facilities. Client shall not perform any maintenance on the Vehicle or stay overnight, or beyond normal business hours of the ANALOG&GRIT facility. Client shall not tamper with or otherwise handle other vehicles stored at

7. ANALOG&GRIT reserves the right to impose conditions as to the time and manner of access to the Vehicle by Client or its agents. Client must have permission from ANALOG&GRIT prior to entering the Storage Premises. Client will notify ANALOG&GRIT not less than 48 hours before Client wishes to remove the Vehicle from storage. If Client requests that the Vehicle be removed from storage upon less than 48 hours' notice, the de- storage fee shall be $100.

Daytime without Appointment: Monday to Saturday 10:00am to 6:00pm By Appointment: Monday to Saturday after 6 pm; Sundays; Holidays.

8. Client shall not store any of the following items in the Vehicle: Cash or Irreplaceable goods Illegal or Stolen Goods

Toxic, Polluted, or Contaminated Goods Living Plants or Animals Firearms, Munitions, or Explosives

Radioactive Materials Flammable or Hazardous Materials

Items Subject to any Legal Proceedings Waste of any kind

9. Liability And Indemnification (a) Client agrees to indemnify, hold harmless and defend ANALOG&GRIT, its owner, members, building owners and/or landlord and their agents and representatives from any claims, actions, damages, loss, liability and costs, including reasonable attorney's fees (collectively, "Claims"), resulting from Client's entry or usage of space at the Storage Premises. (b) ANALOG&GRIT's liability to Client for any Claims arising from this Agreement or any services provided hereunder shall be limited to the amount of fees paid by Client to ANALOG&GRIT. In no event shall ANALOG&GRIT be liable to Client for any indirect, special, consequential or punitive damages. (c) In the event of any dispute between the parties concerning this Agreement or the services provided hereunder, the party prevailing in such dispute shall be entitled to collect from the other party all costs incurred in such dispute, including reasonable attorney's fees. (d) This Agreement shall be governed by and construed in accordance with the substantive laws of the State of California without giving effect to the conflicts of laws principles thereof, and the parties consent to the jurisdiction of courts, both state or federal, in California, with respect to any dispute under this Agreement. (e) This Agreement hereby supersedes and replaces all prior agreements both written and oral. In the event any prior agreements shall have terms which conflict with this Agreement, the terms of this Agreement shall control.

10. If no storage fees are paid by Client for 30 days after written demand (by email or otherwise) ofpayment for the storage of the Vehicle, the Vehicle shall be deemed abandoned and the client authorizes ANALOG&GRIT to handle the Vehicle as ANALOG&GRIT deems fit in its absolute and sole discretion, including but not limited to moving the Vehicle to other premises or disposing of the Vehicle.

11. Client grants ANALOG&GRIT a lien on Vehicle for rent, fees, and other charges described herein. The lien shall be enforced pursuant to California Department of Motor Vehicle procedures then in effect for the sale of vehicles pursuant to Civil Code Section 3071. If ANALOG&GRIT is forced to conduct a lien sale on a client vehicle because of unpaid amounts due, an additional charge of $150 will be billed to Client upon the sale.

12. Client hereby grants permission to ANALOG&GRIT to charge Client's credit card on each Due Date for all storage fees, and applicable late fees.

13. Termination Policy Client agrees to provide a minimum of thirty (30) days' notice of termination of this Agreement. Notice of termination must be in writing and received by ANALOG&GRIT to be moved out of system and for Client's dues to be suspended.

Client agrees all damages and discrepancies, to whatever extent, are noted on the chart below upon initial vehicle intake.

Vehicle Pickup/Removal from ANALOG&GRIT Storage Client hereby acknowledges that upon removing vehicle from storage he/she inspected the vehicle and it is in the same condition as listed above. Signed:
