By submitting this MY Distribution Inc. Authorized Seller Application for the United States (“Application”), Applicant: Represents and warrants that all information contained in the Application is true and complete. Acknowledges and agrees that submitting this Application does not authorize Applicant to sell MY Distribution Inc. (“MY Distribution”) products (“Products”) through any channel without explicit approval, and that MY Distribution has no obligation to approve the Applicant’s request to sell Products in any or all channels. Agrees that, if approved by MY Distribution, Applicant will comply with (1) the MY Distribution Inc. Authorized Reseller Policy for the United States; (2) the attached MY Distribution Inc. Authorized Seller Terms and Conditions for the United States, subject to amendments by MY Distribution; and (3) all Minimum Advertised Price (MAP) policies applicable to each brand, with MAP compliance primarily required for online channels, such as Amazon. Applicant further acknowledges responsibility for promptly addressing any pricing discrepancies in online sales and understands that one MAP violation in these channels will lead to immediate removal from the Authorized Seller Program.MY Distribution INC AUTHORIZED SELLER TERMS AND CONDITIONS FOR THE UNITED STATES The MY Distribution Inc. Authorized Seller Terms and Conditions for the United States (the “Terms”) apply to all Authorized Sellers approved by MY Distribution to market and sell MY Distribution Inc. products (“Products”) across various sales channels in the United States. By accepting authorization to sell Products, you (“Seller”) agree to adhere to the following terms. Terms Governing the Sale of Products: The Terms supplement, amend, and are incorporated into the MY Distribution Inc. Authorized Reseller Policy for the United States (the “Authorized Reseller Policy”). Seller affirms its agreement to the Authorized Reseller Policy as effective at the time of sale. Except as supplemented or amended by these Terms, the Authorized Reseller Policy remains unchanged. Capitalized terms not otherwise defined herein shall have the same meanings as in the Authorized Reseller Policy. Authorization of Sales Channels: Seller may market and sell approved Products only through channels and locations (including online platforms, physical stores, or marketplaces) explicitly approved by MY Distribution and its partners(the “Authorized Channels”). Selling Products through unauthorized channels or platforms is prohibited. MY Distribution reserves the right to restrict or limit Product sales within specific channels, with written notice to Seller. Seller agrees to comply with any such restrictions. Operation of Authorized Sales Channels: Authorized Channels must prominently display Seller’s legal name, contact information, and address. If an Authorized Channel is a website, Seller must also clearly display their contact details on the site and within any purchase confirmations. At MY Distribution request, Seller will cooperate in providing information on all points of sale, whether physical or digital, and facilitate access for review of compliance. All sales channels must comply with applicable privacy, accessibility, and data security laws and standards. Seller is responsible for all fulfillment, customer service, applicable taxes, and return processes related to the sale of Products, unless in an arrangement with MY Distribution or an Authorized Distributor, as approved by MY Distribution. All Sales are Final: Seller acknowledges and agrees that all sales of MY Distribution products are final. No returns or refunds will be accepted, and MY Distribution assumes no responsibility for unsold inventory or expired product. MAP Policy Compliance for Online Sales: Seller must adhere to MAP policies for all MY Distribution brands and products sold through online channels, with special emphasis on platforms such as Amazon, Walmart, and Ebay. Intellectual Property: Seller’s license to use MY Distribution intellectual property (IP) is strictly limited to use in approved marketing and sales within Authorized Channels and subject to additional quality controls. Seller acknowledges that all MY Distribution IP rights remain the sole property of MY Distribution. Termination: MY Distribution may terminate Seller’s approval to market and sell Products in one or more Authorized Channels with written notice. Upon termination, Seller must cease all sales and marketing in the applicable channels and remove any use of MY Distribution IP associated with those channels. dditional Terms: Indemnification: Seller shall indemnify and hold MY Distribution harmless from any claims arising from Seller’s breach of these Terms or Seller’s misconduct. Injunctive Relief: MY Distribution is entitled to injunctive relief for any breaches of these Terms or the Authorized Reseller Policy. Amendments: MY Distribution may amend the Terms with written notice, and such amendments will be effective immediately. Confidentiality: These Terms are confidential and proprietary to MY Distribution and must not be disclosed to third parties without prior written consent. Governing Law: These Terms and any disputes arising under them are governed by New Jersey law. Waiver of Jury Trial: Both parties waive the right to a jury trial for disputes arising from these Terms. Entire Agreement: These Terms, along with the Authorized Reseller Policy, constitute the full agreement regarding the sale of MY Distribution products through any authorized sales channels.
