This Partnership Agreement sets forth roles, goals, and expectations of both the Agency and the Partner to execute the mutually agreed-upon goals of the Care-A-Van initiative (Program), an initiative under the umbrella of the Agency.
Background and Purpose:
Care-A-Van is an initiative created in 2016 to enhance overall community wellness by bringing programs, services, resources, arts, music, and positive energy into the heart of underserved communities across Northeast Ohio. Care-A-Van was started under the umbrella of Whole Vision LLC and has since become a program of Food Strong (the Agency), a local 501c3 nonprofit organization dedicated to strengthening and empowering communities through fresh, local foods. A strong emphasis is placed on community engagement and partnerships. Services provided at each event are based on the requests expressed by the hosting organizations.
Through this Partnership Agreement, we are seeking a commitment from you to add value to the progress of this initiative while we also support your organization’s community engagement goals. We realize the level of commitment will differ based on your organizational capacity and personal interest. This agreement will ensure that expectations of involvement and participation are clear and will ensure that we all move towards our agreed-upon goals efficiently in order to maximize our impact on the communities we serve.
The following outlines the goals and expectations of this partnership:
Agency:
- Agency will coordinate all Program events.
- Agency will communicate all Program details in a timely manner.
- Agency will provide sufficient staffing to fulfill obligations in a professional manner, but will notify partners in a timely fashion if modifications need to be made.
- Agency will give timely notice of any cancellations and will cancel only when execution is rendered impossible.
- Agency agrees to collaborate and cooperate with all Program specifications with an understanding that all agencies have an equally important place on the table.
- Agency will compile the data provided from the inventory of resources survey completed by all partners and update as needed to identify what services the Partner is willing to offer at events.
- Agency will initiate and execute fundraising efforts.
- The Agency will create and implement a program sustainability model.
- Agency will work to provide services requested by the community to be inclusive and respectful of the community’s priorities.
- Agency will collect & share data that can be used by Partner to aid in the advancement of community welfare and improve future outcomes of Program events.
- Agency will provide promotional support for contributing partner organizations and institutions.
- Persons representing and/or employed by the Agency who participate in the Program give permission for the use of photos taken of them at Program events.
- Agency will foster collaborative efforts of Partner to further their organizational capacity, whenever possible.
Partner:
- Partner will be punctual and arrive at the event site with enough time to set up before the event (unless advance notice is given).
- Partner will communicate attendance and services offered for scheduled Program events in a timely manner (by emailing Heather@foodstrong.org).
- Partner will provide sufficient staffing to fulfill agreed-upon obligations in a timely, professional manner.
- Partner will give timely notice of any cancellations.
- Partner will collect and compile event data and report it to the Agency (such as clients served, etc).
- Partner agrees to collaborate and cooperate with all Program partners with an understanding that all agencies have an equally important place at the table.
- Partner will provide promotional and recruitment support.
- Persons representing and/or employed by agencies who participate in the Program permit the use of photos taken of them at Program events.
- Partner will assist with attaining resources and partnerships for the further success of the Program, whenever possible.
- Partner is encouraged to think “outside the box” to strategically accomplish the goals of the program.
- Partner will not hold Agency or affiliated program partners liable for any incidents that occur outside control in the execution of this program.
- Partner will complete an Agency incident report if any incidents occur during execution of Program.
Partner and Agency:
- Both parties will collaborate and provide services in a culturally-sensitive manner.
- Both parties will collaborate and share suggestions for improvement to enhance the impact of the Program initiative.
- Both parties will maintain punctuality and respectful, professional communication standards when collaborating on this Program.
- Both parties will maintain confidentiality of Agency and Program affiliates: all non-public organizational ideas, documents, concepts, know-how, methods, models, technical data, techniques, computer programs, skills and knowledge.
Assumption of Risk:
- Partner will have full knowledge of risks involved and release the Agency from any and all liabilities and claims that may arise directly or indirectly to any loss or damages while participating in any activities with Agency.
Duration:
- This Partnership Agreement is at-will and may be modified by mutual consent of authorized Agency and Partner officials. In the event any provision or part of this Agreement is found to be invalid or unenforceable, only that particular part, and not the entire Agreement, will be inoperative.
- If any non-material or procedural breach of this contract occurs by either party, the contract is not inoperative. This Partnership Agreement shall become effective upon signature of authorized officials and will remain in effect until modified or terminated in mutual agreement of authorized officials. If Partner would like to terminate the contract, they are requested to notify Food Strong as soon as possible, but preferably, within 30 days of the cancellation of the agreement.
