Dispatcher - Carrier Agreement

Dispatcher-Carrier Agreement 

This Agreement is made and entered into as of   Date*   , by and between Veritas Logistix LLC, ("Dispatcher"), and   Carrier Name*   , ("Carrier"). 
WHEREAS, Dispatcher is a freight dispatching service provider; and 
WHEREAS, Carrier is a motor carrier authorized to transport property by motor vehicle; and 
WHEREAS, Dispatcher desires to engage Carrier to transport freight, and Carrier desires to provide such transportation services, subject to the terms and conditions of this Agreement. 
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows: 
1. Services Provided by Dispatcher: 
Dispatcher agrees to provide the following services to Carrier: 
-Locate and identify potential freight loads that meet Carrier's specifications and equipment capabilities. 
-Negotiate rates with brokers or shippers on behalf of Carrier. 
-Dispatch loads to Carrier, providing all necessary information, including pickup and delivery locations, times, and load details. 
-Handle all necessary paperwork related to dispatching the load, including rate confirmations and other relevant documentation. 
2. Services Provided by Carrier: 
Carrier agrees to: 
-Accept and transport all loads dispatched by Dispatcher in a timely and professional manner, in accordance with all applicable federal, state, and local laws and regulations. 
-Provide Dispatcher with updates on the status of each load, including pickup and delivery confirmations. 
-Maintain all necessary insurance coverage, including cargo insurance, liability insurance, and workers' compensation insurance, as required by law. 
-Ensure that all equipment used to transport freight is in good working order and meets all safety requirements. 
3. Compensation: 
Dispatcher shall receive a fee equal to eight percent (8%) of the gross revenue generated from each load dispatched to and completed by Carrier. This fee will be deducted from the total payment received for the load. 
4. Invoicing and Payment: 
Dispatcher will invoice Carrier within 48 hours for services rendered. Invoices will be sent to Carrier within 48 hours after completion of each load. 
Carrier agrees to pay all invoices within (7) days of receipt. 
5. Load Responsibility: 
Veritas Logistix acts solely as a dispatcher and is not a freight broker or carrier. Veritas Logistix is not responsible for the freight itself, its condition, or any loss or damage that may occur during transportation. Carrier assumes full responsibility for the safe and timely transport of all freight accepted. 
6. Limited Power of Attorney: 
Carrier hereby grants to Dispatcher a limited power of attorney solely for the purpose of signing rate confirmations on Carrier's behalf. This power of attorney is strictly limited to the execution of rate confirmations and does not extend to any other documents or actions. This power of attorney may be revoked by Carrier in writing with (7) days’ notice.          
7. Independent Contractor Relationship: 
The relationship between the parties is that of independent contractors. Carrier is not an employee, agent, or partner of Dispatcher, except for the limited power of attorney granted in Section 7. Carrier has the sole responsibility for the manner and means by which the transportation services are performed. 
8. Indemnification: 
Carrier agrees to indemnify and hold Dispatcher harmless from any and all claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising out of or related to Carrier's performance of transportation services under this Agreement. 
9. Term and Termination: 
This Agreement shall remain in effect until terminated by either party with (7) days written notice. 
10. Entire Agreement: 
This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations and3 understandings, whether written or oral.
