This Confidentiality & Non-Disclosure Agreement (“Agreement”) is made and entered into on the date mentioned above by and between:

Receiving Party:
Recipient : whose full details are mentioned at the beginning of this form, hereinafter referred to as “Recipient”. The date of this agreement is also mentioned above.

1. Purpose
 
The Recipient acknowledges that she will receive raw video footage (“Confidential Material”) from Dr. Mostafa Osama’s Sixteen Teeth, LLC, solely for the purpose of editing, marketing, or related services exclusively for the Company.

2. Ownership & Confidentiality
 
All raw videos and any content derived from them remain the exclusive property of Dr. Mostafa Osama’s Sixteen Teeth, LLC, and the Recipient has no ownership rights over them. The Recipient must not copy, share, distribute, or disclose any of the videos or related materials to any third party without the Company’s prior written consent. The Recipient must take all reasonable precautions to protect the Confidential Material from unauthorized access or distribution.

وليس للمستلم أي حقوق ملكية عليها. يجب على المستلم عدم نسخ أو مشاركة أو توزيع أو الكشف عن أي من مقاطع الفيديو أو المواد ذات الصلة لأي طرف ثالث دون موافقة خطية مسبقة من الشركة. يجب على المستلم اتخاذ جميع الاحتياطات اللازمة لحماية المواد السرية من الوصول غير المصرح به أو التوزيع.
 
3. Restricted Use & Prohibited Actions
 
The Recipient may only use the videos for work related to Dr. Mostafa Osama’s Sixteen Teeth, LLC. The videos cannot be shared, sold, or used for personal or third-party projects. Any breach of this Agreement will be considered a violation of confidentiality and subject to legal action.
لا يجوز للمستلم استخدام مقاطع الفيديو إلا في الأعمال المتعلقة بشركة

لا يجوز مشاركة، بيع، أو استخدام الفيديوهات في مشاريع شخصية أو لأطراف ثالثة. أي خرق لهذه الاتفاقية سيعتبر انتهاكًا للسرية وقد يؤدي إلى اتخاذ إجراءات قانونية.
 
4. Penalty for Breach
 
If the Recipient leaks, distributes, or misuses the Confidential Material in any way, she agrees to pay a fine of $10,000 (USD) as liquidated damages, in addition to any legal action pursued by Dr. Mostafa Osama’s Sixteen Teeth, LLC.
إذا قامت المستلم بتسريب أو توزيع أو إساءة استخدام المواد السرية بأي شكل من الأشكال، فإنها توافق على دفع غرامة مالية قدرها 10,000 دولار أمريكي كتعويض متفق عليه، بالإضافة إلى أي إجراءات قانونية تتخذها شركة

5. Duration of Agreement
 
This Agreement remains in effect indefinitely, even after the working relationship between the parties ends.
تظل هذه الاتفاقية سارية إلى أجل غير مسمى، حتى بعد انتهاء العلاقة العملية بين الطرفين.
 
6. Governing Law
 
This Agreement is governed by the laws of the United States of America, and any disputes will be resolved in a court of competent jurisdiction.
تخضع هذه الاتفاقية لقوانين الولايات المتحدة الأمريكية، وأي نزاع ينشأ عنها سيتم حله أمام محكمة ذات اختصاص قضائي مناسب.
 
7. Acknowledgment & Signature
 
By signing below, the Recipient acknowledges that she has read, understood, and agreed to the terms of this Agreement.
