Grant of License to the Submitted Artwork
Artist hereby grants to COSI a non-exclusive, royalty-free license to the submitted Artwork, including the right to reproduce, distribute, display, and transmit copies of the Artwork and the right to prepare derivative works based upon the Artwork, subject to the terms and conditions of this Agreement. COSI will not obtain any right, title or interest in and to the Artwork other than that which is specifically granted herein.
Transportation, Shipping and Installation (If Artwork accepted into Art Exhibition)
If Artist requests for Artwork to be shipped back after the conclusion of the exhibition, Artist must provide return shipping postage and packaging (preferrably at Artwork drop-off) and is responsible for any additional shipping costs.
COSI shall be responsible for all costs in unpacking, properly installing, and de-installing the Artwork. The method of shipment will be agreed upon by both parties. If, at the Artist’s request, the Artwork is to be returned to an address other than that specified in correspondence (written or verbal) between COSI and Artist, the Artist may be asked to pay additional costs incurred by such a change.
COSI at its sole discretion has the right to accept which Artworks, if any, are to be displayed. Notification of receipt of the Artwork will only be sent if work is missing or damaged.
Insurance/Liability (If Artwork accepted into Art Exhibition)
COSI will exercise the same care in respect to the Artwork as it does in safeguarding its own property similar nature. Precautions will be taken to protect the Artwork from fire, theft, mishandling, and extremes of light, temperature, and humidity while in COSI’s custody.
COSI shall not be responsible for the loss and damage to the Artwork if the damage is due to inherent faults attributed to the design, construction, or material of the works. COSI cannot provide compensation for natural deterioration caused by heat, humidity, light, or circumstances beyond its control. If the works require special handling or environments, the Artist must inform COSI, in writing, of special needs prior to display.
Any evidence of damage or loss at the time of receipt or while in COSI’s custody will be reported immediately to the Artist in writing. No repair, restoration, or alteration will be undertaken without the Artist's express written permission.
Waiver of Liability Acknowledged: Artist understands and agrees they have read the conditions and agrees to abide by said conditions while releasing COSI from liability for loss or damage to Artworks lent. Artist shall assume any responsibility or obligation for any loss or damaged item(s). It is further understood that items on display are not and will not be covered under any insurance policy owned by COSI and it is the Artist’s burden of cost. Works left over 60 days beyond the end date of loan may be disposed of at the discretion of COSI.
Applicable Law
This agreement shall be governed under the laws of the State of Ohio.
The aforesaid conditions shall apply to all submitted and accepted artworks to COSI and cannot be altered, changed, waived or otherwise affected except by written consent of the both parties.
The parties hereby agree to the Agreement described herein subject to the terms stated above.
