1. Limited, Non-Exclusive License
   The Licensor grants the Licensee a limited, non-exclusive, non-transferable, and revocable right to:
   • Operate a beauty school under the Louisville Beauty Academy (LBA) brand, utilizing its intellectual property, proprietary education model, and operational guidance.
   • Use LBA’s branding, curriculum, and educational framework to establish a state-compliant and student-success-driven beauty academy.
2. Scope of License
   The Licensee must adhere to the following:
   
   • State & Federal Compliance – Licensee is responsible for securing and maintaining all necessary permits, licenses, and regulatory approvals.
   • Independent Implementation – LBA provides guidance, resources, and advisory support, but all implementation is the Licensee’s sole responsibility.
   • Brand Integrity & Professionalism – Licensee must maintain LBA’s brand image, ensuring a clean, professional, and student-centered environment at all times.
3. Automatic Renewal Clause
   
   • This Agreement is valid for a term of five (5) years from the Effective Date.
   • If neither party provides a written termination notice at least 90 days before the expiration of the term, this Agreement will automatically renew for an additional five (5) years under the same terms and conditions.
4. This Agreement constitutes a licensing arrangement, not a franchise. The Licensee operates independently and retains full control over business operations, staffing, and financial decisions. LBA does not provide continuous operational support, required training, or mandatory marketing structures. Licensee acknowledges that LBA is not liable for their business performance, legal compliance, or financial obligations.

1. Use of Intellectual Property (IP)
   
   • The Licensee is granted permission to use LBA’s branding, educational model, and marketing materials.
   • If the agreement is terminated for any reason, the Licensee must immediately remove all references to LBA, its trademarks, and its branding.
   • The Licensee acknowledges that all intellectual property, including branding, curriculum, business processes, and marketing systems, are the exclusive property of LBA. The Licensee shall not copy, replicate, distribute, or create a competing beauty school using LBA’s intellectual property during or after the term of this Agreement. Upon termination, Licensee must remove all LBA branding and materials immediately. Any unauthorized use or failure to comply with this clause shall result in legal action and financial penalties
2. Compliance with Laws
   
   • The Licensee must ensure full legal compliance with state board licensing, operational regulations, and business laws.
   • The Licensee is responsible for securing and maintaining its own licenses, permits, and approvals.
3. Professional Image & Leadership Responsibility
   
   • The Licensee, as the owner and CEO, represents the school’s culture and brand.
   • Social Media Presence: The Licensee must maintain a clean, professional, and inspiring online image, free from controversy or adversarial content that could damage LBA’s reputation.
   • Leadership by Example: The Licensee must embody the values of LBA—affordability, flexibility, student-first focus, and a caring, family-oriented culture.

1. Guidance & Advisory Support
   LBA will provide:
   
   • Best practice recommendations for operating a successful beauty school.
   • Access to branding materials, curriculum, and digital resources to maintain consistency.
   • Compliance and licensing guidance to help streamline approval processes.
2. Marketing & Brand Promotion
   
   • LBA will feature the Licensee’s academy on its online directories and marketing channels.
   • LBA will maintain digital advertising and SEO strategies to drive student enrollments.

1. Voluntary Termination by Licensee
   If the Licensee chooses to exit, the following must be completed:

   • Full payment of the $30,000 licensing fee (if not yet completed).

   • Payment of 10% revenue share for the year of termination.

   • Immediate removal of all LBA branding, intellectual property, and school references.

   • Payment of remaining royalties for all years left in the contract at the moment of termination. 

2. Termination by LBA for Breach of Agreement
   LBA reserves the right to immediately terminate this Agreement if:

1. • The Licensee fails to meet financial obligations (fees, royalties, marketing dues).

   • The Licensee damages the brand, misrepresents LBA, or fails to uphold professional standards.

   • The Licensee fails to comply with state licensing requirements or business regulations. 

Upon termination, the Licensee must cease operations under the LBA name and remove all branding, materials, and references.

1. This Agreement automatically renews for an additional five (5) years unless the Licensee provides a written termination request at least 90 days before the expiration date. Failure to submit written notice will result in automatic renewal under the same terms.
2. If the Licensee terminates this Agreement before completing the five-year term, they shall pay all remaining unpaid royalties for the full contract term immediately upon termination. Failure to pay the remaining balance will result in legal action to recover the full contracted amount.

1. Limitation of Liability
   
   • The Licensee operates independently and assumes full responsibility for business operations.
   • LBA is not liable for any legal, financial, or regulatory issues arising from the Licensee’s business.
2. Indemnification
   
   • The Licensee agrees to indemnify and hold LBA harmless from claims, damages, or legal disputes related to their school.
3. The Licensee agrees to indemnify and hold harmless LBA from any claims, lawsuits, liabilities, or financial damages resulting from the Licensee’s business operations, regulatory non-compliance, or third-party disputes. LBA assumes no responsibility for business decisions made by the Licensee.

• The Licensee must maintain confidentiality regarding LBA’s proprietary methods, educational content, and business strategies.
• The Licensee cannot share, sell, or transfer any intellectual property or operational knowledge.

• Mediation is required before legal action is pursued.
• If mediation fails, disputes will be settled through binding arbitration in Louisville, KY.
• In the event of a dispute, the Parties agree to mediation as a first step. If mediation fails, the dispute shall be resolved through binding arbitration in Louisville, KY. The prevailing party in any dispute shall be entitled to recover all attorney fees and legal costs incurred

• This Agreement shall be governed by and interpreted under the laws of the State of Kentucky.

• This Agreement constitutes the entire agreement between the Parties and supersedes any prior discussions or agreements.
