This Non-Disclosure and Volunteer Agreement ("Agreement") is entered into by and between BEAM Venture Institute, Inc., a registered 501(c)(3) non-profit organization EIN: 99-3535086 (“BEAM Venture Institute”), and {name} hereinafter referred to as the "Volunteer."
1. Purpose of Agreement
BEAM Venture Institute is committed to empowering youth by nurturing their entrepreneurial talents within a community guided by moral and ethical values. Volunteers are eential in executing BEAM Venture Institute’s curriculum and supporting young participants. This Agreement establishes the confidentiality, intellectual property, and conduct expectations for Volunteers in all BEAM Venture Institute chapters.
2. Confidentiality and Non-Disclosure
a. Confidential Information: The Volunteer may have access to BEAM Venture Institute's proprietary materials, curriculum, strategies, intellectual property, and other confidential information (collectively, "Confidential Information"). The Volunteer agrees not to disclose, reproduce, or distribute any Confidential Information to unauthorized third parties without the express written consent of BEAM Venture Institute.
b. Use of Confidential Information: Confidential Information shall only be used by the Volunteer for the purpose of executing BEAM Venture Institute’s curriculum and supporting chapter activities. Volunteers agree to take reasonable precautions to prevent unauthorized disclosure of Confidential Information.
c. Exceptions: Confidential Information does not include information that (i) becomes publicly known through no wrongful act by the Volunteer, (ii) is received from a third party who is not in breach of any obligation of confidentiality, or (iii) is independently developed by the Volunteer without the use of BEAM Venture Institute's Confidential Information.
3. Intellectual Property Rights
a. Ownership: All materials, curriculum, methodologies, and intellectual capital provided by BEAM Venture Institute remain the exclusive property of BEAM Venture Institute. This includes any materials created or modified by the Volunteer in the course of their service to BEAM Venture Institute.
b. Use of BEAM Venture Institute Materials: Volunteers may not use, reproduce, or share BEAM Venture Institute’s proprietary materials outside of BEAM Venture Institute programs or for personal or commercial gain. The Volunteer agrees not to create derivative works based on BEAM Venture Institute’s curriculum without written authorization from BEAM Venture Institute.
4. Roles and Responsibilities
a. Adherence to Curriculum: Volunteers shall adhere to BEAM Venture Institute’s prescribed roles and responsibilities and implement the curriculum in accordance with BEAM Venture Institute guidelines and instructions.
b. Conduct and Legal Compliance: Volunteers are expected to follow the highest standards of conduct, comply with all applicable local, state, and federal laws, and adhere to all 501(c)(3) guidelines. This includes respecting the privacy and welfare of all participants, especially minors, in BEAM Venture Institute programs.
c. Background Checks and Clearances: BEAM Venture Institute requires volunteers to obtain background checks or other legal clearances necessary for working with minors. By signing this Agreement, the volunteer agrees to complete the required checks and provide proof of compliance to BEAM Venture Institute. Volunteers may either complete the background check through a link provided by BEAM Venture Institute or submit an active and approved background clearance from volunteering with a local school district.
5. Safety and Legal Disclaimer
a. Insurance and Liability: BEAM Venture Institute encourages Volunteers to have appropriate health, liability, and personal insurance coverage. BEAM Venture Institute does not assume responsibility for any personal injuries, property damage, or health conditions that may arise during or as a result of the Volunteer’s activities.
b. Waiver of Liability: The Volunteer understands and agrees that BEAM Venture Institute, its officers, directors, employees, and affiliates are not liable for any injuries, legal claims, damages, or losses arising out of or in connection with the Volunteer’s participation in BEAM Venture Institute activities. The Volunteer agrees to indemnify and hold harmless BEAM Venture Institute from any claims or liabilities arising out of their actions or negligence.
6. Non-Compensation
a. No Monetary or Material Compensation: The Volunteer acknowledges and agrees that their role with BEAM Venture Institute is purely voluntary and that they will not receive any monetary payment, material compensation, or benefits in return for their services.
b. Expense Reimbursement: Volunteers may incur necessary expenses in the course of their duties, but such expenses must be pre-approved by the BEAM Venture Institute leadership team. Volunteers agree to follow BEAM Venture Institute’s established reimbursement process for submitting any eligible expenses for reimbursement. BEAM Venture Institute will only reimburse pre-approved expenses and reserves the right to deny reimbursement for expenses that do not follow this process.
7. Termination
a. Termination by BEAM Venture Institute: BEAM Venture Institute reserves the right to terminate this Agreement and the Volunteer’s role at any time, with or without cause.
b. Return of Materials: Upon termination of the volunteer relationship, the Volunteer agrees to promptly return all BEAM Venture Institute materials, including but not limited to curriculum guides, proprietary materials, and any documents containing Confidential Information.
8. Miscellaneous
a. Governing Law: This Agreement shall be governed by and interpreted in accordance with the laws of the state in which BEAM Venture Institute is incorporated, without regard to its conflicts of laws principles.
b. Entire Agreement: This Agreement constitutes the entire agreement between BEAM Venture Institute and the Volunteer regarding the subject matter hereof and supersedes any prior discussions or agreements between the parties.
c. Amendments: Any amendments or modifications to this Agreement must be in writing and signed by both parties.
9. Acknowledgment and Acceptance
By signing below, the Volunteer acknowledges that they have understood, and agreed to comply with the terms of this Agreement. The Volunteer understands that failure to comply with the Agreement may result in disciplinary action, including termination of volunteer services with BEAM Venture Institute.
