Perfectly Placed Staging Agreement 

("Customer") and Perfectly Placed Home Staging and Redesign LLC, located at 248 Homeland Ct., Colo. Springs, CO ("Service Provider" or "Perfectly Placed") and is effective as of the last signature date below ("Effective Date”).

IN CONSIDERATION OF the mutual benefits and obligations set forth in the Agreement and attached Staging Proposal, the receipt of and sufficiency of which consideration is hereby acknowledged, the parties agree as follows:

 
1. Payment Details: Contract is considered valid under the following terms and conditions.

First month's payment of $600.00 is due and payable upon the Effective Date. $100 weekly to be auto-billed to credit card listed below for each consecutive week (up to $400 a month) after initial month period is over until termination of this Agreement. No partial months will be accepted initially nor refunds given. Time will begin on the day staging is completed.
B. The term of this Agreement will begin upon the Effective Date and will remain in full force until the completion of services on the De-Staging Day or before, upon successful sale of the property.

C. Customer must provide a minimum of 7-day notice (via confirmed email, call or text) to schedule pick-up. For emergency pick-up (less than 7-day notice), there will be a charge of $75.00. Cancellations of less than 72 hours will be charged a 10% restocking fee. We will do our best to pick up as quickly as possible and to coordinate pickup with the furniture company (when applicable) but due to the separation of our businesses, client maybe subject to additional rental days fees due to furniture company's pickup availability.

D. Re-scheduling of a stage day within 48 hours will be subject to a flat fee of $100 and next availability given by stager. Re-scheduling within 24 hours of a stage day will result in a fee or $200 for a stage under $1000 or 20% of the cost of the stage if above $1000.

E. If you sign a contract for a stage and then cancel, you will be subject to a $150 cancellation fee or 20% of the stage (whichever is greater) to cover time taken away from other clients and accessories reserved for your house.

2. Delinquent Payment: After 5 days from the due date each month, Customer shall pay a late charge of $35.00. Any payment which 15 days delinquent is shall automatically terminate this Agreement without notice and Service Provider shall be immediately entitled to retake possession of furniture and accessories used in this staging service.

Engagement:

3.The Customer hereby agrees to engage Perfectly Placed to provide the Customer with services listed in the Staging Proposal which is attached and incorporated herein as Addendum 1. Staging, although proven to be effective, is a trained professional opinion and services provided do not in any way warrant or guarantee the sale of the home or an increased sales price.

4. The Customer acknowledges before and after photographs will be taken during the Staging process and gives permission to Perfectly Placed's use of these photographs in advertising and marketing.

5. The furniture and accessories herein shall be kept on the property and shall not be moved within or off the property.

6. The Customer grants to Perfectly Placed employees and agent's permission to enter and use the property for the purpose of providing Home Staging Services listed in the Staging Proposal.

7. Entry to the premises must be made available to Perfectly Placed immediately by way of providing a key and/or combination to lock box.

8. Customer acknowledges Perfectly Placed has permission to move anything within the property, as well as permission to put holes in the walls for artwork, etc...Touch-up is not the responsibility of Perfectly Placed.

Furniture and Accessory Rental:

9. Customer agrees to have property "Stage Ready". There is a 10% restocking fee minimum or higher to cover fees including truck rental, hired movers, mileage, and gas if property is not Stage Ready. (This includes cleaning unfinished or construction not completed within the home as it leaves dust and ruins staging items)

10. Customer acknowledges receipt of the furniture and accessories in good condition by accepting delivery. Furniture and accessories remaining on the property are the direct responsibility of the Customer. All items are to be returned in the same condition, as when placed, otherwise repair or replacement costs will be Customer's responsibility and will be added to the invoice. Contract signee will be responsible for any dry cleaning or service needed if pet hair damage occurs.

11. Furniture and accessories items are for display purposes only and not to be used whatsoever.

12. Perfectly Placed has the right to enter premises for the purpose of checking on staging props, refreshing items and condition.

13. Customer agrees that if a petition of bankruptcy is filed by or against Customer, or a receiver is appointed, or if the property becomes subject to a foreclosure action, Service Provider may declare this Agreement terminated and without notice or demand, or process of law, take the possession of the furniture and accessories wherever located. Customer shall pay all cost of re-locating and repossessing the furniture and accessories if the Agreement is terminated or violated. Customer agrees that if a lawsuit is brought due to Customer's violation of any of the terms of this Agreement, Customer shall pay all of Service Provider's court costs, including attorneys' fees. If court proceedings are filed, Service Provider may file for all remedies available at law and equity including, but not limited to, the then delinquent staging service fees plus attorneys' fees, costs, late fees, and for any damages to furniture and accessories.

14. In the event Customer is in violation of any of the terms of this Agreement, Staging Company shall have the immediate right to remove the furniture and accessories from said premises.

Liability, Governing Law, and Miscellaneous:

15. Customer agrees to defend, indemnify and hold Perfectly Placed harmless from and against all claims, demands, losses, damages, liabilities, legal fees and costs arising from this Agreement, conditions on the property, and from information or instructions supplied by Customer that are incomplete or incorrect.

16. Is it the intention of the parties to this Agreement that all suits and special proceedings be construed in accordance with and governed by the laws of Colorado. This Agreement shall apply to the successors, assigns, heirs, administrators, agents, and representatives of each party. All property owners of the premises must sign this Agreement and upon doing so, the right and obligations of said persons shall be joint and several. This Agreement contains the entire understanding of the parties with regard to the subject matter hereof and this Agreement supersedes any previous agreement or understanding and cannot be modified except in writing by all of the parties hereto.
