Payment Terms Payment Methods: Payments can be made via Zelle or Cash App.
Payment terms will be determined based on the selected package. All prospective Practitioners will participate in a discovery call to discuss and finalize these terms.
Cancellation Policy
Practitioner No-Show: No refund will be provided if the Practitioner fails to attend the event.
Organizer Cancellation: If the Organizer cancels the event, the Practitioner will receive a full refund of any amounts paid.
Rescheduling: In the event of dangerous weather, government shutdowns, or similar circumstances, deposits will be transferred to a future date.
Practitioner Responsibilities
Setup and Breakdown: Setup times are from 10:00 AM to 4:00 PM on Friday,
June 19th, and breakdown must be completed by 8:00 PM on Sunday, June 21st.
Marketplace and Healing Village
Compliance: Practitioners must comply with all local, state, and federal laws, including health and safety regulations.
Insurance: Practitioners are required to have liability insurance for their participation in the event. Resources are available upon request.
Marketplace and Healing Village Regulation Space Allocation: Practitioners will be assigned specific spaces based on the services they offer. Booth Appearance: Booths must be kept clean and professional. Decorations and displays must not obstruct walkways or pose safety hazards.
Prohibited Items: The sale of illegal items, alcohol, and other prohibited substances is strictly forbidden.
Marketing and Promotion
Marketing Package: Upon confirmation, the Practitioner will receive marketing support via social media mentions, email newsletters, and website features.
Marketing Materials: Practitioners must provide marketing materials, including logos, product images, and descriptions, to the Organizer.
Camping Guidelines
Camping Area: Specific camping areas will be assigned. The Grounded Xperience camping package includes camping accommodations, healing activations, all amenities and gourmet meals.
Camp Rules: Practitioners must adhere to the Organizer's camping guidelines, including noise restrictions and waste disposal policies.
Personal Property: Practitioners are responsible for their personal property. The Organizers will not be liable for lost, stolen, or damaged items.
Liability
Indemnification: The Practitioner agrees to indemnify and hold harmless the Organizer, its employees, and agents from any claims, damages, or losses arising from the Practitioner’s participation in the event.
Force Majeure: The Organizer will not be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, acts of God, or emergencies.
Agreement Termination
Breach of Agreement: If the Practitioner breaches any terms of this agreement, the Organizer reserves the right to terminate participation without refund.
Dispute Resolution: Any disputes arising from this agreement will be resolved through mediation or arbitration in the jurisdiction of Los Angeles, California.
Non-Exclusivity
This agreement does not create an exclusive relationship between the Practitioner and the Organizer. The Organizer reserves the right to hire or contract with other practitioners, vendors, or service providers for The Freq Retreat or other events.
Intellectual Property. The Practitioner retains ownership of any intellectual property (IP) rights related to their services, including but not limited to workshop content, product designs, or materials used during the event. License to Use: By participating in the event, the Practitioner grants the Organizer a non-exclusive, royalty-free license to use the Practitioner’s name, likeness, and any provided marketing materials (e.g., logos, images) for promotional purposes relating to The Freq Retreat.
Confidentiality
The parties agree to maintain the confidentiality of any proprietary or sensitive information shared in the course of this agreement, except where disclosure is required by law or necessary for the fulfillment of the contract. This clause will survive the termination of the agreement.
Photography and Videography Consent: The Practitioner consents to the Organizer and authorized third parties capturing photographs,
video, and other media during the event, which may include the Practitioner’s likeness or services. The Organizer may use these materials for marketing, promotional, and archival purposes without additional compensation to the Practitioner.
Health and Safety Protocols
The Practitioner agrees to follow all health and safety protocols set by the Organizer, including but not limited to COVID-19 guidelines, fire safety, and emergency procedures.
The Practitioner acknowledges that participation in the event may involve inherent risks, and agrees to comply with any precautionary measures required to mitigate those risks.
Damage to Property
The Practitioner agrees to be responsible for any damage caused by themselves, their staff, or their representatives to the event venue or to any equipment provided by the Organizer. The Practitioner will be liable for the costs associated with repair or replacement of damaged items.
Waiver of Liability
The Practitioner acknowledges that participation in The Freq Retreat involves certain risks and agrees to assume full responsibility for any injuries or damages that may occur during the event.
The Organizer is not responsible for any personal injury, illness, or property damage suffered by the Practitioner, their staff, or any third parties, except in cases of gross negligence or willful misconduct by the Organizer.
Governing Law and Jurisdiction
This agreement shall be governed by, and construed in accordance with, the laws of the State of California. Any legal actions arising out of or in connection with this agreement will be resolved in the courts located in Los Angeles, California.
Severability
If any provision of this agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.
Entire Agreement
This agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior discussions, agreements, or understandings of any kind.
No modification or amendment to this agreement will be valid unless made in writing and signed by both parties.
No Assignment
The Practitioner may not assign, transfer, or delegate any of their rights or obligations under this agreement without the prior written consent of the Organizer.
Independent Contractor Status
The Practitioner is participating as an independent contractor, not an employee, agent, or partner of the Organizer. The Practitioner has no authority to bind the Organizer to any contractual agreements or liabilities.
