APPLICATION FOR AUTHORIZED RETAILER STATUS
WellnessMats, LLC Minimum Advertised Pricing Policy; and Explanation of Available Sales Promotions
The following is an updated application for status as an Authorized Retailer for American Pro Marketing, LLC d/b/a d/b/a WellnessMats effective as of 5/1/2026. The APM MAP policy applies to the product line hereinafter referred to as “WellnessMats.” This document includes a statement of APM’s Minimum Advertised Pricing (MAP) policy. Please read this document carefully. The below pricing policy is effective May 1st, 2026.
Minimum Advertised Pricing (MAP) Policy
APM maintains and enforces a Minimum Advertised Pricing (MAP) policy that prohibits the sale of WellnessMats products below the Manufacturer Suggested Retail Price (MSRP) or below 20% of the MSRP during any of the 4 MAP Promotional Holiday (See Attached MAP Holiday Calendar) for each product. By completing this application and signing where indicated below, you agree to abide by the following terms as a condition of your status as an Authorized Retailer of WellnessMats products. On behalf of the undersigned Retailer, you expressly agree as follows:
1. The APM MAP policy applies to all advertisements of WellnessMats products listed on its product information spreadsheet including, but not limited to, flyers, posters, coupons, mailers, inserts, magazines, brochures, e-mail newsletters, e-mail solicitations, social media posts, websites, or similar electronic media, television, radio, and public signage.
2. The undersigned Authorized Retailer will only advertise WellnessMats products for sale and sell these products at a price that is equal to MAP or up to 20% below MAP as specified by the MAP Holiday Promotional Pricing Calendar.
3. The undersigned Authorized Retailer will not distribute WellnessMats products to any party engaged in selling products at the retail level without written permission from APM.
4. The undersigned Retailer is authorized to sell WellnessMats products only at the website(s) indicated below. The undersigned Retailer expressly agrees that it will not sell WellnessMats products on any Third-Party platforms, such as Amazon, eBay, Walmart.com, Overstock.com, Newegg.com, and the like, without express written permission from APM. APM reserves the right to approve or deny any Third-Party Platform the undersigned Retailer may sell on.
5. APM reserves the right to modify its MAP policy and minimum advertised prices at any time.
6. In the event of a violation of the MAP policy, APM reserves the right to take any action it deems to be in the best interest of APM including, but not limited to, termination of the undersigned as an Authorized Retailer, stopping selling product to the undersigned retailer and canceling any orders received from the undersigned retailer, and/or withhold shipping of a product previously ordered, until the violation of the MAP policy is resolved, at APM’s sole discretion.
7. Upon notice of termination of status as an Authorized Retailer, the undersigned will comply with all reasonable demands made by APM to facilitate the termination of the relationship including, but not limited to, immediately returning all WellnessMats products in its possession for which payment has not been made. APM can also purchase existing products in the Retailer’s possession for which payment has been tendered at the same price the undersigned Retailer paid.
8. The Authorized Retailer agrees that this agreement and any services we provide you shall be governed by and construed by the laws of the State of Michigan, USA. Any action taken shall be brought in the State of Michigan.
9. The undersigned Authorized Retailer agrees and understands that APM is the owner of all intellectual property manifested in its products, including patents, trademarks, copyrights, trade secrets, and related know-how. APM is committed to protecting its intellectual property against any unauthorized use.
