  • This Agreement contains the entire understanding between ED YAO PHOTOGRAPHY, hereinafter referred to as 'THE COMPANY' and the CLIENT(s) as specified above. It supersedes all prior and simultaneous agreements between the parties. The only way to add or change this agreement is to do so in writing, signed by all parties.

     

    The COMPANY is responsible for providing the CLIENT a photographic service as detailed in this Agreement. The Client seeks to engage the COMPANY for photographic services at the prices specified below.

  • AGREEMENT TERMS & CONDITIONS

    Session Fees/Retainer: A retainer of 50% of the total package price & signed contract are required to reserve your wedding date and is non refundable. However, the above stated retainer will be applied to the total cost of your wedding package.

    The non refundable retainer is a fee that retains the photographer’s services for your scheduled session date that the photographer has turned down other work for. 

    The remainder of the wedding package balance is due on the day of the wedding/event. NO photography will be fulfilled if full payment is not received by the event date stated in this contract.

    Change of Date or Venue: The COMPANY must be notified immediately of any changes in schedule or location, at least one week prior to scheduled date of event. Notification of any changes can be made by phone along with written notice sent via email for documentation. If an email is sent, a confirmation of receipt must be in writing. It is the client's responsibility to confirm all arrangements at least 7-10 days prior to the event. In the event of change of address or contact information as listed, the client must notify The COMPANY.

    Exclusive Photographer: ED YAO PHOTOGRAPHY shall be the exclusive photographer(s) retained by the client for the purpose of photographing the wedding. Family and friends of the clients and other wedding vendors SHALL NOT interfere with the photographer's duties. Guests will be asked to refrain from taking flash photographs at certain intervals of wedding services to ensure proper exposure of images. 

    Copyright Information: The photographs produced by ED YAO PHOTOGRAPHY are protected by Federal Copyright Laws (Canadian Copyright Act, C-42) and MAY NOT be reproduced, cropped or altered in any manner. Client hereby waives any claims of ownership, income, editorial control and the use of the images.

    It is a breach of this agreement to not only reproduce or change the images, but to display them on social media networking sites (Facebook.com, Twitter.com, Instagram.com etc.) without crediting ED YAO PHOTOGRAPHY. Credit should be given by referencing www.edyaophoto.com and tagging ED YAO PHOTOGRAPHY on respective social media platforms. IG: @edyaophoto FB: @edyaophotography.

    Cancellation or Postponement Policy: There shall be NO refund of retainer after 48 hours from the signing of agreement due to the reservation of the photography date. If the event is cancelled within three months of the wedding date, the client shall pay the balance of the contract due to the high probability that ED YAO PHOTOGRAPHY will not be able to further book that date. Once a balance is paid, it is NON-REFUNDABLE. Any other arrangements shall be discussed between THE CLIENT and THE COMPANY. All arrangements will be put in writing. Cancelleation must be in writing even if a phone call was made to inform THE COMPANY of the cancellation.

    Creative License: Images are edited at the photographer's (ED YAO PHOTOGRAPHY) discretion, and delivered images may not include all images shot. The photographers (ED YAO) reserves the creative right to edit and release only those deemed creditable as professional quality and within the photographer's artistic standards. All edited images delivered are in high-resolution JPEG.

    Flash Drive Storage and Backups: Due to the possibility of drive failures and file corruption, THE COMPANY recommends clients back up images on another media format other than flash drives, such as an external hard drive or internet cloud storage. THE COMPANY also recommends making multiple copies of the images from the flash drive to insure the images for years to come. Once delivered, THE COMPANY is not responsible for any loss of images.

  • Archival of Images: After the final images are delivered, ED YAO PHOTOGRAPHY archives the photos for up to 4 months. In the event that THE CLIENT loses their images 4 months after the delivery date, the gallery can be reuploaded from the archive for a fee of $150.00 CAD. ED YAO PHOTOGRAPHY archives photos and safeguards them for up to a year after delivery date, however there is no guarantee that photos are recoverable after the 1 year period.

    Responsibilities: ED YAO PHOTOGRAPHY is not responsible for compromised coverage due to causes beyond the control of THE COMPANY including but not limited to obtrusive guests, lateness of the CLIENT or guests, weather conditions, scheduling complications, incorrect addresses provided to the COMPANY, and/or restrictions of the venues/locations. THE COMPANY is limited by the rules and guidelines of the locations and site management. Negotiation with the officials for moderation of guidelines is the CLIENT'S responsibility. THE COMPANY will offer technical recommendations only. THE CLIENT is responsible for all location fees and permits where applicable.

    Force Majeure: In the unlikely event that ED YAO PHOTOGRAPHY or its assigns cannot perform this agreement due to a fire, casualty, strike or other civil disturbances, Acts of God, including but not limited to road closures, severe traffic, fire, terrorism, death, other causes beyond the control of the parties, or due to the photographer's illness, then ED YAO PHOTOGRAPHY will make every effort to secure a replacement photographer. If no suitable replacement can be found, THE COMPANY shall return any monies paid by the client for the EVENT(s), less expenses, but shall have no further liability with respect to the agreement. This limitation of liability shall also apply in the even that photographic materials are damaged in processing, lost through camera malfunction, compact flash card malfunction, lost in the mail, or otherwise lost or damaged without the fault on the part of THE COMPANY.

    Associate Photographer: Any associate or second photographers included in your package will be chosen at the discretion of ED YAO PHOTOGRAPHY. All images taken by these associate photographers will still be edited by ED YAO to ensure consistent aesthetic quality.

    Meals and Nourishment: For packages including coverage of over 6 hours, a meal and beverage is to be provided for the photographer(s).

    Model Release: This contract serves as a model release, giving ED YAO PHOTOGRAPHY the irrevocable right to use the photographs in all forms and in all media and in all manners for advertising, trade, promotion, exhibition, or any other lawful purposes. THE COMPANY can grant the use of the images to third parties and all compensation for use and credit for the images remain the property of THE COMPANY. The client waives any right to inspect or approve the photograph(s), finished version(s) incorporating the photo(s) or the use to which it may be applied, included written copy that may be created and appear in connection therewith. This release is binding on the client and their legal representatives.

    Delivery of Products: THE COMPANY will deliver the edited photos in high-resolution jpeg via online password protected gallery no later than 3 months from the event date.

    Entire Agreement: This agreement contains the entire understanding between ED YAO PHOTOGRAPHY and the CLIENT(S). It supersedes all prior agreements between parties. The only way to add or change this agreement is to do so in writing, signed by all parties.

     

  • The undersigned have read and understood the contract and agree to the terms and conditions in their entirety.

    We kindly ask you get in touch with us two weeks prior to the date of your event to touch base and go over last minute details. We will make every effort to contact you, but it is the client's responsibility to contact ED YAO PHOTOGRAPHY to confirm event details and scheduling.

    ED YAO PHOTOGRAPHY retains the copyright to all images produced by ED YAO PHOTOGRAPHY and/or their subcontractors. THE COMPANY grants the CLIENT permission to share the images on social networking websites, with family and friends, and on vendor websites, as long as the images remain unaltered and textual credit is explicitly given to the COMPANY.
