  • Bridge Language Services Interpreter Contractor Agreement

  • This Agreement with Benjamin Smith Inc./Bridge Language Services is made and entered into as of _____ [Day] of ______ [Month], __________ [Year], with

    ___________________________________________ [Sub-Contractor]. Therefore, the parties hereby

    agree to the following:

  • 1. The Consultant’s/Interpreter Services Consultant/Interpreter (hereinafter referred to as “Sub-Contractor”) when available, shall provide professional interpreting services as needed and requested by Benjamin Smith Inc./ Bridge Language Services (hereinafter referred to as BLS), 2. The Sub-Contractor shall abide by RID’s Professional Code of Conduct.CONSIDERATIONSRATE: The interpreting services to be performed by the consultant/interpreter, under this agreement, BLS will pay the agreed upon rate based on a two-hour minimum. The Sub-Contractor shall submit a written and signed invoice of the time spent interpreting, the number of hours on the specified date(s),  billable address, and a brief description of services rendered. BLS shall pay the Sub-Contractor the agreed amount, pursuant to invoice submitted within 30 days after invoice is received. The rate agreed upon is $            per hour for a two hour minimum. (Invoices will be paid in 30 days after receiving the invoice.)

  • EXPENSES: BLS agrees to reimburse the Sub-Contractor for additional expenses, provided these expenses are pre-approved. These expenses may include travel, parking, and evening/weekend/holiday rates. The Sub-Contractor must submit written documentation and/or receipts detailing the incurred expenses. BLS will process payment for the approved expenses upon receipt of the appropriate documentation and a corresponding invoice.

    INDEPENDENT CONTRACTOR/INTERPRETER: BLS and the contracted Sub-Contractor will have a

    professional partnership. Sub-Contractor is an independent contractor and not an employee of BLS or any of BLS subsidiaries or affiliates. It is understood that BLS will not withhold any amounts for payment of taxes from the compensation to the Sub-Contractor. The Sub-Contractor will not be considered as an employee of BLS and the Sub-Contractor will acknowledge that he/she shall not have the right or entitlement to any pension, retirement, workman's compensation, or any other benefits. All yearly earnings shall be reported by BLS, to all applicable state and federal taxing authority by April of the specified year. BLS will send the consultant his/her 1099 form prior to January 31, of the following

    CONFIDENTIALITY: In the course of performing Sub-Contractor services, the parties recognize that the Sub-Contractor may come in contact or become familiar with information which BLS or its subsidiaries or affiliates may consider confidential. This information may include, but is not limited to, information pertaining to the nature of the job which may be of value to the competitor. The Sub-Contractor agrees to keep all such information confidential and not to discuss or divulge it to anyone other than the appropriate company (Benjamin Smith Inc./ Bridge Language Services) or their designees.

    Non-Disclosure Agreement (NDA)

    (a) Confidential Client Information: In the course of performing services for BLS, the subcontractor may have access to confidential information regarding clients of BLS, including but not limited to, client lists, contact information, specific needs or preferences, and any other information related to the clients ("Confidential Client Information"

    (b) Obligations of Confidentiality: The subcontractor agrees to maintain the confidentiality of all Confidential Client Information received from BLS and shall not disclose such information to any third party without the prior written consent of BLS.

    (c) Use of Confidential Client Information: The subcontractor agrees to use the Confidential Client Information solely for the purpose of performing services for BLS and shall not use such information for any other purpose without the prior written consent of BLS.

    (d) HIPAA Compliance: To the extent that Confidential Client Information includes protected health information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA), the subcontractor agrees to comply with all applicable HIPAA regulations and maintain the confidentiality of PHI in accordance with HIPAA requirements.

  • (e) Return or Destruction of Information: Upon termination of this Agreement or at the request of BLS, the subcontractor agrees to promptly return or destroy all materials containing Confidential Client Information, including any copies thereof, and provide written certification of such return or destruction upon request.

    TERM: This agreement will be considered valid from the date and signature below, unless either party terminates the agreement. The termination of agreement will be valid through an email to or from blsfirm1@gmail.com and will be effective immediately upon receipt.

    INSURANCE: The Sub-Contractor will be responsible for his/her own liability, automobile, health, workman's compensation insurance.

    COMPETENT WORK: All assigned interpreting services will be performed in a professional manner in accordance with RID's Professional Code of Conduct. The Sub-Contractor must contact BLS at support@blsincorp.com regarding any assignment changes, no-shows, or requests for extended time approval.

    While on a BLS-contracted assignment, the Sub-Contractor will not present himself/herself as the Contractor.

    BILLING:In alignment with the interpreting profession's industry standards, Sub-Contractor's will be billed at a two-hour minimum.

    (a) If the Appointment ends prior to two hours, the industry-standard two-hour minimum will still apply. For example, if the service rate is $40 per hour, and the Appointment Time is 1:00 PM - 2:30 PM, the Appointment will be billed at $40.00 X 2.00. (b) Any unscheduled service time will be billed in 15-minute increments. For example, if the service rate is $40 per hour, and the Appointment Time is 1:00 PM - 3:00 PM but Actual Service Time is 1:00 PM - 3:07 PM, the Appointment will be billed at $40 X 2.25.

    Invoice Submission Requirements Invoices must be turned in promptly after job completion not exceeding 30 days or it will be at risk of non-payment.

    NON-SOLICITATION: During the term of this agreement and for one (1) year following the termination of this agreement, the Sub-Contractor shall not directly or indirectly contact any clients of BLS for the purpose of soliciting business. In the event that the Sub-Contractor has an existing relationship with a BLS client established prior to BLS's contract with the client, the Sub-Contractor is permitted to continue this working relationship. While on the client site performing services for BLS, the Sub-Contractor shall not distribute personal business cards.

    NOTICE: Any notice or communication permitted or required by this Agreement shall Be deemed effective when properly emailed to the appropriate party at the email address identified below:

  • This form ensures that independent contractors understand and comply with the Health Insurance Portability and Accountability Act (HIPAA) regulations while performing services for Bridge Language Services.

  • Acknowledgment and Agreement: As an independent contractor for Bridge Language Services, I acknowledge and agree to the following:

    1. Confidentiality: I understand that I may have access to protected health information (PHI) and other confidential information during the course of my work. I agree to maintain the confidentiality of all PHI and confidential information in accordance with HIPAA regulations.

    I will only use and disclose PHI as permitted by HIPAA and only for purposes related to my duties as an independent contractor for Bridge Language Services. Unauthorized use or disclosure of PHI is strictly prohibited.

    3. Safeguards: I will implement appropriate administrative, physical, and technical safeguards to protect the confidentiality, integrity, and availability of PHI. This includes securing electronic devices, encrypting sensitive data, and not discussing PHI in public areas.

    4. Reporting Violations: I will report any unauthorized use or disclosure of PHI or any security incident to Bridge Language Services immediately upon discovery.

    5. Return or Destruction of PHI:

    Upon termination of my contract or completion of my duties, I will return or securely destroy all PHI in my possession in accordance with Bridge Language Services' policies and procedures.

    6. Legal and Disciplinary Actions: I understand that failure to comply with HIPAA regulations and the terms of this agreement may result in legal actions and termination of my contract with Bridge Language Services.
