WHEREAS, DISPATCHER is a transportation dispatcher handling the necessary paperwork between SHIPPERS/BROKERS and the CARRIER to secure freight ("CARGO") for the CARRIER;WHEREAS, CARRIER is a Motor Carrier operating under a valid USDOT and MC Number, subject to applicable federal and state transportation regulations;NOW, THEREFORE, in consideration of the promises and covenants contained herein, the parties agree as follows:OBLIGATIONS OF DISPATCHER 1.1 Freight Coordination: DISPATCHER agrees to handle paperwork, communications, and negotiations with SHIPPERS and BROKERS on behalf of CARRIER to arrange loads for transportation. 1.2 Rate Confirmations & Documentation: DISPATCHER is authorized to sign rate confirmations, invoices, and other necessary paperwork to facilitate the securing of cargo and proper billing. 1.3 Credit Checks & Compliance: While DISPATCHER is not financially or legally liable for transactions between SHIPPERS/BROKERS and CARRIER, DISPATCHER will, upon gaining access to a credit portal with CARRIER’s factoring company, pre-screen potential SHIPPERS/BROKERS and provide feedback on creditworthiness before finalizing a shipment. 1.4 No Liability for Cargo: DISPATCHER is not responsible for cargo loss, damage, claims, or liabilities incurred by the CARRIER.OBLIGATIONS OF CARRIER 2.1 Compensation: CARRIER agrees to pay DISPATCHER a dispatch fee of (agreed percentage or flat rate) per load, as outlined in the rate confirmation sheet, at the time of load securing. 2.2 Operational Authority & Compliance: CARRIER affirms that it holds valid motor carrier operating authority (USDOT/MC#) and is fully compliant with FMCSA, DOT, and state regulations governing freight transport. 2.3 Freight Responsibilities: CARRIER is solely responsible for the safe and timely pickup, transport, and delivery of all loads arranged by DISPATCHER, ensuring compliance with federal and state safety standards. 2.4 Liability & Insurance: CARRIER assumes full liability for loss, damage, or any claims arising during transit. CARRIER agrees to maintain valid liability, cargo, and workers’ compensation insurance as required by law. CARRIER agrees to hold DISPATCHER harmless from any liability related to freight transportation services. 2.5 Back-Solicitation Prohibited: CARRIER acknowledges that all customer information provided by DISPATCHER is proprietary and agrees not to back-solicit or accept business directly from SHIPPERS/BROKERS introduced by DISPATCHER. Back-solicitation includes any direct or indirect attempt to secure freight services from a customer obtained through DISPATCHER without DISPATCHER’s involvement.PAYMENT TERMS 3.1 Dispatch Fee: CARRIER agrees to pay DISPATCHER 10% per load upon securing freight, as specified in the rate confirmation. 3.2 Invoice & Payment: DISPATCHER will submit an invoice to CARRIER for dispatch services. Payment is due 24-48 hours upon load booking. 3.3 Late Payments: Any overdue payment may result in suspension of services until payment is received.TERM & TERMINATION 4.1 This agreement shall remain in effect until either party provides written notice of termination. 4.2 Either party may terminate this agreement at any time with 7 days written notice. 4.3 Breach of Agreement: If CARRIER violates the terms of this agreement, DISPATCHER reserves the right to terminate services immediately.GENERAL PROVISIONS 5.1 Independent Contractor Relationship: DISPATCHER and CARRIER acknowledge that they operate as independent contractors, and this agreement does not establish a joint venture, partnership, or employer-employee relationship. 5.2 Confidentiality: CARRIER agrees that all customer details, freight rates, and operational information provided by DISPATCHER shall remain strictly confidential and shall not be disclosed to third parties. 5.3 Entire Agreement: This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or verbal. 5.4 Governing Law: This agreement shall be governed by the laws of the State of Georgia, and any disputes shall be resolved in the appropriate jurisdiction.Your Company NameFirst NameLast NameDateDispatch FeeYour Company NameOwner Name
