VIDEO PODCAST RELEASE FORM

This Video Podcast Release Form (the "Release") is entered into as of the Effective Date this form is signed, by and between:

Producer: Juan Diego Gutierrez Valadez A.K.A. The Podcast Guy (the "Producer")

Participant: Participant signing this form (the "Participant")

Effective Date: Starts upon the signing of this form

1. Grant of Rights: The Participant grants the Producer and its affiliates, successors, and assigns the unrestricted right to record, edit, reproduce, distribute, display, and use the Participant’s image, likeness, voice, and performance in any and all media formats, including but not limited to:

Social media platforms (e.g., Facebook, Instagram, YouTube, TikTok, LinkedIn, Twitter)
Websites and blogs
Podcasts and streaming services
Television and digital media
Advertising and promotional materials
2. Compensation: The Participant acknowledges that they are not entitled to compensation, royalties, or residuals for the use of their appearance in the video podcast unless otherwise agreed in writing.

3. Editing and Alterations: The Producer retains the right to edit, modify, and distribute the content as they see fit, including the use of excerpts, clips, or the full recording without the Participant’s further approval.

4. Ownership: The Producer maintains full ownership of the recorded content and all related materials. The Participant waives any rights to inspect or approve the final product.

5. Release and Indemnification: The Participant releases and holds harmless the Producer and its affiliates from any claims, demands, or liabilities arising from the use of the recorded content, including but not limited to claims of defamation, invasion of privacy, or misrepresentation.

6. Confidentiality: The Participant agrees to keep confidential any proprietary or sensitive information discussed or disclosed during the recording process.

7. Governing Law: This Release shall be governed by and construed in accordance with the laws of the state of Tennessee.

By signing, the Participant acknowledges they have read, understood, and agree to the terms of this Release.
