NON-DISCLOSURE & COMMISSION AGREEMENT
اتفاقية عدم الإفصاح وتقاسم العمولة
This NON-DISCLOSURE & COMMISSION AGREEMENT (the “Agreement”) is entered into as of the date specified in the form above (the “Effective Date”) by and between:
Dr. Mostafa Osama’s Sixteen Teeth, LLC (“Sixteen Teeth” or “Broker”), a company specializing in marketing and brokerage services for medical and dental facilities, with its principal place of business in Miami, Florida, USA, and the Partner Company, whose name and details are mentioned in the form above (“Company” or “Partner”), engaged in the business of buying, selling, renting, or investing in medical facilities. Together, the “Parties” and each individually, a “Party.”
هذه اتفاقية عدم الإفصاح وتقاسم العمولة (“الاتفاقية”) تم إبرامها اعتبارًا من التاريخ المحدد في النموذج أعلاه (“التاريخ الفعلي”) بين:
شركة د. مصطفى أسامة “ستة عشر سنًا” ذ.م.م (“ستة عشر سنًا” أو “الوسيط”)، وهي شركة متخصصة في التسويق والخدمات الوسيطة للمرافق الطبية وعيادات الأسنان، ومقرها الرئيسي في ميامي، فلوريدا، الولايات المتحدة الأمريكية، والشركة الشريكة، والتي تم ذكر اسمها وتفاصيلها في النموذج أعلاه (“الشركة” أو “الشريك”)، والتي تعمل في مجال شراء أو بيع أو تأجير أو الاستثمار في المرافق الطبية. يُشار إلى الطرفين مجتمعين بـ”الأطراف” وكل طرف بمفرده بـ”الطرف”.
1. Purpose | الغرض
The Partner Company agrees to collaborate with Sixteen Teeth to facilitate the sale, rental, or investment of medical and dental clinics. All transactions introduced by Sixteen Teeth shall be subject to a 50% commission-sharing agreement, ensuring both parties are fairly compensated.
توافق الشركة الشريكة على التعاون مع ستة عشر سنًا لتسهيل بيع أو تأجير أو استثمار المرافق الطبية وعيادات الأسنان. تخضع جميع الصفقات التي يتم تقديمها من قبل ستة عشر سنًا لاتفاقية تقاسم العمولة بنسبة 50% لضمان تعويض عادل للطرفين.
2. Confidential Information | المعلومات السرية
Confidential Information includes but is not limited to:
✔️ The identities and contact details of buyers, sellers, and investors introduced by Sixteen Teeth.
✔️ Business strategies, pricing, and financial details related to medical facilities.
✔️ Any discussions, negotiations, or agreements facilitated by Sixteen Teeth.
تشمل المعلومات السرية، على سبيل المثال لا الحصر:
✔️ هوية وتفاصيل الاتصال الخاصة بالمشترين أو البائعين أو المستثمرين الذين تم تقديمهم من قبل ستة عشر سنًا.
✔️ استراتيجيات العمل والتسعير والتفاصيل المالية للمرافق الطبية.
✔️ أي مناقشات أو مفاوضات أو اتفاقيات تم تسهيلها من قبل ستة عشر سنًا.
3. Commission Agreement | اتفاقية العمولة
The Partner Company agrees to share 50% of any commission earned from transactions introduced by Sixteen Teeth.
✔️ If the Partner sells a clinic introduced by Sixteen Teeth → 50% of the commission received goes to Sixteen Teeth.
✔️ If the Partner rents out a clinic introduced by Sixteen Teeth → 50% of the rental commission goes to Sixteen Teeth.
✔️ If the Partner secures an investor for a clinic introduced by Sixteen Teeth → 50% of the investment commission goes to Sixteen Teeth.
توافق الشركة الشريكة على تقاسم 50% من أي عمولة مكتسبة من الصفقات التي يتم تقديمها من قبل ستة عشر سنًا.
✔️ إذا باعت الشركة الشريكة عيادة قدمتها ستة عشر سنًا → 50% من العمولة المستلمة تذهب إلى ستة عشر سنًا.
✔️ إذا قامت الشركة الشريكة بتأجير عيادة قدمتها ستة عشر سنًا → 50% من عمولة الإيجار تذهب إلى ستة عشر سنًا.
✔️ إذا قامت الشركة الشريكة بتأمين مستثمر لعيادة قدمتها ستة عشر سنًا → 50% من عمولة الاستثمار تذهب إلى ستة عشر سنًا.
4. Non-Circumvention | عدم التحايل
The Partner Company agrees not to bypass Sixteen Teeth by directly engaging with clients introduced by Sixteen Teeth without proper commission sharing.
✔️ If the Partner enters into a transaction with any client introduced by Sixteen Teeth without honoring the commission, the Partner shall be liable to pay the full commission to Sixteen Teeth as if the transaction was completed through them.
✔️ If the Partner fails to report a successful transaction, legal action will be taken to recover unpaid commissions.
توافق الشركة الشريكة على عدم التحايل على ستة عشر سنًا من خلال التواصل المباشر مع العملاء الذين تم تقديمهم من قبل ستة عشر سنًا دون تقاسم العمولة المتفق عليها.
✔️ في حال أبرمت الشركة الشريكة صفقة مع أي عميل تم تقديمه من قبل ستة عشر سنًا دون دفع العمولة المتفق عليها، ستكون الشركة الشريكة مسؤولة عن دفع العمولة الكاملة كما لو تم تنفيذ الصفقة من خلال ستة عشر سنًا.
✔️ في حال فشل الشركة الشريكة في الإبلاغ عن إتمام الصفقة بنجاح، سيتم اتخاذ إجراءات قانونية لاسترداد العمولات غير المدفوعة.
5. Term & Termination | مدة الاتفاقية والإنهاء
✔️ This Agreement is valid for 24 months from the last introduction of a client by Sixteen Teeth.
✔️ The commission-sharing agreement remains enforceable for any transactions resulting from Sixteen Teeth’s introductions.
✔️ Termination requires a 30-day written notice from either party.
✔️ تظل هذه الاتفاقية سارية لمدة 24 شهرًا من آخر تقديم للعميل من قبل ستة عشر سنًا.
✔️ يبقى اتفاق تقاسم العمولة ساريًا لأي صفقات ناتجة عن تقديمات ستة عشر سنًا.
✔️ يمكن إنهاء الاتفاقية بإشعار كتابي مدته 30 يومًا من أي طرف.
6. Governing Law & Dispute Resolution | القانون الحاكم وحل النزاعات
✔️ This Agreement shall be governed by and interpreted in accordance with the laws of the State of Florida, USA.
✔️ Any disputes shall be resolved through arbitration in Florida, USA.
✔️ تخضع هذه الاتفاقية لقوانين ولاية فلوريدا، الولايات المتحدة الأمريكية.
✔️ يتم حل أي نزاعات من خلال التحكيم في فلوريدا، الولايات المتحدة الأمريكية.
7. Signatures | التوقيعات
By signing below, the Parties acknowledge that they have read, understood, and agreed to the terms of this Agreement.
