This Vendor Agreement and Liability Waiver is made effective as of {todaysDate} by and between Pets In Harmony Veterinary Hosital and Pet Salon and {participantName} of {nameOf12}
Pets In Harmony Veterinary Hospital and Pet Salon, a Limited Liability Corporation, having their usual place of business at 241 Perry Highway Harmony, PA 16037 (the "Organizer"), and
{participantName}, an individual having their usual place of living at {address} (the "Vendor"), collectively referred to as the "Parties" and individually as the "Party."
Whereas the Organizer is organizing the Event titled in this Agreement;
Whereas the Vendor is engaged in business and desires to participate in the said event and conduct business operations;
Now, Therefore, in consideration of the mutual promises and obligations set forth herein, and upon other good and valuable consideration, the receipt and sufficiency of which I hereby acknowedged, the Parties have agreed as follows:
SUBJECT OF THE AGREEMENT. This Agreement pertains to the provisions of the space at the venue of the event held by the Organizer for the performance of business operations by the Vender as follows:
Event name and description: Pets In Harmony Pet-a-Palooza and Grand Opening, a grand opening celebration of said business and fundraiser for local non-profit groups (the "Event");
Event date and time: Saturday August 2, 2025 beginning at 10:00 am and ending at 4:00 pm (the "Event Duration"). Access will be granted to the venue site at 8:00 am to assure Vendor is completely set up and ready for business at the start of the Event Duration.
This Event will be held outdoors at 241 Perry Highway Harmony, PA 16037 (the "Venue"). The Vendor spot may be located on grass or pavement as determined by the Organizer.
The Vendor shall be provided with a minimum amount of space guaranteed for the Event in the size of 100 square feet at the Venue to set up and conduct its Business Operations (the "Space"). The specific locaton of the Space will be determined by the Organizer and communicated to the Vendor before the Event. Special requests for additional space may be accomodated.
Food truck vendors will be alloted ample space for parking and operating necessary equipment.
The Vendor agrees to conduct its Business Operations and occupy the Space at the Venue throughout the Event Duration. The Vendor shall be responsible for setting up its booth or area promptly and ensuring the smooth execution of its Business Operations during the Event Duration.
Upon the End Date and End Time, the Vendor shall remove their personal property, vacate the Venue, and return it to the Organizer in the same condition as when they received it, exept for reasonable wear and tear within one day after the Event.
PAYMENT TERMS. The Vendor is asked to provide a donation amount of their choice for the featured charitable organizations or a gift/gift basket donation to be raffled in the Chance Auction, to reserve their vendor spot. Monetary Donations can be made on our website: petsinharmonypa.com, on the Facebook event page or can be confirmed with Organizer and mailed to: Tawnya Roman c/o Pets In Harmony PetaPalooza, 954 Perry Hwy Pittsburgh, PA 15237
LIABILITY AND INDEMNIFICATION. The Vendor shall be liable for any damages caused by its negligence or willful misconduct, including but not limited to damage to the Space, Venue, the property of Organizer, or the property of other Vendors.
Each party shall indemnify, defend, and hold harmless the other Party, its affiliates, agents, employees, and officers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the fulfillment of this Agreement, except to the extent such claims, damages, losses, liabilities, costs, or expenses are caused by the Party's negligence or willful misconduct.
The Organizer shall not be liable for any loss, damage, or theft of the Vendor's property.
TERM AND TERMINATION OF THE AGREEMENT. This Agreement shall commence on the Effective Date and shall continue until the End Time and Date of the Event.
Either Party may terminate this Agreement at any time by giving the other Party 14 days prior written notice.
In case of termination of the Agreement, any funds already donated shall be returned to the Vendor if the Business Operations were not conducted without the Vendors' fault.
ENTIRE AGREEMENT. This Agreement represents the entire agreement between the Parties and supersedes an prior oral or written agreements.
ASSIGNMENT. Neither Party may assign or transfer this Agreement without the prior written consent of the non-assigning Party, which approval shall not be unreasonably withheld.
WAIVER. The failure of any Party to enforce a particular provision of this Agreemnt shall not constitute a waiver of their right to enforce that provision in the future.
