🚛 Elite Fleet Drivers – Client Agreement
Independent Dispatch AgreementElite Fleet Drivers OrganizationThis Independent Dispatch Agreement (“Agreement”) is entered into by and between Elite Fleet Drivers Organization (“Dispatcher”) and the undersigned motor carrier (“Carrier”). Dispatcher and Carrier may collectively be referred to as the “Parties.”1. Services ProvidedDispatcher agrees to arrange freight transportation services on behalf of Carrier by booking loads from brokers, shippers, or other freight providers. Dispatcher acts solely as a dispatching service and does not function as a broker, motor carrier, or freight forwarder. Carrier retains full control over equipment, drivers, operations, and decision-making related to freight transport.2. Compensation and FeesNew Carriers (Authority under 90 days old): A one-time non-refundable setup fee of $197 is required prior to receiving dispatch services. This fee covers compliance verification, account creation, and operational setup.Carriers with Authority less than one (1) year old: Dispatcher shall charge 10% of the gross revenue per booked load.Carriers with Authority greater than one (1) year old: Dispatcher shall charge 8% of the gross revenue per booked load.All service fees are due upon confirmation of each booked load. Dispatcher reserves the right to deduct fees directly from settlements or invoice Carrier as agreed.In addition to dispatch services, Elite Fleet Drivers Organization also offers a range of business support services, including but not limited to:Full business startup consultingTrucking and business compliance assistanceBusiness funding solutionsLegal protection servicesAdditional administrative and operational support tailored to Carrier needs3. Independent Contractor RelationshipDispatcher is an independent contractor and not an employee, partner, joint venturer, or agent of Carrier. This Agreement does not create an employment relationship or joint enterprise. Carrier retains full authority to accept or reject any proposed load.4. Carrier ResponsibilitiesCarrier acknowledges and agrees to:Maintain all required operating authority, permits, and licenses.Maintain appropriate insurance coverage, including liability and cargo insurance, as required by law.Ensure drivers are qualified and in compliance with all applicable laws and safety regulations.Provide Dispatcher with accurate and up-to-date information necessary to secure freight.5. Liability DisclaimerDispatcher shall not be liable for:Loss, damage, theft, delay, or injury related to freight, drivers, equipment, or third-party actions.Any claims or disputes arising from Carrier’s performance of transportation services.Carrier assumes all risks associated with the transport and delivery of freight and agrees to indemnify, defend, and hold harmless Dispatcher from any claims, damages, or liabilities arising from Carrier’s operations.6. Payment TermsCarrier agrees to remit all dispatch service fees promptly as outlined in Section 2. Failure to pay invoices may result in suspension of services until accounts are brought current.7. Term and TerminationThis Agreement shall remain in effect until terminated by either Party upon written notice. Either Party may terminate this Agreement at any time, with or without cause, upon at least seven (7) days written notice.8. Governing LawThis Agreement shall be governed by and construed in accordance with the laws of the state in which Dispatcher is headquartered, without regard to its conflict-of-law principles.9. Entire AgreementThis Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions, understandings, or agreements. No modification shall be valid unless made in writing and signed by both Parties.IN WITNESS WHEREOF, the Parties hereto have executed this Independent Dispatch Agreement as of the Effective Date set forth below.
