All Bark No Byte Intellectual Property Protection and Monetary Agreement

 

This Intellectual Property Protection and Monetary Agreement is agreed upon by and between All Bark No Byte and (print name):_________________________ for the purpose of preventing unauthorized disclosure of Confidential Information and Monetary Agreement (as defined below). Both parties above agree to enter into a confidential relationship with respect to the disclosure of certain confidential information and volunteer-based work (as disclosed below). This agreement effectively supersedes any and all previous agreements, both written and verbal, concerning the confidential material and commitments addressed within this document.This agreement is effective March 15th, 2025 and remains in effect indefinitely unless terminated. 

1. Definition of Confidential Information: Confidential Information includes:

a. The information and documentation of any project with All Bark No Byte projects. 

b. Proprietor information shared by All Bark No Byte management team. This includes but is not limited to All Bark No Byte CEO, Team Leads, and/or Marketing Director. 

c. Information and ideas (intellectual property) contributed to All Bark No Byte are intended for the development of the game and must not be shared or copied elsewhere in written or verbal form.

i. This includes but is not limited to:
1. Proprietor information 
2. Specific game codes
3. General idea of any game
4. Information another team member has shared for the development of the project
5. Art work or models
6. Game sounds or music
7. Records
8. Data
9. Documents
10. Story or story development before the game is released 

d. Team members of All Bark No Byte will not disclose any information about any specific team member or ideas that fall in any of the above listed categories.

 

 

2. Obligations (Team Member): 

a. No team member, without prior written approval from The CEO or Marketing Director, use for one's own benefit, publish, copy, or otherwise disclose to others specifics of the work done for All Bark No Byte or permit the use by others for their benefit or to the detriment of All Bark No Byte, any Confidential Information as listed above (i1-i10). 

b. No team member shall use, copy, adapt, alter, reassign or transmit any confidential information disclosed on the All Bark No Byte discord channel or messages, Github, or private messages between team members.
This does not apply to information which an individual can demonstrably prove was in their possession or which is already in the public domain.

 

3. Disclaimer:

a. All Bark No Byte and the games we are working on should be a topic of discussion strictly to promote the game. Team members are allowed and encouraged to discuss the game and general gameplay with others. However, team members must not explicitly share any of the information listed above (i1-i10). If you are unsure if a piece of information is allowed to be shared, please directly contact the All Bark No Byte management team, CEO, Team Lead, Marketing Director, or Human Resources. 

b. A breach between this contract with All Bark No Byte and the signer below, All Bark No Byte management team will exercise one or more of the following:

i. Seek an immediate meeting with the party who breached the contract
ii. As a management team discuss the severity of the breach and possible continuation of work between both parties listed on this agreement
iii. Remove access to confidential information
iv. Ask the party who breached the contract to sign a new agreement and/or another probationary agreement
v. Seek legal action and/or termination

1. The individual who breached, released, or leaked information is completely responsible for any and all court and/or attorney fees and/or processing fees. 

 

4. Monetary Clause

a. As a contributor to All Bark No Byte, you are entitled to fair compensation for your work. This will be decided and agreed upon with a contract in the future. By signing this agreement you understand the following:

i. Your current position with All Bark No Byte is strictly voluntary.
ii. You will not receive any monetary compensation for your work until agreed upon in a future contract.
iii. Your compensation depends on your level of contribution.
iv. You will eventually sign a new contract detailing your compensation.

By signing below, I confirm that I have read and agree to the contract defined above. I understand my commitment to the development of All Bark No Byte.
