1. Introduction
By accessing or using Messy Solutions’ services, you agree to these Terms of Service ("Terms"). These Terms constitute a legal agreement between you ("Client," "You") and Messy Solutions LLC ("We," "Us," "Our"). If you do not agree, do not use our services.
2. Scope of Services
Messy Solutions provides business support services, including but not limited to:
Delaware Business Entity Formation (LLC, C-Corp, S-Corp)
Registered Agent Services
EIN/Tax ID Application
Operating Agreement / Bylaws Drafting
Business Support Add-ons (Virtual Address, Business Banking Referrals, etc.)
Tax Preparation Services for Individuals and Businesses
3. Tax Preparation Services
Messy Solutions offers professional tax preparation services for individuals, sole proprietors, partnerships, LLCs, corporations, and non-profits.
Our Tax Services Include (but are not limited to):
Federal and State Income Tax Return Preparation
Business Tax Filings (LLC, S-Corp, C-Corp, etc.)
Sales & Use Tax Filing
Tax Planning & Consultation
IRS/State Correspondence Support (additional fees may apply)
Client Responsibilities for Tax Services:
You certify that all information provided to Messy Solutions for tax preparation is accurate, complete, and truthful.
You are responsible for reviewing your tax returns for accuracy before they are submitted.
You are responsible for maintaining records that support your income and deductions (receipts, invoices, logs, etc.).
We are not responsible for any penalties or interest resulting from incorrect, incomplete, or fraudulent information you provide.
Limitations:
Messy Solutions does not provide legal advice.
We do not represent clients before the IRS or state taxing authorities unless explicitly agreed upon in writing (Representation services may incur additional fees).
Messy Solutions is not liable for any tax liabilities, penalties, or interest resulting from the Client's failure to provide accurate or timely information.
4. Client Responsibilities (General)
You certify that the information you provide is accurate and complete.
You are responsible for reviewing your documents and filings prior to submission.
You are responsible for maintaining compliance with federal, state, and local laws after formation and/or tax filing.
You are responsible for payment of all applicable state, federal, and franchise taxes, annual reports, and compliance filings not explicitly included in our services.
5. Payments & Refund Policy
Payment is due at the time of service request unless otherwise agreed.
All sales are final. Once services are rendered, including submission of any tax return or formation filing, refunds are not available.
If you cancel services before they are completed, you may be subject to cancellation fees, and any work already completed will be billed accordingly.
6. Registered Agent Services
Messy Solutions offers Delaware Registered Agent Services as part of select packages.
If you use our Registered Agent Service, you authorize us to receive service of process and official notices on your behalf.
It is your responsibility to keep your contact information current.
If you cancel our Registered Agent Service, you are responsible for appointing a new agent and notifying the state.
7. EIN / Tax ID Services
If you request EIN assistance, you authorize Messy Solutions to submit the SS-4 application on your behalf.
For non-U.S. clients, you acknowledge that obtaining an EIN may take additional time and require IRS communication.
8. Limitation of Liability
Messy Solutions is not liable for any direct, indirect, incidental, or consequential damages, including lost profits or penalties, arising from the use of our services.
Our maximum liability is limited to the fees you paid for our services.
9. Privacy Policy
We collect and store personal information necessary to complete your filings and tax preparation services.
We do not sell or share your data without your consent, except as required by law.
