  • Event / Host Application & Agreement

  • This Event Agreement ("Agreement" hereinafter) is entered into by and between The Golden Flea LLC ("hereinafter referred to as the "Host Store") and (hereinafter referred to as the "Organizer / Vendor "), on   Pick a Date   under the terms and conditions below. The contact information of parties are as follows;

  • 1. Fees & Marketing

  • A nonrefundable deposit of  *   is required to secure the property for this date / event and will contribute to event marketing. The marketing efforts may include social media, print media, radio, video, entertainment, and other promotional activities. These efforts are designed to increase the event's visibility and attract attendees.

  • 2. Vendor Responsibilities to Promote the Event

  • Vendor agrees to actively promote the event through their own marketing channels, including but not limited to social media, email newsletters, websites, and physical promotional materials.
    The Vendor agrees to include The Golden Flea LLC’s location and logo in all promotional materials related to the event, whether digital or physical. The logo and location details will be provided by the Promoter and must be used as directed.
    The Vendor is encouraged to use event-specific hashtags, mentions, and tags provided by the Promoter on social media platforms to help promote the event and increase awareness.

  • 3. Rules

  • a. Bathroom and Water Use

    Onsite bathrooms will be available for use by all vendors and event attendees.
    Water will be available for handwashing purposes only. It is strictly prohibited to use the water for food preparation, dishwashing, or any other purposes other than handwashing.

    b. Trash Removal

    Vendors are responsible for providing their own trash cans to handle all debris generated during the event. All trash and debris must be removed from the property by the vendor at the end of the event. No trash removal or disposal services will be provided by the host or organizer.

    c. Parking

    Vendors must park in designated vendor areas only. Vendor will not be allowed to utilize customer handicap parking spots.

    d. Setup

    Vendors must arrive and complete setup at least 1 hour prior to the event start time. Late arrivals may not be allowed to set up and participate in the event.

  • 4. Behavior and Participation

  • Vendors and their guests' behavior and participation are at the sole discretion of the Event Organizer and The Golden Flea LLC.
    Vendors and their guests may be asked to leave the event at any time, for any reason, including inappropriate behavior or failure to comply with event rules. No refunds will be provided if a vendor is asked to leave the event.

  • 5. Liability and Indemnification

  • Vendor agrees to indemnify and hold harmless the Organizer, The Golden Flea LLC, Cheap AF Retail, and any related parties from any and all claims, damages, liabilities, or expenses arising from the Vendor’s participation in the event, including but not limited to injury, property damage, loss of goods, or theft. This includes claims arising from the Vendor’s actions or negligence.
    The Promoter and The Golden Flea LLC are not responsible for any personal injuries, property damage, theft, or losses occurring before, during, or after the event.
    Vendor’s participation is at their own risk. It is the Vendor's responsibility to maintain appropriate insurance coverage if desired (e.g., liability insurance, property insurance).
    Vendor is responsible for the actions of their employees, volunteers, and guests during the event and must ensure that all participants abide by the event rules.

  • 6. Force Majeure & Unforeseen Circumstances

  • In the event that severe weather conditions (including rain and strong winds), natural disasters, or other unforeseen circumstances prevent the event from taking place, the Organizer will make reasonable efforts to reschedule the event. However, no refunds will be issued for cancellations or rescheduled events.
    The event is being held at an outdoor venue. While reasonable precautions will be taken, the Promoter is not responsible for any weather-related delays, changes, or cancellations.
    If the event is canceled or postponed due to force majeure or other unforeseen circumstances, the Vendor agrees to accept this decision without a refund and acknowledges that the event fee is non-refundable.
    The Organizer will provide updates and communications regarding any significant changes to the event status as soon as reasonably possible.

  • 7. Compliance with Laws

  • Vendor agrees to comply with all applicable local, state, and federal laws, including those relating to licensing, health and safety, and business operations.
    Vendor is responsible for obtaining any permits or licenses necessary for the sale of merchandise or food during the event.

  • 8. Third-Party Organizers & Events

  • In the event that a third-party promoter organizes an event at The Golden Flea LLC, the Vendor acknowledges that any event fees or funds paid to third-party organizers are separate from the host property, The Golden Flea LLC.
    The Golden Flea LLC and the Event organizer shall not be held responsible or liable for any funds, payments, or fees collected by third-party organizer. All responsibilities, liabilities, and payments related to third-party events remain solely with the third-party organizer, and The Golden Flea LLC assumes no obligation or responsibility for such transactions. Vendor understands and agrees that any financial agreements or liabilities with third-party promoters are independent of this Agreement and The Golden Flea LLC's obligations under this Agreement.

  • 9. Additional Compensation

  • Any additional compensation beyond the event fee, such as commissions, promotional revenue, or other payments, must be agreed upon separately in writing by both parties. Please list any additional compensation or financial arrangements below:

  • 10. Additional Terms

  • Vendor acknowledges that they have read, understood, and agree to all terms and conditions listed in this Agreement.
    This Agreement is binding and constitutes the entire understanding between the parties. Any amendments to this Agreement must be in writing and signed by both parties.

    Venue and Jurisdiction: In the event of a dispute, the Vendor agrees that the jurisdiction for any legal actions will be in Killeen, Texas, and that Texas law will govern the terms of this Agreement.

  • By signing this Agreement, both parties confirm that they have read, understood, and agreed to all terms and conditions.
