Tote Bin Agreement

All tote bins supplied to customers are property of A. G. Layne, Inc. and are delivered to customers at our discretion, and the following terms and conditions shall apply:

• Each stainless steel tote bin we deliver to customer's facilities have individual serial numbers which are recorded on our delivery tickets and are tracked to the customer's location. Customer shall not offer A. G. Layne's tote bins out to their customer under any circumstance. A. G. Layne has a considerable investment in tote bins and believes that each business can likewise investtheir money in tote bins if they want to be able to deliver them to their customers.
• Customer shall only use them for storage of the original product delivered in them.
• Customer agrees that they will not put any other chemicals into A. G. Layne's tote bins, including product from other chemical suppliers, will not blend product in them, will not pressurize them, or otherwise introduce trash or other contaminants into them. If we discover the tote bins have been damaged, missing parts or contain contamination, the customer will be billed $1, 000.00 for such misuse and agrees to pay such charges without delay.
• Customer agrees and acknowledges that the tote bins supplied from A. G. Layne can be used for a maximum of 90 calendar days, without specific written agreement with A. G. Layne authorizing additional time. After 90 days has elapsed A. G. Layne expects the tote bin to be empty and ready for pick-up. Tote bins retained by customers after 90 calendar days from delivery will be charged $500.00 per day until we can recover our tote bin. Customer accepts the responsibility and acknowledges they will pay such fees, without delay.
• Should the terms of this agreement not be honored by customer, A. G. Layne reserves the right to cease delivering tote bins to customer and recover its property within 15 calendar days of our notice to do SO.

By signing this agreement customer agrees to the terms and conditions herein.
