NON-DISCLOSURE & NON-CIRCUMVENTION AGREEMENT
اتفاقية عدم الإفصاح وعدم التحايل
This NON-DISCLOSURE & NON-CIRCUMVENTION AGREEMENT (the “Agreement”) is entered into as of the date specified in the form above (the “Effective Date”) by and between:
Dr. Mostafa Osama’s Sixteen Teeth, LLC (“Broker” or “Sixteen Teeth”), a company specializing in marketing and brokerage services for dental clinics, with its principal place of business in Miami, Florida, USA, and the Client, whose name and details are mentioned in the form above (“Client” or “Recipient”), a potential buyer, renter, or investor seeking to purchase, lease, or invest in a dental clinic through the services of Sixteen Teeth. Together, the “Parties” and each individually, a “Party.”
هذه “اتفاقية عدم الإفصاح وعدم التحايل” (“الاتفاقية”) تم إبرامها اعتبارًا من التاريخ المحدد في النموذج أعلاه (“التاريخ الفعلي”) بين: شركة د. مصطفى أسامة “ستة عشر سنًا” ذ.م.م (“الوسيط” أو “ستة عشر سنًا”)، وهي شركة متخصصة في التسويق والخدمات الوسيطة لعيادات الأسنان، ومقرها الرئيسي في ميامي، فلوريدا، الولايات المتحدة الأمريكية، والعميل، والذي تم ذكر اسمه وتفاصيله في النموذج أعلاه (“العميل” أو “المتلقي”)، وهو مشترٍ أو مستأجر أو مستثمر محتمل يسعى لشراء أو استئجار أو الاستثمار في عيادة أسنان من خلال خدمات “ستة عشر سنًا”. يُشار إلى الطرفين مجتمعين بـ”الأطراف” وكل طرف بمفرده بـ”الطرف”.
1. Purpose | الغرض
Sixteen Teeth will introduce the Client to available dental clinics for purchase, rental, or investment and facilitate the transaction process. This Agreement ensures that the Client does not bypass Sixteen Teeth by directly engaging with the clinic owners introduced by Sixteen Teeth without proper compensation. The Client also agrees that Sixteen Teeth shall have the exclusive right to represent them in negotiations for a period of three (3) months from the Effective Date.
ستقوم “ستة عشر سنًا” بتقديم العميل إلى العيادات المتاحة للبيع أو التأجير أو الاستثمار وتسهيل عملية التفاوض. تضمن هذه الاتفاقية عدم تحايل العميل على “ستة عشر سنًا” من خلال التواصل المباشر مع أصحاب العيادات الذين تم تقديمهم من قبل “ستة عشر سنًا” دون دفع العمولة المستحقة. كما يوافق العميل على أن “ستة عشر سنًا” سيكون لها الحق الحصري في تمثيله في المفاوضات لمدة ثلاثة (3) أشهر من تاريخ سريان هذه الاتفاقية.
2. Confidential Information | المعلومات السرية
Confidential Information includes but is not limited to: a) The identities and contact details of clinic owners introduced by Sixteen Teeth. b) Business strategies, pricing, and financial details related to the clinics. c) Any discussions, negotiations, or agreements facilitated by Sixteen Teeth.
Confidential Information does not include information that: i) Is publicly available at the time of disclosure or becomes publicly available through no fault of the Recipient. ii) Is independently developed by the Recipient without reliance on Sixteen Teeth’s information. iii) Is lawfully obtained from a third party without restriction.
تشمل المعلومات السرية، على سبيل المثال لا الحصر: أ) هوية أصحاب العيادات وتفاصيل الاتصال الخاصة بهم الذين تم تقديمهم من قبل “ستة عشر سنًا”. ب) استراتيجيات العمل والتسعير والتفاصيل المالية المتعلقة بالعيادات. ج) أي مناقشات أو مفاوضات أو اتفاقيات تم تسهيلها من قبل “ستة عشر سنًا”.
3. Non-Disclosure & Non-Circumvention | عدم الإفصاح وعدم التحايل
a) The Client agrees not to disclose, share, or use the Confidential Information for any purpose other than engaging in discussions with Sixteen Teeth and the introduced clinic owners. b) The Client shall not contact, negotiate, or enter into any direct agreements with any clinic owners introduced by Sixteen Teeth without the prior written consent of Sixteen Teeth. c) If the Client enters into an agreement with any clinic owner introduced by Sixteen Teeth without Sixteen Teeth’s involvement or approval, the Client shall be liable to pay Sixteen Teeth its full agreed-upon commission as if Sixteen Teeth facilitated the transaction.
أ) يوافق العميل على عدم الكشف أو مشاركة أو استخدام المعلومات السرية لأي غرض آخر سوى الانخراط في مناقشات مع “ستة عشر سنًا” وأصحاب العيادات الذين تم تقديمهم من قبلها. ب) لا يجوز للعميل الاتصال أو التفاوض أو الدخول في أي اتفاقيات مباشرة مع أي من أصحاب العيادات الذين قدمتهم “ستة عشر سنًا” دون موافقة خطية مسبقة من “ستة عشر سنًا”. ج) في حالة قيام العميل بإبرام اتفاقية مع أي من أصحاب العيادات الذين قدمتهم “ستة عشر سنًا” دون مشاركة أو موافقة “ستة عشر سنًا”، يلتزم العميل بدفع العمولة الكاملة المتفق عليها كما لو أن “ستة عشر سنًا” قد سهلت الصفقة.
4. Compensation & Commission | التعويض والعمولة
The Client agrees to pay Sixteen Teeth the commission percentage as specified above upon the successful completion of a transaction. The agreed commission structure, including percentage and payment terms, is outlined in the relevant section of this Agreement.
يوافق العميل على دفع العمولة لـ “ستة عشر سنًا” وفقًا للنسبة المذكورة أعلاه عند إتمام الصفقة بنجاح. يتم تحديد هيكل العمولة المتفق عليه، بما في ذلك النسبة وشروط الدفع، في القسم المناسب من هذه الاتفاقية.
5. Term & Termination | المدة والإنهاء
This Agreement shall remain in effect for 24 months after the last introduction of a clinic owner by Sixteen Teeth. The exclusivity period, during which only Sixteen Teeth may represent the Client in negotiations, shall last for three (3) months from the Effective Date.
6. Governing Law & Dispute Resolution | القانون الحاكم وحل النزاعات
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Florida, USA.
7. Signatures | التوقيعات
By signing below, the Parties acknowledge that they have read, understood, and agreed to the terms of this Agreement.
