EAC to Submit Certificate of Insurance
Please have your EAC send victoria.grant@informa.com a copy of their Certificate of Insurance with the following and have them read the EAC rules and regulations:
The undersigned Exhibitor-Appointed Contractor (the “EAC”), has been designated by an exhibitor to perform certain services for the exhibitor at Content Marketing World 2024 and Marketing Analytics & Data Sciences 2024 (the “Exhibition”) to be held at the San Diego Convention Center in San Diego, CA on October 21 - 23, 2024 by Informa Connect (Show Management). In consideration of EAC’s participation in Content Marketing World 2024 and Marketing Analytics & Data Sciences 2024, and for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the EAC and Informa Connect hereby agree as follows:
1. The EAC will abide by all Exhibition Rules and Regulations, including those contained in the Exhibit Space Application and Contract and Exhibitor Service Manual. The EAC will abide by all local, state and/or federal labor regulations and laws. No EAC shall be permitted onto the show floor or to perform any work thereon unless and until all of its obligation under this agreement are fully met to Informa Connect’s satisfaction. 2. The EAC has attached herewith certificates of insurance confirming the following: a. Workers compensation insurance of at least $1,000,000 in coverage and which meets all requirements established by Ohio. (the state);b. Commercial General Liability insurance with limits of not less than $1,000,000 per occurrence, a $2,000,000 aggregate and $2,000,000 products-completed operations aggregate and which names Content Marketing World 2023 and Marketing Analytics & Data Sciences 2023 (Show), Informa Connect (Show Management), San Diego Convention Center (Facility) and Freeman (General Service Contractor) as additional insured’s; c. Automobile liability with a limit of not less than $1,000,000 combined single-limit – each accident, and which covers all owned, non-owned, and hired vehicles used in and around San Diego Convention Center; d. Umbrella/Excess Liability with a limit of not less than $1,000,000 each occurrence and {$1,000,000} each aggregate; e. The insurer will provide Informa Connect with thirty days prior written notice in the event of cancellation or material reduction in any of the above coverage; f. The insurer waives its rights of subrogation against Informa Connect, and g. The insurance coverage is primary and noncontributory to any insurance coverage held by Informa Connect . Informa Connect will review the certificates provided by the EAC to substantiate the adequacy of coverage. If at any time Informa Connect determines that any of the required coverage is lacking or not properly documented, Informa Connect will promptly so notify the EAC. If the EAC does not within five (5) business days thereafter provide Informa Connect with insurance certificates satisfactory to Informa Connect, this agreement will be terminable at the option of Informa Connect. If Informa Connect elects to so terminate this Agreement, approval of the EAC to perform services for any exhibitor at the Show will automatically be revoked, and the exhibitor(s) who designated the EAC will be so notified by Informa Connect. 3. The particular exhibitor(s) for whom services will be performed by the EAC are indicated on the signature page hereof (EAC). Under no circumstances is the EAC permitted to perform any service for any other exhibitor. These copies represent exhibitors who designated the EAC prior to the deadline date of August 19, 2024. In the event that the EAC arranges for the provision of any services for any exhibitor at the show by any third party (other than any of the official contractors), the EAC will ensure that the exhibitor submits an EAC request form to Informa Connect in respect of such third-party service provider. 4. The EAC shall be prepared to show evidence that it has a valid authorization from the Exhibitor for services. 5. IN NO EVENT WILL INFORMA CONNECT BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, PUNITIVE OR INCIDENTAL DAMAGES, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Informa Connect’s aggregate liability hereunder shall not exceed $500. 6. The EAC shall have a current labor contract with a collective bargaining representative that is certified at the time of the Exhibition, and will only use labor pursuant to and in accordance with the terms of such contract. The EAC shall provide, upon request, proof that all of its labor will be provided pursuant to such a contract (including, if requested, a copy of the contract). The EAC will not commit any act, and will not allow any person in its employment to commit any act that could result in a work stoppage, strike or labor problem of any kind. If the EAC fails to comply with this provision in any respect, the EAC agrees that its right or authority to provide any services at or in connection with the Exhibition shall terminate immediately. The EAC waives any right to challenge termination of this contract or exclusion from the Exhibition (or to seek any monetary damages or other relief in connection with such actions), if it fails to comply strictly with each of the requirements of this paragraph. 7. Informa Connect reserves the right upon notice to the EAC to revoke the approval of the EAC in respect to any or all exhibitors and to remove the EAC from the Exhibition floor: (a) in the event of a breach by the EAC of any of the provisions of this Agreement or a breach by the EAC of any of the Exhibition Rules and Regulations; or (b) in the event that the EAC’s participation in the Exhibition may in the opinion of Informa Connect, lead to (i) strikes, picketing, or other labor action directed at the Exhibition, (ii) other disruption of the Show, or (iii) unreasonable interference with or inconvenience to the Show or any of the exhibitors. 8. The EAC will fully cooperate with, not interfere with, and not otherwise burden the work of the Exhibition Management designated contractors. The EAC will share appropriately with the Show Management designated contractors all reasonable costs incurred in connection with the EAC’s operation, including: excess debris, overtime pay for stewards, security, restoration of exhibit space to its initial condition. 9. The EAC will not solicit business on the Exhibition floor during installation, during the Exhibition or during dismantling. 10. The EAC will not move, open or otherwise tamper with any crates, boxes, cartons or other containers, or equipment, displays, or any materials belonging to any exhibitor except the exhibitor(s) for whom the EAC is providing services. 11. The EAC will protect, defend, indemnify and hold harmless Informa Connect, its officers, directors, employees and agents, and their successors, assigns and affiliates from, against and in respect of any and all losses, costs, damages, charges or expenses (including, without limitation, attorney’s fees) (“Losses”) arising as a result or otherwise related in any way to the participation of the EAC in the Exhibition, including but not limited to any Losses paid or incurred as a result of (i) any b reach or alleged breach by EAC of its obligations, representations or warranties under this Agreement, or any willful, intentional or negligent action or failure by EAC or its agents in connection with its obligations under this Agreement or in connection with its services provided by EAC or its agents to exhibitor in connection with the Exhibition; or (ii) personal or bodily injury (including death) or property damage caused by the fault or negligence of EAC or its agents. 12. It is understood and agreed that neither Show Management, nor the owners, nor the lessors of the property which serves as the exposition hall, nor the management of these properties, can or will be responsible for the safety of exhibits, sponsors, or their employees against robbery, burglary, theft or damage by fire or any other cause. Show Management will provide perimeter security for the limited protection of property during hours when the exposition is closed. In all cases the Sponsor is advised to insure its property against damage or loss, and insure itself against public liability at its own expense. The Sponsor waives all claims of any kind against Content Marketing World and/or Informa Connect, Show Management, or any of their directors or employees, arising from the conduct of the exposition and agrees that none of the parties referred to above shall be liable for any loss, damage or destruction of property belonging to the Sponsor, its agents or its employees, while on the premises, nor for any other loss or damage whatsoever, including, without limiting the foregoing, any loss or damage to the Sponsor's business by reason of failure to hold the conference and/or exhibition, or failure to provide space for an exhibit or the removal of an exhibit, for any action of Management and the owners and lessors of the exposition areas of the San Diego Convention Center, harmless from claims by the Sponsor's agents or employees or by any other persons arising out of any act or omission connected with the Sponsor's participation in the conference and/or exposition, whether negligent or not. 13. If the EAC fails to comply with the terms of this agreement, or if Informa Connect takes action to enforce any term of this agreement because of acts or omissions of the EAC or its agents, the EAC agrees to indemnify Informa Connect, as well as its officers, employees, and agents, against all claims or lawsuits, including counterclaims, arising directly or indirectly in connection with the EAC’s or its agents’ noncompliance and/or the actions taken by Informa Connect. The EAC shall also reimburse Informa Connect, its officers, employees, and agents, for all attorneys’ fees and costs incurred in connection with such claims, lawsuits and counterclaims. 14. The EAC acknowledges and agrees that in the event of a breach by the EAC of any of the provisions of this Agreement, in addition to any other remedies available at law, Informa Connect reserves the right to deny the approval of the EAC from participating in any future Informa Connect events. 15. The EAC may not assign this Agreement or any rights or obligations contained herein without the prior written consent of Informa Connect. 16. This agreement is to be interpreted under the laws of the State of California. Any and all disagreements between the EAC and Informa Connect arising from or relating in any way to this agreement or the Exhibition, including any claim relating to actions or omissions by the EAC, Informa Connect, or their officers, employees or agents and any claim relating to termination of the EAC’s authority to perform work at the Exhibition, will be resolved, at Informa Connect’s sole option, by binding arbitration conducted in San Diego, CA. This includes any claim by the EAC against Informa Connect, or by Informa Connect against the EAC, regardless of whether a claim is also made against other persons or entities. In the event of any such arbitration, Informa Connect and the EAC shall each select a nominator and the nominators will then select the arbitrator. The arbitrator will be instructed to conduct binding arbitration under procedures established by the arbitrator in order to maximize the speed, efficiency, and fairness of the arbitration, and with the arbitrator empowered to allocate and assess, in the arbitrator’s sole discretion, all costs and fees of the arbitration. In the event Informa Connect shall not choose arbitration, each party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts of the state of California and agrees to bring any such action, litigation, or proceeding only in the courts of the State of California.
