    This Agreement is entered into between Roomwipe, LLC ("Company") and the undersigned independent contractor or company ("Contractor") who will offer home services for customers of Roomwipe, LLC.


    1. Scope of Roomwipe’s Role

    Roomwipe connects contractors and home service providers with homeowners in need of services. The Contractor is solely responsible for quoting, scheduling, and executing any work agreed upon with customers. Roomwipe’s role is limited to facilitating initial connections and providing lead information.


    2. Licensing and Qualifications

    By completing this agreement, Contractor affirms that they hold an active and legally registered business license (e.g., LLC, sole proprietorship, or equivalent) prior to accepting any service requests. Contractor must also be appropriately licensed and/or certified to perform the specific services they offer within the Central Savannah River Area (CSRA), in full compliance with all applicable local, state, and federal regulations. All legal, professional, and municipal requirements must be maintained continuously. Roomwipe reserves the right to request proof of business registration, licensing, and qualifications at any time, which must be submitted promptly upon request.

     

    3. Lead Claiming and Communication

    All home service request leads will be sent to applicable service providers via email or SMS (e.g., plumbing requests are sent to licensed plumbers or handymen qualified to perform plumbing tasks). The information submitted in the Contractor's Roomwipe profile will be used for lead distribution and communication.

    Contractor understands and agrees that:

    Each service request includes customer contact information, service request details, and relevant notes. Purchasing a lead does not guarantee a job nor exclusive rights to the customer. Customers may submit new service requests even after a prior request is claimed.


    Types of Leads

    • Quick Match: Purchased on a first-come, first-served basis.
    • Multi-Lead: Can be claimed by up to three service professionals simultaneously.

    Communication & Responsiveness

    Contractor agrees to initiate direct contact with the customer associated with any purchased lead within twenty-four (24) hours of receiving the lead. Failure to do so may result in a warning, an internal performance note, temporary suspension from receiving new leads, or permanent removal from using Roomwipe's services. Roomwipe reserves the sole right to determine whether a Contractor's communication behavior meets service standards. No refunds will be issued for unclaimed or inactive leads.


    4. Information Accuracy

    Contractor agrees to provide truthful, accurate, and up-to-date information across all applications, certifications, and communications with both Roomwipe and customers. Misrepresentation, including expired or false licensing or insurance, may result in immediate termination without refund.


    5. Independence and Liability

    Contractor operates as an independent business or individual and is not an employee, agent, or partner of Roomwipe. Contractor assumes full responsibility for their services, including customer satisfaction, quotes, schedules, workmanship, and liabilities. Roomwipe bears no responsibility for disputes, claims, or damages arising from the Contractor's services.


    6. Insurance

    Contractor agrees to maintain general liability insurance coverage appropriate to the services provided. Proof of insurance may be requested by Roomwipe and must be supplied within five (5) business days of request. Failure to do so may result in removal from the platform.


    7. Confidentiality

    Contractor shall not disclose any customer, personal, or business data acquired through Roomwipe. Customer contact information is provided solely for the purpose of fulfilling service obligations and may not be used for any unauthorized marketing or third-party sharing.


    8. Termination

    Roomwipe reserves the right to suspend or terminate this Agreement and Contractor's access to leads at any time for violations of this Agreement, repeated customer complaints, unresponsiveness, misrepresentation, or unprofessional conduct. Contractor may cancel their participation at any time with written notice; however, no refunds shall be issued for unused leads, purchased leads, or partial subscription periods.


    9. Governing Law

    This Agreement shall be governed by and interpreted in accordance with the laws of the State of Georgia. Any legal disputes shall be resolved in Columbia County, Georgia.


    10. Entire Agreement

    This document constitutes the full and complete agreement between the parties. No oral or implied terms not contained herein shall be considered binding. Roomwipe reserves the right to update or revise this Agreement, with notice provided to active Contractors via email.


    Effective Date: 4/29/2025

    By signing or accepting this agreement digitally, the Contractor acknowledges they have read, understood, and agree to all terms contained herein.
