TERMS & CONDITIONS OF COACHING
SESSIONS: A Session will be carried out at mutually agreed times during the Period.
- You may ask as many questions about what to expect during and at the end result of the coaching sessions.
- You may decide to cease to continue coaching sessions anytime and may return to the sessions anytime (depending on Karolyn’s availability).
- Karolyn has the right to decide to discontinue with the client should any form of impropriety become apparent.
- You have the right to review your records should the need arise.
- Right to confidentiality: Within limits provided for by law, all records and information acquired by our practice shall be kept strictly confidential in accordance to the principles of a doctor-patient relationship. All information will not be shared or revealed to any person, agency, or organization without the prior written consent of the client.
- You can and are encouraged to raise any concerns and to speak with Karolyn via Text Message or Email and expect a response within 24 hours. Likewise, please make yourself available to discuss matters with Karolyn, should the need arise.
SESSION TIMES: Times for Coaching Sessions may only be changed by the CLIENT if the CLIENT gives the Coach no less than 24 hours’ notice. If the CLIENT cancels more than 3 Sessions during the Period then the Coach may terminate this Agreement on notice to the CLIENT (and the provisions below relating to termination shall apply). A Coaching Session may be deemed to have taken place if less than 24 hours’ notice is given. Emergency situations and other mitigating factors will be taken into account. If the Coach cancels a Session then the Session will be rescheduled at an agreed time. The Coach undertakes to provide 24 hours’ notice in this regard.
ENGAGEMENT OF COACH: The Coach shall arrange to provide learning and coaching to the CLIENT during the set Period at mutually agreed times. The Coach shall use her best endeavors to make herself available for the entire Period. The Coach may at her discretion arrange for a substitute duly qualified Coach to replace the Coach for all or any of the Sessions if the Coach is unavailable for all or part of the Period, and such Coach shall thereafter be deemed to be the Coach for the purposes of this agreement.
TRAINING OF COACH: The Coach warrants that she is a certified Coach and also a Member of the International Coaching Federation, and capable of performing the Coaching activities.
PAYMENT FOR COACHING: Payment for coaching packages shall be by way of immediate online transfer prior to commencement of session.
PREPARATION FOR SESSIONS: The CLIENT must perform all actions forming part of the Communication Program and also carry out any act, matter or thing in preparation for future Sessions as agreed in the sessions. The CLIENT must advise the Coach as soon as the CLIENT becomes aware that these actions will not or cannot be performed. If the CLIENT refuses to carry out such actions then this agreement shall be terminable by the Coach (and the provisions below relating to termination shall apply).
COACHING METHODS: The services provided by the Coach to the CLIENT are designed jointly around the Realign Your Brilliance Curriculum. Coaching, which is not therapy, or counseling, may address specific personal projects, or general conditions in the CLIENT’s life. The CLIENT can count on the Coach to be honest and straightforward in asking questions and making requests. The CLIENT acknowledges that the Coaching Sessions may be personally, emotionally and physically challenging and that there may be occasions on which the CLIENT will feel emotional challenges - including frustration, annoyance or stress. The CLIENT must make all efforts and schedule all Sessions at such times to ensure the CLIENT’s peak physical, mental and emotional state and condition necessary for the conduct of the Session and shall (if necessary) take all steps to cancel any Session in the event that the CLIENT is not well enough to continue. The CLIENT will not hold the Coach liable for any loss or cost incurred by the CLIENT (or any person related to the CLIENT) in the event of the mental, physical, emotional stress or distress (or other ailment or condition) caused either directly or indirectly in relation to the Coaching Sessions. The CLIENT shall indemnify the Coach in the event of any such claim.
CONFIDENTIAL MATERIAL: As part of the Coaching the Coach may need to obtain the CLIENT’s personal details or confidential material relating to the CLIENT personally. The Coach shall use reasonable endeavors to ensure that such material shall not be disclosed to any third party without the CLIENT’s consent.
MEDIA RELEASE: By participating in our Programs, Products and Services, and using our Program Materials, including our online course platform and social media sites, you consent to photographs, videos, and/or audio recordings that may be made that may contain your image, your voice and/or your likeness. You understand and agree that we may use and share such Media for educational purposes with other members throughout the Program. You understand and agree that we may use and share such Media for promotional purposes. If you provide a testimonial, you consent to our right to use any testimonial, in whole or in part, for advertising, marketing, informational or educational purposes. We will not identify you by your full name, unless you do so. To the fullest extent permitted by law, you release, hold harmless, and discharge us from any causes of action arising out of or in connection with such use of Media.
WAIVER AND INDEMNITY: The CLIENT, with full knowledge of the CLIENT’s rights and the consequences thereof, expressly waives the CLIENT’s right to claim any damages or other relief from the Coach in connection with or arising out of the Coaching from whatsoever cause arising including the Coach’s negligence. The CLIENT indemnifies the Coach against any claim for damages or any other relief by the CLIENT’s dependents or any third party in connection with or arising out of the Coaching from whatsoever cause arising including the Coach’s negligence. These waivers and indemnities set out herein shall not apply in the event of gross negligence or willful misconduct on the part of the Coach.
TERMINATION OF AGREEMENT: The Coach may terminate this Agreement before the end of the Period on online written notice to the CLIENT if: i. the CLIENT fails to perform or observe any of the terms of this Agreement and fails to remedy such breach within 5 days of a notice from the Coach to remedy that failure (notice will be sent to the CLIENT’s email address and text message). ii. the CLIENT fails to perform any term of this Agreement which is incapable of remedy; iii. any payment drawn or endorsed by the CLIENT for the purposes of this Agreement has been dishonored and the CLIENT fails to honor such payment within 5 days of a notice from the Coach to honor the said payment. The CLIENT may terminate this Agreement if the matters raised in paragraphs (i) and (ii) are applicable to the Coach. Either the Coach or the CLIENT may terminate the Agreement by agreement.
PROCEDURE ON TERMINATION: If the agreement is validly terminated prior to the end of the Period then the CLIENT must immediately pay the Coach the balance (if any) of the fee for Coaching sessions conducted since the last installment paid and the date of termination, together with any other monies owed by the CLIENT under this agreement. Upon termination the Coach shall immediately cease to be liable to the CLIENT in respect of the Coaching and the Sessions.
