Terms And Conditions
I. PURPOSES AND SCOPE OF SERVICES
a. This Agreement ("Agreement") is made between ReDry LLC (the "Inspector") and {clientCompany} ("Client") for the property located at {address} (the "Property"
b. The purpose of the Inspection is to utilize non-destructive scanning methods (e.g., Roof MRI scanning or other moisture detection equipment) to identify potential areas of moisture intrusion.
c. This Inspection does not constitute a comprehensive evaluation of all potential defects, structural concerns, or code compliance issues related to the Property, nor does it guarantee the absence of hidden or latent conditions.
II. INSPECTION METHODS AND LIMITATIONS
a. The Inspector uses advanced moisture detection technologies including but not limited to infrared thermography, capacitance meters, and other scanning devices. These methods are subject to the following limitations.
b. Environmental Conditions: Ambient temperature, recent weather events, and other factors may limit the efficacy of scanning devices.
c. Accessibility: Areas that are not safely or reasonably accessible may not be scanned.
d. False Positives / False Negatives: Despite the accuracy of these devices, there is a risk of erroneous findings due to unusual material composition, insulation thickness variances, or hidden defects.
e. Scope of Inspection: The Inspection is intended to identify indications of moisture in the roof system. It does not assess structural integrity, code compliance, HVAC systems, plumbing systems, or any other components beyond the roofing envelope.
III. CLIENT REPRESENTATIONS AND RESPONSIBILITIES
a. Use of Inspection Report: The findings and recommendations are solely for the Client's internal use. The Client shall not rely on or allow third parties to rely on these findings without the Inspector's express written consent.
b. Disclosure of Relevant Information:
i. The Client agrees to provide the Inspector with an accurate total square footage of the roof area to be inspected and full disclosure of known roof conditions, including prior repairs, history of leaks, and presence of hazardous materials.
ii. The Client shall advise the Inspector of any access requirements, ensure the roof is safe for foot traffic, and comply with local safety regulations.
iii.The Client will notify the Inspector of any rooftop equipment or structures that may impede or complicate the scanning process.
c. On-Site Support / Roof Access:
i. The Client shall ensure that a designated on-site contact is available at the scheduled inspection time to provide immediate and safe roof access.
ii. If no on-site contact is available at the agreed-upon start time, the Inspector may charge additional waiting fees, travel fees, or reschedule at the Client's expense.
d. Post-Inspection Obligations: The Client is responsible for arranging any necessary repairs, follow- up inspections, or additional testing recommended by the Inspector. The Inspector bears no responsibility for the success or failure of any subsequent repairs or corrective actions.
IV. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY LAW, THE INSPECTION AND REPORT ARE PROVIDED "AS IS," WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT THE INSPECTOR MAKES NO GUARANTEE, WARRANTY, OR REPRESENTATION AS TO THE FUTURE PERFORMANCE OR CONDITION OF THE ROOF.
V. LIMITATIONS OF LIABILITY
IN NO EVENT SHALL THE INSPECTOR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST SAVINGS, OR ANY OTHER DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE INSPECTION, REGARDLESS OF THE LEGAL THEORY UNDER WHICH SUCH LIABILITY IS ASSERTED. THE INSPECTOR'S TOTAL LIABILITY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT FOR THE INSPECTION.
VI. INDEMNIFICATION
a. The Client agrees to indemnify and hold harmless the Inspector from and against all claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Client's use or misuse of the Inspection report or arising from any repairs or corrective actions taken by the Client or third parties.
VII. DISPUTE RESOLUTION / GOVERNING LAW
a. Any dispute arising from or related to this Agreement or the services provided herein shall first be attempted to be resolved through good-faith mediation. If the dispute cannot be resolved through mediation, it shall be resolved by binding arbitration conducted in Davidson County, Tennessee, subject to the laws of Tennessee. Each party shall bear its own costs and attorneys' fees.
VIII. FEES AND PAYMENT TERMS
a. Pricing Based on Square Footage:
i. $3,000 for roofs under 100,000 sq. ft.
ii. $5,000 for roofs between 100,000 and 250,000 sq. ft.
iii. Custom pricing for roofs exceeding 250,000 sq. ft.
b. Additional Costs:
i.If it becomes necessary for the Inspector to rent or purchase equipment (e.g., ladders, safety harnesses) due to inadequate on-site resources, those costs will be billed to the Client.
ii. Any additional travel expenses (e.g., flights, hotels) incurred due to Client-caused delays or cancellations may be charged to the Client.
c. Late Cancellations or Rescheduling:
i. Cancellations or rescheduling within 48 hours of the scheduled inspection date will incur a cancellation fee of 50% of the inspection fee.
ii. Cancellations or rescheduling on the same day of the inspection will be billed in full (100% of the inspection fee.
d. Payment Due: Payment is due prior to the Inspection unless otherwise agreed in writing. Late payments may be subject to a late fee of 10% per month.
IX. PRE-INSPECTION CONFIRMATION / SITE CONDITIONS
a. Client Questionaire:
i.The client acknowledges they have completed the location specific information, at the top of this agreement, accurately and to the best of their knowledge.
b. Inspector's Right to Decline or Adjust Scope:
i. If the Inspector arrives on-site and discovers materially different conditions (e.g., significantly larger roof area, dangerous access), the Inspector reserves the right to decline the Inspection or adjust the fees to reflect the increased scope or risk.
X. ENTIRE AGREEMENT / SEVERABILITY / AMENDMENTS
a. This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior agreements, representations, or understandings.
b. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
c. This Agreement may only be amended by a written instrument signed by both parties.
The Client acknowledges that they have read, understood, and agree to all terms and conditions set forth in this Agreement.
