1. Scope of Services
1.1 Services Provided: The Driver agrees to provide non-emergency medical
transportation services (“Services”) within the State of New York as scheduled by the
Company.
1.2 Standards: The Driver shall perform these Services in accordance with all Company
guidelines, applicable laws, and industry standards.
2. Independent Contractor Status
2.1 Relationship: The driver is engaged as an independent contractor. Nothing in this
Contract shall be construed as creating an employer-employee relationship,
partnership, or joint venture.
2.2 No Additional Compensation: The Company shall only compensate the Driver on a
per-ride basis for completed rides. The Company is not responsible for any salary,
benefits, health insurance, retirement plans, workers’ compensation, or any other form
of compensation or benefit beyond the agreed payment for completed rides.
3. Compensation
3.1 Payment Terms: The Driver will be paid solely for each completed ride in
accordance with the company’s established payment schedule.
3.2 Taxes and Obligations: The Driver acknowledges responsibility for all taxes,
insurance, and other obligations related to the income received from this contract.
4. Data Sharing and Document Consent
4.1 Consent to Share >performance of the Services.
4.2 Scope of Sharing: This consent includes sharing necessary information with:
• Third-party service providers assisting with scheduling, payment
processing, and regulatory compliance,
• Other affiliated or partnered accounts as deemed necessary by the
Company,
• Any other accounts or systems required for operational or compliance
purposes.
4.3 Data Protection: The Company agrees to handle all personal data in accordance
with applicable data protection laws and regulations. The Driver’s consent is a condition
of participation and may be revoked only as provided by law, though such revocation
may affect the ability to provide Services under this Contract.
5. Term and Termination
5.1 Term: This Contract shall commence on the Effective Date and continue until
terminated by either party.
5.2 Termination: Either party may terminate this Contract at any time, with or without
cause, by providing [number of days, e.g., 7] days written notice to the other party.
6. Driver’s Obligations
6.1 Compliance: The Driver shall comply with all federal, state, and local laws, including
those related to transportation, licensing, and safety.
6.2 Licensing and Insurance: The Driver must maintain all required licenses, permits,
and insurance necessary for operating a vehicle under this Contract.
6.3 Vehicle Standards: The Driver agrees to use a vehicle that meets all regulatory and
safety standards for non-emergency medical transportation.
7. Company’s Obligations
7.1 Support: The Company will provide the Driver with ride assignments, schedules,
and operational support as needed.
7.2 Payment: The Company agrees to process payments on a per-ride basis as
described in Section 3.
8. Indemnification
The Driver agrees to indemnify and hold harmless the Company from any claims,
losses, damages, or liabilities arising out of or related to the Driver’s performance of the
Services.
9. Governing Law
This Contract shall be governed by and construed in accordance with the laws of the
State of New York.
10. Entire Agreement
This Contract constitutes the entire agreement between the parties regarding the
subject matter hereof and supersedes all prior agreements, understandings, or
representations, whether oral or written.
11. Signatures
By signing below, the parties acknowledge that they have read, understood, and agree
to be bound by the terms and conditions of this Contract.
