    INDEPENDENT CONTRACTOR AGREEMENT FOR REGIONAL CLIENT CONSULTANT SERVICES AT NOVERIS SIGNATURE This Independent Contractor “Agreement” is entered into by and between NOVERIS SIGNATURE (the “Company”) and You, the Independent Contractor (“Sales Representative” or “Contractor”), for the provision of sales and business development services to support the mobile notary business operations of the Company. ________________________________________ 1. Scope of Work Contractor agrees to serve as a Regional client consultant services promoting mobile notary services within their designated territory, with the goal of acquiring new clients, forming strategic partnerships, and enhancing the Company’s brand presence. Key Responsibilities Include: • Client Acquisition & Outreach: o Make daily outbound phone calls and emails to prospective clients including law firms, title companies, real estate agencies, banks, hospitals, and other target industries. o Conduct cold and warm leads follow-ups with professionalism and persistence. o Schedule and conduct virtual or in-person discovery meetings with leads and decision-makers. • CRM & Technology Use: o Maintain all sales activity records, call logs, and lead notes in Salesforce (or designated CRM) in real time. o Assign and dispatch job orders to Notaries via the CRM system or company app as necessary, ensuring accurate data input. o Track progress of assigned jobs and ensure client satisfaction post-service. • Networking & Events: o Attend a minimum of two approved networking events per month, dressed professionally, with Company-branded materials in hand. o Build long-term relationships by joining at least one professional association (dues covered by Company with prior approval). o Represent the Company at conferences, expos, and industry meet-ups as needed. • Sales Reporting & Feedback: o Submit a weekly sales report including number of calls made, meetings held, prospects converted, and deals closed. o Participate in biweekly performance review calls and sales meetings. o Provide feedback to Company leadership on market trends, pricing concerns, and client feedback. • General Conduct: o Maintain professional appearance and conduct in all client-facing interactions. o Keep Company business confidential, and do not promote or refer clients to any competing services. o Collaborate with other team members and departments to ensure consistent brand voice and high-quality service delivery. ________________________________________ 2. Compensation and Payment Structure • Commission: Contractor shall receive a commission of 10 %] on all new business they secure, calculated on the gross revenue from the client’s first transaction. A 2 % residual commission will apply to repeat services within the first six months of acquisition. • Draw Against Commission: o Starting in Month 3, Contractor shall receive a monthly recoverable draw which will be offset against future earned commissions. o Any balance not covered by commissions after 90 days will be subject to review and potential adjustment by the Company. • Bonuses & Incentives: Contractor may qualify for additional bonuses based on monthly performance milestones, subject to a written incentive plan. • Payment Schedule: Commissions and draws are paid on the 15th and 30th of each month, accompanied by a statement of earnings and draw balances. • Month 1–2: No draw (training/commission only, or milestone bonuses) • Month 3+: $700/month draw (recoverable) • Commission: 10% on each new business deal closed by the rep • Residual: 2% on repeat business for 3–6 months • Bonus: $150 for every 10 new clients onboard ________________________________________ 3. Professional Standards and Conduct The contractor agrees to: • Represent Noveris Signature with integrity and professionalism. • Respond to all client communications within 24 business hours. • Maintain organized records and punctual follow-ups with prospects. • Refrain from accepting gifts or personal compensation from clients related to company services. ________________________________________ 4. Independent Contractor Status This Agreement does not create an employee-employer relationship. The contractor is responsible for all applicable taxes and will receive a Form 1099-NEC annually by January 30. ________________________________________ 5. Insurance and Liability • The Company does not provide insurance coverage for Contractors. • The contractor assumes full responsibility for any personal liability incurred while conducting sales-related duties. ________________________________________ 6. Confidentiality and non-solicitation • The contractor agrees to safeguard all confidential client and company information. • For 6 months post-termination, Contractor will not solicit or service any clients or partners obtained through their work with the Company. ________________________________________ 7. Term and Termination • This Agreement is effective upon signing and continues until terminated. • Either party may terminate this Agreement with 14 days written notice. • Immediate termination may result from misconduct, breach of agreement, or failure to meet minimum performance standards. ________________________________________ By signing below, the Sales Representative confirms that they have read, understood, and agreed to the terms of this Agreement.
