*In consideration for credit being extended, I or we acknowledge and agree to the following: 1) Payment is jointly and unconditionally guaranteed within 30 days of date of delivery. 2) Any charges unpaid after 30 days are charges interest of 2% per month. 3) Any charges still outstanding after 90 days from date of delivery are subject to collection and all collection or arbitration expenses, attorney's fees and court costs will be borne by the purchaser. 4) Title to all product and/or work shall remain with the creditor until all invoices andadditional charges have been paid in full. 5) All claims, requests for adjustments, or notifications of errors must be made within 30 days, or charges are considered accepted. 6) This agreement shall apply to all current and future charges unless revocation is received bycertified mail. 7) Credit privileges may be withdrawn at any time without invalidating the terms of this agreement. As an inducement to grant credit, the undersigned agrees to the need for verification of all information on this agreement and authorizes and releases allbanks, businesses, and persons identified on this agreement to furnish any and all information requested by Midwest Battery LLC, or its representatives, by phone or written correspondence. 8) The undersigned warrants that the information is true and correct. As an inducement to grant credit, the undersigned allows Midwest Battery, LLC the right to obtain the credit history of the undersigned and authorizes the release of such information by signing below.

Continuing Personal Guaranty *Read Thoroughly*
In consideration of Midwest Battery, LLC's extending credit to the above Applicant, the undersigned does hereby individually and personally guarantee to Midwest Battery all sums of money as are presently due or may at any time hereafter become due to Midwest Battery from said Applicant. In any action to between the undersigned and/or Applicant and Midwest Battery, the undersigned hereby agrees that the prevailing party shall be entitled to its actual attorneys' fees, accountant's fees and court costs. The undersigned hereby consents to jurisdiction and venue of said disputes in the Courts of the State of Indiana and that Indiana law shall apply. The undersigned hereby agrees that this Continuing Personal Guaranty arises out of the undersigned's business, trade or profession as those terms are used in Indiana Code of Civil Procedure and that this Continuing Personal Guaranty was made, entered into, executed and is to be performed in Indiana. The undersigned hereby agrees to pay to Midwest Battery all indebtedness now or hereafter owing by the Applicant, and that it shall not be necessary for Midwest Battery to first pursue the Applicant or Applicant's assets for said sums. The undersigned hereby waives all rights and defenses arising out of an election of remedies by Midwest Battery, even though that election of remedies, such as a non-judicial foreclosure with respect to any security for a guaranteed obligation has destroyed the guarantor's rights of subrogation and reimbursement against Applicant by operation of§ 580d of the Indiana Code of Civil Procedure or otherwise.
