Vendor Fee Agreement
Vendor agrees to pay Live Markets & Events LLC all fees applicable to the vendor per the agreement. Event fees differ according to event. The daily vendor fee may change based upon operational needs and structure of the market. The vendor fees are based on a 10x10 tent space, hot food tent, hot Food truck/trailer, cold food truck/trailer and entertainment/anemity. Any other spot sizes must be discussed upon agreement.

The type of spaces as follows;

Retail, Crafts, Promotional,Educational, & nonprofit Booths
(any business/corporation using a booth to promote businesses or services)

Food Truck/ Food Trailer/ Hot Food vendors
(if you require a Fire Safety Inspection to participate this is your category)

Payments
• Payments can be made by Zelle or Credit Card.

Actual cost for an event differs. The cost directly pertains to the specific organized event.

All payments are made to Live Markets & Events LLC. via cash or zelle (no service fee) to mobile #(772)275-2227 or by credit cards (service fee of 4%) All Payments must be paid according to payment deadline.

Vendor agrees to check weekly emails for your spot location and your set up time from LME.

Event Cancellation Policy
If you are not able to attend the event after comitting as a vendor, LME requires a 30 day advanced notice for festivals& specialty events. This gives the us an opportunity to fill your spot. Cancellations made for markets must be made at least 14 days in advance will receive a credit of the market day vendor fee. Cancellations made less than 14 days in advance will not receive any credit. Emergency cancellation credit will be determined case by case. All cancellations must be emailed to Livemarketsevents@gmail.com.

Any sponsored or complimentary vendor fee events require attendance and promotion if you commit to attending a complimentary event and are a no show or fail to cancel in ample timing you will not be invited to future complimentary events. All guidelines must be met for all events.

The vendor understands this event is a rain or shine event. Any cancellations are determined by the city / county/state regulations usually due to severe weather, terroristic acts or any other determination deemed to be harmful to the public.

Vendor must post all events and repost main event promo for the event and must promote their business attending the event on their social medias. Posting & promoting is a requirement. We must all promote together to grow awareness to the events. The more we share the more these events will grow. Working together is key.(corporations may state corporate to exclude from this contractual obligation)

All vendors grant LME the right to use their logo, business pages, and website for promotional and marketing purposes related to events. Additionally, vendors acknowledge that all photos and videos taken at the events are the property of LME and may be used for marketing and promotional activities. (Corporations may state corporate to exclude this contractual obligation)

Vendor understands that All tents must be weighed down in a manner that prevents the tent from flying away. Each tent leg must be weighed down with at least 40lbs each. There is no exception to this rule. Vendor must have bright tent lights for evening events. Tent inspections can occur on any day.

No selling, sampling or distributing alcohol or controlled substances

Vendor Maintains all items of display/sale inside of your 10x10 spot/reserved area and must maintain a professional appearance

Vendors do not drive in the event area during event hours. All vendors will park in the designated parking area. No vendor is allowed to enter the event area with a vehicle until given permission from event coordinator.

LME reserves the right to reject any application or to deem any artwork, display, merchandise, or activity inappropriate for these family-oriented events/markets. Vendor agrees to abide by any such determination of LME and its agents and acknowledge that they will be ejected from the location/property if they refuse to comply with LME personnel direction.

Vendor agrees to remove all debris, boxes, and trash. Leave the grounds completely clean and without damages & note no staking in ground. Failure to comply can result in a $50 penalty for tent vendors . $100 penalty for food trucks.$100 penalty for bounce houses/ children craft entertainment. $150 penalty for Petting Zoos or animal involved activities

Vendor must carry insurance and list Live Markets & Events LLC and the City of PSL as certificate holders as well as any other specific certificate needed for specific locations

Vendor will be responsible for the security and protection of their own crafts, displays, wares, money, and personal property at all markets/events. Vendor holds Live Markets & Events LLC and their partners, contractual agents harmless for any claims, expenses, damages or loss to their merchandise and booth.

Vendors participating in Green Markets & Live Markets are required to maintain consistent attendance. Weekly/biweekly. Regular participation is a mandatory condition of this agreement, as it is essential for building and sustaining your customer base. Each market operates on a consistent schedule, and your ongoing presence is a key factor in both your business success and the overall growth and stability of the market. We want our customer base to know you and shop your business. Failure to comply with this requirement may result in termination of your participation at the discretion of Live Markets & Events.

Vendors must comply and obtain all city and state laws and regulations permitting to conduct business including sales, licenses and certifications also Including Health & Safety standards and regulations. This is the vendors responsibility. Failure to uphold your requirements will have you immediately terminated.

Vendors must keep a high-quality standard. All products sold must be fresh and accurately represented. Vendor must have all products labeled clearly. Vendors must keep their booths looking professional and clean. No handwritten signs. All tables must be covered with tablecloths and your presentation must be appealing. All food trucks must be clean and look desirable with professional signage. (A truck does not need to be new but must be clean and presentable).

Vendor must comply with a professional code of conduct. Vendor must treat everyone at the market with respect and courtesy. Vendor must not engage in discriminatory, harassing, or abusive behaviors. We do not tolerate negative talk or gossip. Vendor must not engage in fraudulent, deceptive, or unethical practices. There is no solicitation at our events by vendors or employee/ helper of the vendor. Vendor must communicate honestly. Any grievances or disputes need to be brought to the attention of LME so it can be handled accordingly. No exceptions.

LME reserves the right to terminate this contract and the vendor's participation in this market for any reason including but not limited to violation of the code of conduct or terms of this contract. There is absolutely no solicitation allowed at any of our events. You should not allow anyone to solicit you at all. Politely stop the person from soliciting and direct them to the green market or LME tent immediately. Absolutely no scouting allowed. If you scout vendors away from our locations you are not assisting in building this community you are working against us. That is call for termination. We share opportunities with vendors whether it is an LME opportunity or another associated legitimate business in need of vendors. We don’t want anyone scammed and we don’t want our hard work and efforts diminished. Please bring all events to management and we will vet the event and present it to our vendors or let you know of its legitimacy. If someone enters the event trying to solicit you for an event direct them to management. Do not Engage this can result in termination.

Vendor must comply with all rules and guidelines presented here in this contractual agreement. Vendor must comply with any other changes and updates made to the code of conduct or guidelines in the future via email or other communications. Any of these changes made by LME vendor is expected to immediately comply.

I (vendor name), blanks understand my signature on this document affirms that I will comply with the provisions and regulations of the Code of the City of Port Saint Lucie, Florida. I further certify that all the information contained in this contract/agreement and all documentation submitted
herewith is true to the best of my knowledge and belief. Further, I understand that the application and its attachments become part of the official records of Live Markets & Events LLC and are not returnable.

In consideration of the city's grant of allowance of usage of city property for the listed event, I the Vendor, agree to indemnify and hold the City of Port Saint Lucie & Live Markets & Events LLC, its official officers, employees, and agents harmless from any and all claims, liabilities, losses and/or causes of
action of whatsoever type, including, but not limited to claims resulting from the injury or death of any person or property damage which arise from or relate to any negligence or intentional act or omission of the Applicant/ Vendor or the Applicants agents, employees, customers, contractors, or subcontractors, during the use of city's facilities and or the course of the event.

By signing below, I have read and understand this document and sign it freely and knowingly, intending that it shall be fully operative and effective in all respects and that it waives legal rights to which I might otherwise be entitled.
