  • KIL PROMOTIONS LLC NY AUTUMN JEWELRY & OBJECT 2025 RULES AND REGULATIONS SHOW CONTRACT

    In order to participate in the "Show" (NYC Autumn Jewelry Antique & Object Show), Exhibitor must return this Contract/Application properly executed by an authorized company representative along with deposits/payments. A Contract will not be considered in force

    until accepted by KIL Promotions. An executed facsimile, email or photocopy copy ofthis

    Contract will be deemed to be an original. Upon acceptance, the Contract is binding and non- cancellable by either party except as specified herein. Once accepted, this Contract is for the Show specified herein, including the move-in and move-out periods, and does not extend to the Exhibitor any rights of any kind with respect to any future shows by KIL Promotions. Interpretation of and compliance with the KIL Promotions Rules and Regulations, including, but not limitedto, admission policy, exhibitor conduct and decorum, lighting, signage, and other matters affecting the show and its exhibitors shall be determined in the sole discretion of KIL Promotions. KIL Promotions shall have the right to decline access to an exhibitor or to remove same from the Show for any material breach of the exhibit Contract or failure to comply with the Show's Rules and Regulations which, in the sole discretion of KIL Promotions, as it deems appropriate. Exhibitor affirmatively waives and releases any claim, and agrees to make no claim against KIL Promotions, its employees, officers, shareholders, agents, or legal representatives relating to: (a) exhibitor's use of the leased space or any discretionary decision by KIL Promotions under the governing Rules and Regulations, (b) any discretionary decision on the part of KIL Promotions relating to the Show or the Exhibitor, (c) the Exhibitor's use of the leased space or the general conduct of the Show, (d) any injury to the Exhibitor, its employees, agents,

    guests, or other third parties, (e) cancellation, termination, or interruption of the Shovy for any

    reason outside the control of KIL Promotions, (f) KIL Promotions

  • reserves the right to record Exhibitor's booth via photography, film, digital and /or any other method and to use such "recording" in any manner it deems appropriate including any and all advertising media.

    1. Show Hours: Thursday, November 20th, 2025 Set up 3:00p.m. - 10:00 p.m.; Friday, November 21st, 2025 11:00 a.m. - 6:00 p.m.; Saturday, November 22th, 2025 11:00 a.m. - 7:00 p.m., and Sunday, November 23th, 2025: 11:00 a.m. - 4:00 p.m. Show dates and times are subject to change by KIL

    Promotions without further notice.

    2. Conduct of Show: (a) Exhibitor agrees to abide by all rules and regulations adopted by "KIL Promotions" and as may be amended from time to time, and agrees that "KIL Promotions" shall have the final decision in adopting any rule or regulation deemed necessary prior to, during and after the show. (b) Exhibitor agrees to abide by the Metropolitan Pavilion's Operating Policies and Procedures as may be adopted by Metropolitan Pavilion from time to time. (c) Exhibitor shall not use the Pavilion in any manner that could void the insurance or increase the rate of insurance on the facility or use the facility in any manner that causes the Pavilion or any equipment contained therein to be damaged, marred or defaced or to be altered in any way. (d) Exhibitor agrees to obtain, at its own expense, any licenses or permits which are required from any governmental bodies or third parties, and to comply with all local, State and Federal ordinance, laws and administrative regulations pertaining to or for the operation of its trade or business during the show and to pay all sales and other taxes that may be levied against it as a result of the operations of its trade or business during the Show. (e) Exhibitor agrees to abide by all non-smoking regulations in effect with the Venue. (f) Exhibitors may display or offer for sale any reproductions, as long as they are properly identified, which include but are not limited to antiques, fine silver, art, art glass, bronzes, statues, jewelry and figurines. All merchandise must be properly represented by Exhibitor

    as to their origin, and date or period of manufacture or creation. (g) Exhibitor shall not display or offer for

  • sale any ivory or ivory containing merchandise unless said merchandise complies with all Federal and State Laws, Rules and Regulations. (h) All merchandise must be displayed in showcases provided or approved by "KIL Promotions"-including reasonable selections from the Exhibitor Service Manual. Merchandise must be displayed in a neat and professional display and manner. (i) Exhibitor's Leased space is only for the display of the product line that "KIL Promotions" believes to be for the benefit of the Show. Any substantial change in the type or character of Exhibitor's product line requires prior written approval of "KIL Promotions". )Exhibitors must conform to the provisions of the National Gold and Silver Marketing Act 15USC294 ET. sq. (The stamping act) as well as the Federal Trade Commission Guides for the Jewelry Industry 16CRF Part 23, including the Guide Against Deceptive Pricing. Exhibitor shall provide a duplicate receipt to all buyers upon sale which includes the identity of the buyer, date sold, a complete description of the item(s) and number sold and the full purchase price of the item(s (k) All merchandise and antiques must be sold as estate, antique or second hand. Notwithstanding, any newly manufactured (i.e., not previously sold) merchandise can only be sold by an authorized manufacturers United States representative or distributor, and for which Exhibitor submits to "KIL Promotions" proof of such representation prior to the show. (I) Show management reserves the right to disapprove the exhibit of any product or service which it believes is not related to the merchandise or antique industry, or otherwise does not comply with these terms and conditions, or which is in violation

    ofthe rights of a third party, or which is of questionable or dubious authenticity, age, artistry, or quality,

    or which interferes with the nature or reputation of the Show. (m) Up to two companies or organizations may exhibit its products or services in a single space upon Show management approval. (n) The Exhibitor shall conduct and operate their exhibit so as not to annoy, anger or interfere with the rights of other exhibitors and visitors. Any practice resulting in complaints from any other exhibitor or any visitors, in addition to any practice that interferes with the rights of others or exposes them to annoyance or

  • danger is prohibited by "KIL Promotions". The sole determination of such practices is reserved by "KIL Promotions". Any display that obstructs aisles or prevents ready access to nearby Exhibitors' booths shall be suspended by "KIL Promotions" until the problem is remedied by Exhibitor to the satisfaction of "KIL Promotions". No exhibits will be allowed to extend beyond the space allotted to the Exhibitor. This includes Exhibitor personnel, whose selling space is limited to the booth boundaries. (o) Exhibitor agrees that their exhibit shall be admitted and shall remain from day to day solely on strict compliance

    with the rules herein as laid down.

    3. Booth Placement: KIL Promotions does not guarantee specific booth placement or specific show layouts or configurations. KIL Promotions reserves the right to make changes in booth assignments and/or show configurations at any time. All booth placements and show design layouts are at the sole

    4. Display: The Exhibitor agrees to occupy the contracted exhibit space during the full term of the show and to exhibit only the products and merchandise described in this contract. KIL Promotions reserves the right, in its sole discretion, to (1) determine the eligibility of exhibitors and

    exhibits for the show; (2) to prohibit any exhibit or part thereof which, in its sole opinion, violates the agreement described herein or is; in any other way, not suitable to or in keeping with the character and spirit of the show; (3) to reject, eject, prohibit or does any exhibit in whole or in part, including removal of Exhibitor or their representatives, upon KIL Promotions' good faith determination that exhibit or conduct of Exhibitor or their representatives violates this contract or show rules and regulations as may be amended from time to time; (4) to refuse to permit an Exhibitor who violates this agreement to participate in one or more future KIL Promotions shows by reason thereof; (5) to change the floor plan (including but not limited to aisle spaces) or booth size, without notice, in order to comply with fire, safety and accessibility regulations or provide, in its exclusive judgment, a safer, more satisfactory,

  • attractive and successful show. KIL Promotions management has the absolute discretion to exercise these rights.

    5. Move-In/Set-up & Move-Out: All arriving goods and exhibits will be received at receiving areas designated by KIL Promotions or its show contractor; all incoming freight and exhibits must be plainly marked and all charges prepaid. Exhibitors shall be allowed to move-in and/or set-up exhibit on November 20th, 2025 3:00 p.m. -10:00 p.m Exhibitors shall be allowed to dismantle and move-out exhibit on November 23th, 2024 at 4:00pm. All exhibits must be installed and ready for display 1 hour prior to the Show's opening each day, excluding Early Preview hours. Exhibitors will be allowed

    to enter the Metropolitan Pavilion for set-up each show day up to three (3) hours prior to the

    beginning of the show. Move-in, move-out and set up times are subject to change by KIL Promotions without further notice. Under NO circumstances will construction, arranging or set up of exhibit space be permitted during official hours of the show. All labor and expense for handling, move-in and move out of the exhibit from the Metropolitan Pavilion will be paid by the Exhibitor. Exhibitor is responsible for moving merchandise in/out of and around the facility. Only Badged Exhibitors may conduct business or trade on the show floor during the move-in period and shall conduct business as the Badged helpers shall be solely restricted to the set-up of the Exhibitor's booth to which they are assigned and shall not conduct business or trade of any kind on the show floor during the move- in period. Badged helpers' failure to abide by the restriction will result in their permanent removal from the show for its entire duration without refund. Exhibitors are prohibited from dismantling displays before the official time the show closes & ends. Failure to comply with this provision may result in an Exhibitor being barred from future shows. Exhibitors must totally vacate the Metropolitan Pavilion by 10:00 p.m. on Sunday, November 23th, 2025. No exhibit and accompanying merchandise shall leave the Metropolitan Pavilion until KIL Promotions has conducted a walk through inspection of the Exhibitors space for damage and all bills accruing against the exhibitor for any such

  • damage or other outstanding charges accruing there under are fully paid or credit is approved by KIL Promotions. In the event any Exhibitor fails to remove his exhibit in the allotted time, KIL Promotions reserves the right, at the Exhibitor's expense to ship the exhibit through a carrier of KIL Promotions' choosing or to place the same in storage warehouse subject to the Exhibitor's disposition or make such other disposition of this property as it may deem desirable without any liability to KIL Promotions. Exhibitor agrees that KIL Promotions shall have a first lien on such materials for payment of costs incurred by KIL Promotions for such removal and storage.

    6. Cancellation: This contract may only be canceled by the Exhibitor if notice, in writing, is accepted by KIL Promotions. All deposits and payments are non-refundable. If notice of cancellation is received by KIL Promotions after October 3st, 2025 the Exhibitor is liable for full payment of his booth space and under this Contract. Failure to appear at the show does not release the Exhibitor from responsibility for payment of the full cost of the space rented or additional amounts due under this Contract. Upon cancellation, KIL Promotions retains the right to utilize, resell or release the canceled space for its own

    7. Default: In the event Exhibitor fails to make payment as required or fails to comply in any respect with the terms of this Contract, including all show Rules and Regulations, KIL Promotions may cancel this contract without notice and all rights of Exhibitor hereunder shall cease and terminate. Any payments made hereunder by Exhibitor shall be retained by KIL Promotions and Exhibitor shall be liable for full payment of their booth space. In the event of a default under this contract, KIL Promotions shall retain any payments made by Exhibitor without limitation to KIL Promotions rights and/or remedies against Exhibitor for its breach of this Contract, at law or in equity. In the event of a default during the conduct of the Show, KIL Promotions may direct Exhibitor to remove its employees and agents and all of its articles or merchandise and other personal property from the Show floor and/or the entire

  • Metropolitan Pavilion and shall retain any payments made by Exhibitor without limitation to KIL Promotions rights and/or remedies at law or in equity.

    8. Booth Representatives: Booth representatives shall be restricted to Exhibitor's employees and their authorized representative. Two (2) Exhibitor badges and one (1) Helper badge shall be furnished by KIL Promotions per booth unless previously agreed upon in writing by "KIL Promotions". All additional badges will occur a cost of $100 each. Names for Exhibitor badges must be submitted to "KIL Promotions" by October 3rd, 2025. Changes to Exhibitor badge names after this date shall be accepted at the sole discretion of "KIL Promotions" and must include an acceptable form of employment verification. All badge identification provided by KIL Promotions shall be worn at all times during the Show, its move-in, move-out and set-up periods. "KIL Promotions" must be informed of Split Booth applications in writing- with the Business name, Exhibitor's employee names and helper name, and description of merchandise. "KIL Promotions" does not guarantee acceptance of a Booth Split and all Booth Splits must be formally accepted by "KIL Promotions". No Split Booth applications shall be accepted after October 3th, 2025. Split Booths agree to operate under the same Rules and Regulations in this Contract. All Exhibitor parties under Split Booths or otherwise agree NOT to distribute passes to those not directly attending as the Exhibitor's employees and authorized representative. Any distribution or assignment of Exhibitor badges to those not conducting business in the Leased Space shall result in the immediate expulsion from The Show, without refund.

    9. Contractor Services: Exhibitor is responsible to contract for any rental furniture, displays, equipment and services, and exhibit and material receiving, handling, storage, move-in, move-out, set-up and breakdown. A complete Exhibitor Service Manual covering services for move-in, move-out, housing, and prices for shipping, warehousing, setting up and dismantling of exhibit material will be furnished to the Exhibitor in advance of the Show. Exhibitors must use the contractor chosen by the Metropolitan Pavilion for all concession, electrical and other utility needs associated with the exhibit or Show.

  • 10. Right of Entry and Inspection: KIL Promotions or its designee shall retain the right and unfettered discretion at any time to enter the leased area occupied by exhibitors and to inspect any goods, displays, and other materials utilized or sold in the leased area in order to ensure compliance with this Contract and all applicable rules & regulations governing the Show. KIL Promotions shall have the absolute sole right at their discretion to require an Exhibitor correct or to remove from the Show any display or merchandise which does not comply with the rules and regulations of the Show or is of questionable authenticity. KIL Promotions reserves the right and discretion to terminate this Contract without refund and eject or cause to be ejected from the Show any objectionable Exhibitor and/or exhibit or merchandise which violates this Contract, any applicable rules and regulations of the Show, and all applicable local, State and Federal laws, ordinances and administrative regulations, and neither KIL Promotions nor any of its officers, directors, agents or employees shall be liable to Exhibitor for any damages that may be sustained by Exhibitor or others as a result of such termination and/or ejection.

    11. Fire Regulations: Exhibitor is expected to be knowledgeable of and adhere to all Federal, State, and local laws and regulations while participating in the Show. KIL Promotions has no responsibility for exhibitors' compliance with applicable laws. Compliance with applicable laws is mandatory and is the sole responsibility of the Exhibitor. All Exhibitors, service contractors and any other parties exhibiting or working in the Metropolitan Pavilion must comply with all applicable Federal, State and local building and fire codes, and all exhibits must pass Fire Department inspection before opening date. Smoking inside the Show is prohibited. Aisle and fire exits must not be blocked by exhibits or merchandise.

    12. Insurance: KIL Promotions provides no insurance on account of, or for the benefit of, Exhibitor, its personal property, or its merchandise. Exhibitor shall obtain and maintain at its expense during the period commencing on the first move-in date and terminating on the last move-out date, a policy of Comprehensive General Commercial Liability Insurance with limits of no less than $1,000,000

  • aggregate, for bodily injury and property damage, including coverage for personal injury and death, products liability, contractual and statutory liability, and advertising injury. Exhibitor's policy shall name the KIL Promotions LLC, its Directors, Officers, Agents, and Employees as additional insured. Exhibitor's required coverage shall be primary and not secondary to any coverage, which may be carried by KIL Promotions and other third parties. If requested, copies of additional insured endorsements, primary coverage endorsements and complete copies of policies, satisfactory to KIL Promotions, shall be furnished to KIL Promotions no later than forty five (45) days before the first day of the Show. Failure by KIL Promotions to request proof of insurance shall not relieve Exhibitor from maintaining the coverage.

    13. Indemnification: (a) All of the Exhibitors' property at the Show shall be at the sole risk of the Exhibitor. KIL Promotions and the Metropolitan Pavilion shall not be responsible for the merchandise, or any part thereof, or other property situated at or about the show space or building. Exhibitor assuming any and all liability for any loss of any kind or character, including, but not limited to, theft or mysterious disappearance, damage or destruction of the merchandise or other property placed or brought upon the show space or building by Exhibitor, or on the Exhibitor's behalf, or for any loss or damage, by theft, destruction, disappearance or otherwise to Exhibitor's merchandise, booth or personal property. The Exhibitor accepts all risks associated with the use of the show space and the Pavilion. The Exhibitor releases and shall not make any claim or demand or take any legal action whatsoever against KIL Promotions and/or the Metropolitan Pavilion and their respective directors, officers, employees, agents and subcontractors as though spelled out in the entirety. (b) KIL Promotions and the Metropolitan Pavilion shall not be liable to Exhibitor, their agents, employees, contractors, helpers, patrons, guests, licensees, invitees, or to any other person whomsoever, for any injury or damage to person or property arising out of any act or omission, whether intentional, negligent or otherwise, on the part of the

  • Exhibitors, their agents, employees, contractors, patrons, guests, licensees, invitees, or for any other injury or damage arising out of the use of the Show space. Exhibitor agrees to indemnify and hold "KIL Promotions" and the Metropolitan Pavilion harmless, including its officers, directors, employees and agents, relating to all claims, costs, actions, damages, losses, liabilities, and attorney's fees arising out of the foregoing, including any liability which could arise based upon a fraudulent or negligent misrepresentation by Exhibitor regarding the authenticity, age, artist, manufacturer or quality of goods sold during the Show, violation of any local, State or Federal ordinance, law or administrative regulation by Exhibitor during the course of the operation of its trade or business during the show, and for any other mistakes or errors made by Exhibitor. The provisions of this section titled "Indemnification" shall

    survive the termination of this Contract.

    14. Americans with Disabilities Act Requirements: Exhibitor agrees to comply with applicable requirements of the Americans with Disabilities Act and its regulations and guidelines (collectively, the "ADA") and agrees to hold KIL Promotions harmless from and against all claims that may be brought against Exhibitor on the basis of Exhibitor's noncompliance with ADA requirements. All Exhibitor personnel who may need special assistance or auxiliary aids pursuant to the ADA should contact the KIL Promotions as soon as possible.

    15. Care of Venue Facilities: The Metropolitan Pavilion prohibits any attachments or installation of materials of any kind in the walls, ceiling, columns, floors, or common areas of the Convention Center, inside or outdoors. Exhibitors may not apply paint, lacquer, adhesives or other coatings, or nail or screw into any part of the building, including but not limited to its booth space or building walls, ceilings, windows, columns and floors. The Exhibitor may not mark, damage, or otherwise deface any part of the building or property belonging to the Metropolitan Pavilion, KIL Promotions and other exhibitors. Exhibitor agrees to pay the costs of repair or replacement for any and all damage whatsoever to the

  • Armory premises or equipment on the Pavilion premises arising out of Exhibitor's use of the premises or equipment pursuant to this Contract. At the conclusion of the Show, KIL Promotions will conduct a post-use inspection of the Exhibitor's show space and surrounding area to ascertain damage to the Metropolitan Pavilion resulting from the use of the Pavilion by Exhibitor, which Exhibitor or their representatives shall attend. KIL Promotions will notify Exhibitor within a reasonable time of the extent of any damage and the cost of repair. The Exhibitor further agrees to indemnify and hold KIL Promotions harmless from any claims, losses, or expenses resulting from its breach of this Contract.

    16. Force Majeure: : In the event that the premises in which the Show is to be conducted shall become in the sole discretion of KIL Promotions unfit for occupancy or in the event the holding of the Show or the performance of the Contract (of which these Rules and Regulations are a part) are substantially or materially interfered with by virtue of any cause or causes not reasonably within the control of KIL Promotions, this Contract and/or the exhibition (or any part thereof), may be terminated by KIL Promotions. KIL Promotions shall not be responsible for delays, damage, loss, increased costs, or other unfavorable conditions arising by virtue of cause or causes not reasonably within the control of KIL Promotions . If KIL Promotions terminates this Contract and/or the exhibition (or any part thereof) as aforesaid, then KIL Promotions may retain such part of an Exhibitor's rental as shall be required to recompense it for expenses incurred up to the time such contingency shall have occurred, and there shall be neither further liability on the part of either party nor responsibility by KIL Promotions for any loss of business, lost profits, damage or expense of whatever nature that the Exhibitor may suffer. KIL Promotions may at its option change the show date and/or year and transfer exhibitor funds to the changed date. For the purposes hereof, the phrase "cause or causes not reasonably within the control of KIL Promotions include, but are not limited to: fire, casualty, flood, epidemic, earthquake, explosion or accident, blockade, embargo, inclement weather; government restraints or orders of civil defense or

  • military authorities act of public enemy or terrorism; riot or civil disturbance, strike, lockout boycott or other labor disturbance, inability to secure sufficient labor, technical or other personnel failure; impairment or lack of adequate transportation facilities; inability to obtain; condemnation; requisition or commandeering of necessary supplies or equipment; local, State or Federal laws, ordinances, rules, orders, decrees or regulations, whether legislative, executive or judicial and whether constitutional or unconstitutional; failure by Metropolitan Pavilion; or Act of God.

    17. Amendments: KIL Promotions shall have full power to interpret and enforce all of the terms of this Contract, all Show Rules & Regulations, all Metropolitan Pavilion Rules & Regulations, and the power to make, from time to time, amendments and such further Rules and Regulations as it shall consider necessary for the proper conduct of the Show. Any matters not specifically covered by the preceding rules shall be subject solely to the decision of KIL Promotions. Exhibitors, for themself and their employees and representatives, agree to abide by the foregoing terms, rules and regulations and any amendments that may be put into effect by KIL Promotions.

    18. Governing Law & Jurisdiction: This contract and all legal proceedings relating to its validity, interpretation, performance and enforcement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law rules. The parties hereby agree to submit themselves to the personal jurisdiction of the State courts of New York County, New York, which shall be the exclusive venue for any disputes relating to this agreement.

    19. Interpretation of Agreement: This Agreement shall be interpreted and enforced without the aid of any canon, custom or rule of law requiring construction against the draftsman in case of vagueness or ambiguity. Any ambiguity in this Agreement should be interpreted in a manner, which furthers the stated

    20. Attorney's Fees: If any legal action or other proceeding is brought by KIL Promotions to enforce or

  • interpret this Agreement, or because of an alleged dispute, breach, default, or misrepresentation in connection with any provision of this Agreement, KIL Promotions, if it prevails, shall be entitled to recover its reasonable attorneys' fees, court costs and all expenses, even if not taxable as court costs, (including, without limitation, all such fees, taxes, costs and expenses incident to mediation, appellate, bankruptcy, receivership and post-judgment proceedings), incurred in the action or proceeding, in addition to any other relief to which KIL Promotions may be entitled.

    21. No Waiver: Any remedy or right conferred upon KIL Promotions for Exhibitor's breach of this Agreement shall be in addition to and without prejudice to any and all other rights and remedies available to KIL Promotions. No failure or delay by KIL Promotions in exercising any claim, remedy, right, power or privilege under this Agreement shall operate as a waiver, nor shall any single or partial exercise of any claim, remedy, right, power or privilege preclude any further exercise thereof or the exercise of any other claim, right, power or privilege arising hereunder or by operation of law. Furthermore, no waiver in any manner under this Agreement by the KIL Promotions shall be effective unless it is in writing and is signed by an officer or director of KIL Promotions.

    22. No Assignments or Subletting: No Exhibitor shall assign, sublet, or apportion the whole or any part of the Contract or the space allotted to it.

    23. Time of the Essence: Time is of the essence in this agreement.

    24. Severability: If a provision of this Agreement is or becomes illegal, unenforceable, or invalid inany

    jurisdiction, it shall not affect (1) the enforceability or validity in that jurisdiction of any other provision of this Agreement, or (2) the enforceability or validity in other jurisdictions of that or any other provision of this Agreement.
