SUPERFINE MODEL AND TALENT RELEASE
This Model and Talent Release Agreement (“Agreement”) is entered into and made effective as of the date and signature below (“Effective Date”) by and between, the individual named below (referred to as “you” or “Model”) and MONROE MEDIA, LLC, including photographer J. MONROE (“Photographer” or “we” or “us”). By signing this Agreement, Model agrees to participate in SUPERFINE photo/video shoot (the “Project”), and agrees to the following term:
1. CONSENT OF PARTICIPANT
You represent and warrant that you have the full right and authority to grant the rights herein and that no one else’s permission is required. You affirm that you are a voluntary participant and are fully informed of the nature and intended uses of the Project. You agree to this release either by submitting this document or by being present and taking part in the Project.
You consent to be photographed, filmed, recorded, interviewed, and otherwise documented for the Project, including the capture of your image, likeness, voice, performance, statements, or biographical information (your “Likeness”). You understand that the Project may be exhibited, distributed, and published in various formats and platforms, including, but not limited to, publications, social media, websites, editorials, public screenings, film festivals, broadcast media, and promotional material. You have had the opportunity to ask questions regarding the scope of participation and intended use, and agree to participate under the terms set forth in this Agreement.
2. RIGHTS AND COPYRIGHTS
You give us, our successors, licensees and assigns, the perpetual, non-exclusive, worldwide, royalty-free and irrevocable right and license to use, reproduce, distribute, publicly perform, display, modify, transit, and otherwise exploit your Likeness in connection with the Project and all Materials derived therefrom for any purpose and in any manner within our sole discretion now and in the future (the “Material”).
Photographer shall be the sole and exclusive owner of all rights, title, and interest in and to the Materials, including all copyrights and intellectual property rights therein. You acknowledge that this Agreement does not convey any rights of ownership or authorship in the Materials to the Model. You understand that you may not alter, sell, license, or otherwise commercially exploit the Materials or authorize third-party use thereof without Photographer’s prior written consent.
Notwithstanding Photographer’s rights above, we grant the Model a non-exclusive, non-transferable, royalty-free license to use the final approved images or video excerpts from the Project that feature the Model, strictly for non-commercial, personal promotional purposes, including but not limited to use in: (a) physical and digital modeling portfolio; (b) personal websites; (c) social media platforms, (d) submissions to modeling agencies or casting calls.
3. REPRESENTATION AND WARRANTIES
3.1 Legal Age and Authority
By signing, you confirm that you are at least 18 years old and have the legal right to enter this agreement. If you are under 18, a parent or legal guardian must sign on your behalf.
3.2 Agency Representation
You certify that you are not represented by a modeling or talent agency, giving us full and unrestricted permission to use the Materials as outlined above without any conditions or limitations. If you are represented by an agency, you have obtained all necessary approvals and authority from such agency to enter into and perform under this Agreement. Model shall be solely responsible for any obligations arising between them and their agency and agrees that this release takes priority over any conflicting terms and grants Photographer full rights to use the Material as outlined above.
4. CONFIDENTIALITY
You agree to keep private any non-public, confidential, proprietary, or sensitive information you may learn during your participation in the Project, including details about the shoot, creative methods and materials, behind-the-scenes content, or anything related to the Photographer, their collaborators, or the Project (collectively, “Confidential Information”).
You will not share or post any such content, in whole or in part, to any third party either directly or indirectly, especially on your social media, other online platforms, or semi-public channels, without prior written consent. This confidentiality obligation described herein remains in effect even after the shoot or your involvement ends and shall survive the expiration or termination of this Agreement.
5. COMPENSATION
You understand that you are not entitled to any payment or royalties for the use of your Likeness or for any other rights granted in this agreement unless separately agreed in writing.
6. RELEASE AND WAIVER
You and your heirs, successors, or assigns, agree to irrevocably waive and release us from any legal claims related to the use of your image or materials, including but not limited to defamation, invasion of privacy, publicity rights, or misappropriation of likeness, arising out of the authorized use of your likeness under this Agreement.
7. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and interpreted under the New York state law, without regard to its conflict of law principles. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
IN WITNESS WHEREOF, the undersigned have executed this Agreement as of the Effective Date.
