O’Ryan’s Affiliate Agreement
This Affiliate Agreement ("Agreement") is made effective as of the date of form submission ("Effective Date"), between O’Ryan’s ("Company," "we," "us") and the Affiliate ("you," "Affiliate"), who agrees to the following terms by submitting the Affiliate Registration Form:
1. Affiliate Enrollment By completing and submitting the Affiliate Registration Form (link), you apply to join the O’Ryan’s Affiliate Program. Approval is at the sole discretion of the Company.
2. Affiliate Obligations Upon approval:
You will receive a unique promo code storefront link. Custom Storefront links are based on tiers or O’Ryan’s discretion.
You agree to promote O’Ryan’s products ethically, truthfully, and in compliance with applicable laws.
You grant O’Ryan’s rights to use any content you create featuring our merchandise or brand for promotional purposes indefinitely.
3. Compensation & Payment Terms Affiliate compensation is based on tiers determined by monthly Gross Revenue (GR):
Tier 1: Rookie (any affiliate)
Promo Code for Main Storefront
50% Gross Profit payout, monthly (first Friday)
Tier 2: Verified ($5,000 GR per month)
Custom Storefront Link & Promo Code
50% Gross Profit payout, monthly (first Friday)
Can request special circumstance early payment if you obtain $5K minimum worth of sales Gross Revenue during the first 2 weeks of the calendar month, offer only available for the first 2 months. Can be denied without consequence

Tier 3: Elite ($10,000 GR per month)

You will qualify for the tier once you hit the metric within the month.
Example: You just signed 1/1/25, and by 1/10/25, you have done $10,000 in GR. You will instantly become tier 2 on 1/10/25 once you pass that threshold and would then qualify for all of the perks that come with Elite Tier 3, like same-day payouts.
3.1. Gross Profit Calculation:
Gross Profit = Retail Price – Production Cost
Affiliate Payment = 50% of Gross Profit
Example: $30 hat – $20 cost = $10 GP. The affiliate receives $5.
All Payments are via electronic methods (ePayments) to your registered account.
3.2. Affiliate Referral Bonus Structure (Upline Earnings)
Affiliates who refer other affiliates (“Referrals”) are eligible to receive a referral bonus based on the gross profit (GP) generated by their direct recruits.
Referral Bonus Terms:
If a referred affiliate generates $5,000 or more in Gross Revenue (GR) in a given calendar month, their referrer becomes eligible for a 7.5% override on that affiliate’s gross profit (GP).
This override is paid only from the company’s GP share and does not reduce the referred affiliate’s 50% GP commission.
This override is paid monthly, as long as:
The referred affiliate continues to meet the $5,000 GR threshold
The referring affiliate maintains $1,000+ GR during that same month
Referral bonuses are paid on the first Friday of each month, based on the referred affiliate’s performance from the previous calendar month. Even affiliates in Elite or Killer tiers with same-day product payouts will receive referral bonuses on the standard monthly schedule (first Friday of the month) because it is required to calculate their Affiliate Referrals metrics.
One-Level Referral Limit:
Referral bonuses apply to direct recruits only.
No overrides or residuals are paid beyond the first tier (i.e., you do not receive bonuses for the performance of your recruits' recruits).
Example:
If Affiliate A recruits Affiliate B, and B generates $6,000 in GR = $2,100 GP (at 35%),
Affiliate A receives 7.5% of $2,100 = $157.50
If Affiliate B recruits Affiliate C, Affiliate A earns nothing from C’s performance. Only B does.
4. Content Ownership You agree that all content created by you featuring our merchandise or promotional materials belongs exclusively to O’Ryan’s. O’Ryan’s holds full rights to use, modify, or distribute such content at its discretion. Signing of this agreement allows O’Ryan’s to share your information in this form, excluding your address, with fellow Tier Members.
5. Transparency & Audits O’Ryan’s may provide production cost details to affiliates upon request for transparency purposes. Affiliates agree not to disclose production cost information publicly.
6. Affiliate Status Affiliates act as independent contractors, not as employees or agents of O’Ryan’s. Affiliates are responsible for their taxes and compliance with applicable laws.
7. Restrictions
No fraudulent, misleading, or unethical promotional methods.
No altering or misrepresenting O’Ryan’s branding.
Affiliates must not use affiliate promo codes or links to make personal purchases for commission purposes.
8. Termination Either party can terminate this agreement at any time, for any reason, with written notice. Termination results in the immediate deactivation of affiliate codes, links, and payment obligations by O’Ryan’s beyond earned commissions due at termination.
9. Liability and Indemnification Affiliate agrees to indemnify and hold harmless O’Ryan’s from any claims or liabilities arising from Affiliate activities, content, or breach of this Agreement.
10. Modification O’Ryan’s reserves the right to modify the terms of this Agreement at any time, with notice provided to affiliates via email.
11. Governing Law This Agreement shall be governed by and construed under the laws of the state of Oregon, where O’Ryan’s operates, without regard to its conflict-of-laws rules.
12. Entire Agreement This document constitutes the complete agreement between Affiliate and O’Ryan’s, superseding all prior agreements or understandings.
By submitting the Affiliate Registration Form, you affirm your understanding and acceptance of all terms herein.
